CONDITIONS GENERALES DE VENTE Les commandes faites verbalement ou téléphoniquement et non confirmées par écrit seront accèptées uniquement sous la responsabilité entière du client. Nous ne supporterons aucune responsabilité en cas de quelconque erreur dans l’exécution de la commande. Tout bon de commande signé par le client engage irrévocablement celui-ci, qu’il y ait eu ou non payement d’un accompte. Sauf stipulation contraire, les factures sont payables au comptant. A défaut de payement à son échéance de tout ou d’une partie d’une facture, le montant impayé sera majoré de plein droit et sans mise en demeure préalable d’une indemnité forfaitaire égale à 15% sans que cette indemnité ne puisse être inférieure à 50€. Il sera dû en outre un intérêt de 12% à dater de la facture. Le défaut de payement à l’échéance d’une facture rend toutes les factures immédiatement exigibles.Il nous confère en outre le droit de suspendre les livraisons ou de résilier les marchés en cours pour les fournitures restant à livrer. Compte tenu de la nature de la marchandise, le transfert de responsabilité se fait à la livraison. Pour être recevable, toute réclamation doit se faire sur le bon de livraison à la réception et avant le départ de nos employés et être confirmé par écrit dans les 5 jours suivant la livraison. Dans l’hypothèse où le produit ne serait pas consommé à la réception, le client les conservera à l’abri de la chaleur et du froid à une température inférieure de 7°. La BLUE PEPPER SPRL n’assumera aucune responsabilité résultant de la mauvaise conservation de ce produit après la livraison. En cas d’une annulation d’une commande 24h avant la date de livraison, une indemnité de 50% sera due. Si la commande est annulée le jour de la livraison , une indemnité de 100% sera due. En outre un intérêt de 12% l’an sera exigible de plein droit et sans mise en demeure à partir de l’échéance de la facture. Les délais de livraison chez le client sont donnés à titre purement indicatif et ne pourraient en aucun cas engager notre responsabilité. Nos délais de livraison ne sont donnés qu’a titre indicatif. Un retard de livraison ne peut en aucun cas donner lieu à l’allocation de dommages et intérêts ou indemnités quelconques. Tout cas ou fait non consultatif de faute de notre chef et qui pourrait arrêter, suspendre ou interrompre l’exécution d’un marché est réservé à notre profit et nous décharge de toute responsabilité au même titre qu’en cas de force majeure. Les prix seront ceux en vigueur lors de la livraison. Les prix de nos tarifs seront établis à titre indicatif. Toute livraison inférieure à 125,00€ sera majorée de 25,00€ de frais de transport. Il en est de même pour toute livraison éffectuée dans l’urgence et à titre de dépannage. Tout litige se rapportant à l’interprétation ou à l’exécution de la présente seront de la compétence exclusive des Tribunaux de Bruxelles. Les présentes conditions générales de vente s’appliquent à toute commande et/ou tout contrat à l’exclusion des conditions générales de nos clients. ALGEMENE VERKOOPSVOORWAARDEN De mondeling of telefonische bestelling die niet schriftelijk bevestig worden, zullen enkel aanvaard op volledig verantwoordlijkheid van de klant. Wij zullen geen enkele verantwoordelijk aanvaarden bij om het even welke vergissing in de uitvoering van de bestelling. Elke bestelbon getekend door de klant verbindt deze onherroepelijke of er al dan niet een voorschot werd betaald. Behoudens andersluidend beding zijn de facturen contant betaalbaar. Bij gebreken aan betaling op de vervaldag van een deel van de factur, zal het niet-betaalde bedrag van rechtswege en zonder ingebrekestelling verhoogd worden met een forfaitaire schadevergoeding delijk aan 15% met een minimum van 50€. Daarnaast zal een interest van 12% verschuldigd zijn vanaf de vervaldatum van de factuur. Bij gebreke aan betaling van één factuur op de vervaldatum, worden alle facturen onmidelijk opeistbaar. Bovendien hebben wij het recht onze leveringen te staken of de transactie die aan de gang is voor de restrende levering te staken. Rekening houdend met de aard van de goederen gebeurt de overdracht van veranttwoordelijkheid bij de levering. Om ontvakelijk te zijn dient elke klacht te gebeuren op de leveringsbon bij ontvangst en voor het vertrek van onze werknemers en dient ze schriftelijk bevestigd te worden binnen de vijf dagen volgend op de lever. In de hypothese dat het geleverde product niet verbruikt wordt bij ontvangst, zal de klant het niet in de warmte zeten en het bewaren bij koude temperatuur lager dan 7°. De BVBA BLUE PEPPER zal geen enkele aansprakelijkheid aanvaarden die voortvloeit uit een schlechte bewaring van het product na de levering. In geval van annulatie van een bestelling 24 uur voor de datum van levering, zal een vergoeding van 50% verschuldigd zijn. Indien de bestelling geannuleerd wordt op de dag van de levering, zal een vergoeding van 100%verschuldidg zijn. Bovendien zal een interest van 12% per jaar opeisbaar zijn van rechtswege en zonder ingebrekestelling vanaf de vervaldatum van de factuur. De termijnen voor de levering van de goederen aan de klant zijn zuivere indicatief en kunnen in geen geval onze aansprakelijkheid in het gedrang brengen. Onze leveringstermijnen worden uitsluitend vermeld ten titel van inlichting. Een eventuele Vertraging bij de levering geeft aan de koper niet het recht tot toekenning van schade en intresten of betaling van vergoeding. Elk geval of feit dat geen fout uitmaakt in onze hoofde en dat de uitvoering van transactie zou kunnen stopzetten, opschorten of onderbreken wordt ter onze gunste voorbehouden en ontlast ons van elke aansprakkelijkheid, zelfs in geval van overmacht. Onze prijzen zullen deze zijn in voege op het moment van de levering. De prijzen van onze tarieven worden vermeld ten titel van inlichting. Elke leveringlager dan 125,00€. Hetzelfde geldt voor elke uitgevoerd wordt bij hoogdringenheid en hulp in nood. Elk geschil dat betrekking heeft op de interpretatie of de uitvoering van onderhavig contract behoort tot de bevoegheid van de rechtbanken te Brussel. GENERAL SALES TERMS Orders placed by word of mouth or over the telephone that are not confirmed in writing shall only be accepted at the complete responsability of the customer. We shall not accepted any liability for any omission in the performance of the order. Except where otherwise agreed. Invoices are payable in cash. In the vent of all part of the invoice not being paid on the due date, the outsanding balance automatically, and without any requirement to provide notification, be supplemented with fixepayement compensation of 15% or at least 50€. In addition, interest of 12% shall be inccured as for the due date of the invoice. In the event of an invoice not being paid on its due date, all other invoicesshall become immediatly payable. Moreover, we have the right to cease deliveries or the transaction currently in progres with a view to the remaining deliveries. In view of the nature of the goods, the transfer of liability occurs at the time of delivery. In order to be admissible, any complaint should be made on the delivery note at the time of reception and before thedeparture of our employees ; it should be confirmed in writing within five days of the delivery. Should the delivery product not be consumed upon reception, the customer shall refrain from keeping it in warm conditions, and shall store it at temperature of less than 7°. BLUE PEPPER L.L.C will not accepted any connection with the improper storage of the product after delivery. If an order is cancelled up to 24 hours before the delivery date, a penalty of 50% shall be payable. If an order is cancelled on the day of the delivery, a penalty of 100% shall be payable. In addition, interest of 12% p.a shall automatically, and without any requirement to provide notification, be incurred as from the due date of the invoice. Dates for the delivery of goods to the customer are approximate only, and we shall not acceptany liability in connection with them. Any occurence or circumstance that is outside our control and witch halts, delays or interrupts the transaction will clear us os any liability, including cases of force majeure. Transport charges of 25,00€ will be added to any delivery of less than 125,00€ Similar charges will be added to any delivery carried out in extremely urgent conditions or to profide assistance in an emergency. Any dispute arising out of the interpretation or the performance of this contract shall fall under juridiction of the courts of Brussels. These general conditions of sale shall apply to all orders, where applicable, they shall override the general terms of conditions of our customers.
