Parmalat: acquisition of a group of companies active in Mexico
Parmalat S.p.A. announces that it signed today an agreement to acquire a group of companies
that operate mainly in Mexico and are specialized in the production and distribution of cheese,
with leadership positions in the categories in which they operate.
With this transaction, the Parmalat Group will also acquire a portfolio of brands, the most
important of which include: “Esmeralda,” “El Ciervo,” “Mariposa” and “La Campesina
Holandesa.” The acquired operations have about 4,000 employees and include four production
facilities (one in Mexico, two in Uruguay and one in Argentina). In addition, they operate with a
network that covers all of Mexico through 20 distribution centers.
In 2013, the acquired businesses reported net revenues of about 197 million U.S. dollars (about
174 million euros).
The price for the equity was stipulated at 105 million U.S. dollars (about 93 million euros); this
price may be subject to adjustments in case the net financial debt is higher than 48 million U.S.
dollars at the closing.
The acquisition will be submitted to the relevant antitrust authorities.
