JWS has acted for the Scott Group of Companies on all aspects of the sale of its fuel
retailing and distribution business to Caltex Australia.
The $95 million transaction took over a year to negotiate and complete, with Caltex
assuming control of Scott’s Agencies’ and Sabadin Petroleum’s 28 retail sites and 18
depots.
The Scotts’ fuel retailing and distribution business operated across regional South Australia,
Victoria, New South Wales and Northern Territory.
Caltex is the leading transport fuel supplier and convenience retailer in Australia, and the
only integrated oil refining and marketing company listed on the ASX. This acquisition
complements Caltex's existing national network and is consistent with Caltex's strategy of
being Australia's leading transport fuels provider.
The transaction was subjected to a three month review by the Australian Competition and
Consumer Commission, which did not oppose the transaction after accepting an
undertaking from Caltex to sell four retail fuel sites in South Australia and Victoria.
Maddocks advised Caltex on corporate and property aspects of the transaction, while
Gilbert + Tobin advised Caltex on competition law aspects of the transaction.
