Extraordinary General Meeting (EGM) and voting procedures
Powerflute OYJ (‘Powerflute), incorporated in Finland, wish to inform holders of Depository Interests
(DIs) representing Powerflute ordinary shares, that they will be eligible to attend, and vote at, the
Powerflute EGM to be held on Tuesday, 4 November 2014, or vote by proxy if they so wish.
We have set up corporate action number 14 - Scheme of Arrangement (SOA) - under ISIN
FI0009015291 in order to facilitate electronic election.
Should you wish to vote, the following will be required:
1.
Request, complete and return the Form of Direction (including re-registration detail) to
the registrar; and
2.
Transfer the number of DIs equivalent to the number of shares to be voted on into an
escrow balance by means of a transfer to escrow (TTE) instruction in Euroclear UK &
Ireland’s CREST system, so that the relevant holding is in escrow by 12:00 (noon - UK
local time) on Thursday, 23 October 2014, at the latest.
Those DI holders wishing to vote should in the first instance contact Capita IRG Trustees Limited on
the following number +44 (0)871 664 0335 (calls cost 10p per minute plus network extras, lines are
open 9am – 5.30pm Mon. – Fri.) or email [email protected] to request the Form of Direction
and re-registration.
The DIs will remain in escrow until released, as soon as reasonably practicable after Tuesday, 4
November 2014.
If you do not transfer the relevant holding of DIs to escrow by 12:00 (noon) on Thursday, 23 October
2014, the Form of Direction will not be processed. Consequently you will not be granted the right to
attend, or vote at, the EGM, and any vote cast, in person or by proxy, will be void.
After the TTE instruction settles, you will not be able to access the DIs concerned for any transaction
or charging purposes, and they will remain in the escrow balance of the transferring CREST member’s
member account until released.
