1.
Definitions and Interpretation 定義及び解釈
1.1
In these conditions unless the context otherwise requires:
本条件において、文脈上別段の定めがない限り、
1.1.1. Company means JAPAN EXPORT VEHICLE INSPECTION CENTER
COMPANY LIMITED.
当社とは、株式会社日本輸出自動車検査センター（JEVIC）および法律上のグループ会社をいう。
1.1.2. Client means the person, or company buying the products and/ or services
from the Company.
クライアントとは、当社から製品および/またはサービスを購入する個人または会社をいう。
1.1.3. Products and/or services mean the products and/or services being
purchased by the Client from the Company.
製品および/またはサービスとは、クライアントが当社から購入している製品および/またはサービスをいう。
1.1.4. Contract means the contract between the Company and the Client for the
purchase of the products and/or services.
契約とは、製品および/またはサービスの購入に関して当社とクライアントとの間における契約をいう。
1.1.5. Date of the contract means where the contract arises from a quotation
given by the Company, i) the date of acceptance of the order by the
Company; or ii) the date upon written notification of acceptance of the
quotation is received by the Company.
契約日とは、当該契約が当社より出された見積りによるものである場合には、i) 当社による注文の承諾日、
または ii) 当社がその見積りについての書面による承諾の通知を受けた日をいう。
1.1.6. Contract price means the price of products and/or services as agreed
between the Client and the Company.
契約価格とは、クライアントと当社との間で合意した製品および/またはサービスの価格をいう。

1.1.7. Person includes a corporation, association, firm, company, partnership or
individual. Quotation shall mean price on offer for a fixed term. Manager is
the companies appointed decision maker.
人とは、法人、団体、企業、会社、パートナーシップまたは個人を含む。見積とは、一定期間における提供
価格をいう。マネージャーとは、会社の任命を受けた意思決定者をいう。
1.2
The clause headings are for the purpose of convenience only and shall not be
used in the interpretation of, nor modify or amplify, these Terms and Conditions.
条項の見出しは、便宜上の目的のものに過ぎず、本条件の解釈に用いてはならず、本条件を修正もしくは拡大
するものではない。
1.3
Any annexures referred to herein form part of these Terms and Conditions and
shall have effect as if set out in full in the body of these Terms and Conditions.
本条件に記載されるいかなる付属書類も、本条件の一部を構成するものであり、本条件の本文内に明確に記
載されたものとして効力を生ずるものとする。
1.4
Any reference to a clause or annexure is to the relevant clause or annexure to
these Terms and Conditions unless otherwise stated.
どの条項または付属書類に対する参照も、別段の記載がない限り、本条件に関連する条項または付属書類に
対するものとする。
1.5
Words importing any one gender include the other two genders and words
importing the singular include the plural and vice versa.
単一の性別を意味する単語は、その他の複数の性別も含み、単数を示す単語は複数も含み、その逆もまた同
様とする。
1.6
Any reference to “persons” or “entities” includes natural persons, firms,
partnerships, bodies corporate, corporations, associations, organizations,
governments, states, foundations and trusts (in each case whether incorporated or
not and whether or not having a separate legal personality).
単一の性別を意味する単語は、その他の複数の性別も含み、単数を示す単語は複数も含み、その逆もまた同
様とする。
1.7
The word “includes” means including without limitation.
「含む」という語は、「などを含む」ことをいう。
1.8
The words “day” and “month” mean calendar day and calendar month unless
otherwise stated.
「日」および「月」という語は、別段の記載がない限り、暦日および暦月をいう。
1.9
When any number of days is prescribed in these Terms and Conditions, same
shall be reckoned exclusively of the first and inclusively of the last day unless the
last day falls on a Saturday, Sunday or public holiday, in which case the last day
shall be the next succeeding day which is not a Saturday, Sunday or public
holiday.

本条件において日数を規定する場合、その日数は、初日を含まず、かつ、最終日を含めて数えるものとする。ただ
し、最終日が土曜日、日曜日または公休日に該当するときは、この限りでない。その場合、最終日は土曜日、日
曜日または公休日を除く翌日とする。
1.10
All references to the Parties include their permitted successors and assigns.
当事者に言及する場合は常に、その当事者の許諾を得た承継人および譲受人を含むものとする。
2.
Quotation and Booking Inspections 御見積り及び検査予約
2.1 The Client may request a Quotation from the Company setting out the price
and quantity of the products and / or services to be supplied. If the Quotation is
acceptable to the Client, the Client may place an order in writing within an
acceptable timeframe.
クライアントは、供給を受ける製品および/またはサービスの価格および数量を記載した見積りを依頼することがで
きる。クライアントがその見積りを受け入れられる場合、クライアントは、許容できる期限内に書面にて申し込みを
することができる。
3.
Acceptance 承諾
3.1 If any instruction is received by the Company from the Client for the supply of
products and/or services, it shall constitute acceptance of the terms and
conditions contained herein. Upon acceptance of these terms and conditions by
the Client, the terms and conditions are definitive and binding.
クライアントから当社に対して、製品および/またはサービスの供給に関するなんらかの指示があった場合は、その指
示が本条件に対する承諾となるものとする。クライアントによる本条件の承諾に伴い、本条件は確定的なものとな
り、拘束力を生ずる。
4.
Terms and Conditions 取引条件
4.1 These terms and conditions and any subsequent terms and conditions issued by
the Company shall apply to all orders for the products and/or services and the
services made by the Client after the date and time at which these conditions are
first delivered or sent by email or facsimile to, read on the Company website or
otherwise brought to the notice of, any employee, staff member or representative
of the Client. It shall be the Client’s responsibility to ensure that these conditions
are promptly brought to the attention of the appropriate staff of the Client, and
accordingly any order made by the Client after the date and time described above
in this clause shall be deemed to be an acceptance of these conditions.
本条件および当社がこれより後に発行する一切の取引条件は、それらの条件が最初にクライアントの従業員、職
員または代表者に対して電子メールもしくはファクシミリで発信、もしくは送信された、または当社のウェブサイトに掲
載もしくはその他の方法で通知された日時以降に、クライアントが製品および/または事業、もしくはサービスの注
文すべてに適用されるものとする。これらの条件をクライアントの適格な職員へ速やかに周知するのは、クライアント
の責任であり、よって本条項に定められている日時以降のクライアントによる発注は、これらの条件に対しての承諾
とみなされる。
4.2
No alteration to these terms and conditions will be accepted unless in writing
and signed by the Company and Client.

本条件の変更は書面に起こし、当社およびクライアントの署名が付されない限り、認められない。
5
Price 価格
5.1 The Price shall be as indicated on invoices provided by the Company to the
Client in respect of products and/ or services supplied; or
価格は、供給された製品および/またはサービスに関して当社がクライアントに対して発行する請求書に表示して
あるとおり、または、
5.2
The Price shall be the Price of the Company’s current Price at the date of
delivery of any products and/or services.
製品および/またはサービスの引渡し日の当社の最新価格による価格とする。
5.3
Time for payment for the products and/or services shall be of the essence and
will be stated on the invoice, quotation, tender documents, work authorisation
form or any other work commencement forms. If no time is stated then payment
shall be due on delivery of any products and/or services.
製品および/またはサービスに係る支払期限は、期限厳守とし、請求書、見積り、入札書類、作業規定書または
その他の作業開始書上に記載される。期限の提示がない場合、製品および/またはサービスの納期を支払期日
とする。
5.4
The Client agrees that the cost Price shall be determined by the Company, and
shall take into consideration “one-off” costs such as design and production.
クライアントは、当社が元値を決定し、設計や生産などの「単発」費用を考慮に入れた価格であることに同意する
ものとする。
5.5
The Company reserves the right to implement a surcharge for alterations to
specifications of products after the order has been placed.
当社は、受注後の製品の仕様に対する変更について追加料金を請求する権利を有する。
6
Payment, Late Payment, Default of Payment and Consequences of Default of
Payment 支払い、支払遅延、滞納、ならびに滞納の影響
6.1
The method of payment will be made by bank transfer, or by any other method
as agreed to between the Client and the Company.
支払いは、銀行振り込み、またはその他のクライアントおよび当社が合意した方法により行う。
6.2
Subject to any provision to the contrary in the Contract, payment (being cash
unless otherwise arranged in advance and confirmed in writing) shall be received
on or before the 20th day of the month following the date of the Company’s
invoice to the Client unless stated otherwise in the invoice, which shall be issued
promptly on or after delivery of the products and/or services.
契約に別段の定めがあればそれに従うものとするが、支払い（書面による事前の確認がある場合を除き、現金に
よる）は、当社のクライアントへの請求日の翌月 20 日までに受領するものとする。ただし、請求書に別段の記載
がある場合には、この限りでなく、製品および/またはサービスの納期以降、請求書を速やかに発行することとする。

6.3
Late payment shall incur interest at the rate of 20% per annum calculated on a
daily basis. This shall be payable on any monies outstanding under the Contract
from the date payment was due until the date payment is received by the
Company, but without prejudice to the Company’s other rights and remedies in
respect of the Client’s default in failing to make payment on the due date.
支払遅延には、年利 20%の率を日割りで計算する利息が生じるものとする。この利息は、支払期日から起算し、
支払いを当社が受領する日まで、契約上未払いとなっている金額に対して支払われなければならず、期日までに
支払いを怠ったクライアントの不履行に係る当社の他の権利および救済手段に影響を与えることはない。
6.4
Without prejudice to any other remedies the Company may have, if at any time
the Client is in breach of any obligation (including those relating to payment), the
Company may suspend or terminate the supply of Products and/or services to the
Client and any of its other obligations under the terms and conditions. The
Company will not be liable to the Client for any loss or damage the Client suffers
because the Company exercised its rights under this clause.
当社が有するいかなる救済手段を毀損することなく、クライアントが義務（支払いに関するものを含む）に違反し
ている場合はいつでも、当社はクライアントに対して製品および/またはサービスの供給、ならびに本条件に基づくそ
の他の義務を果たすことを中断、または終了させることができる。当社が本条項に基づき自己の権利を行使したこ
とによりクライアントが被るいかなる損失、または損害について、当社はクライアントに対しその責任を負わないものと
します。
6.5
In the event that:
次の場合には、
6.5.1 Any money payable to the Company becomes overdue, or in the
Company’s opinion the Client will be unable to meet its payments as
they fall due; or
当社への支払いが延滞される、もしくは当社の見解から、クライアントが期日の近い支払いに応じること
ができないと判断した場合、または、
6.5.2 The Client becomes insolvent, convenes a meeting with its creditors or
proposes or enters into an arrangement with creditors, or makes an
assignment for the benefit of its creditors; or
クライアントが支払不能に陥り、債権者との会議を招集、もしくは債権者へ債務整理を提案またはそ
れを締結、もしくは債権者へ財産譲渡をする場合、または、
6.5.3 A receiver, manager, liquidator (provisional or otherwise) or similar
person is appointed in respect of the Client or any asset of the Client;
then without prejudice to the Company’s other remedies at law
管財人、管理責任者、清算人（暫定またはその他を問わない）またはこれらに類する者がクライアン
トもしくはその資産に関して任命された場合、またその場合は、当社の他の法律上の救済手段に影
響を与えることなく、

6.5.4 The Company shall be entitled to cancel all or any part of any order of the
Client that remains unperformed in addition to, and without prejudice to
any other remedies; and all amounts owing to the Company shall,
whether or not due for payment, immediately become payable.
当社は、他のいかなる救済手段に加えて、かつそれらを毀損することなく、未履行となっているクライア
ントの注文の全て、または任意の部分を取り消す権利を有する。また、当社に対するすべての債務は、
支払期日が到来している、していないにかかわらず、直ちに支払われなければならない。
6.6
The Company may, at its option, if claiming a worker’s lien over the Client’s
vehicle, retain possession of said vehicle, and despite any non-mandatory law to
the contrary retain possession until all costs incurred by the Company in respect
to retaining possession of the vehicle or enforcing the lien, together with
outstanding inspection charges and (penalty interest the Company is entitled) are
paid in full.
当社はその自由裁量により、顧客の車両に対する先取特権を行使主張した場合、未払いの検査料金並びに違
約金と共に、車両の占有、及び先取特権の行使に係る全ての費用が支払われるまで、当該車両の占有権を留
保することができる。
7
Governing Laws 準拠法
7.1 These Terms of Trade will be interpreted in accordance with applicable
government legislation, which will have exclusive legal jurisdiction over any
dispute in relation to the products and/or services or these Terms of Trade.
本取引条件は、関係する政府の立法に準拠して解釈され、製品および/またはサービスもしくは本取引条件に関
するいかなる紛争も、その専属的司法管轄権に服する。
7.2
If any of the provisions in these terms and conditions are illegal in certain
justifications of product and / or service end use this will be without prejudice to
all other provisions of the terms and conditions.
本条件のいずれかの規定が、製品および/またはサービスの最終使用先にて、ある正当な理由で不法となった場
合、それは、本条件の他の全ての規定をも毀損するものではない。
8
Dispute Resolution 紛争解決
8.1 The Company will endeavour to resolve any dispute between the Client and
itself without the need for Court proceedings. Any such attempt is without legal
prejudice.
当社は、クライアントと当社間のいかなる紛争についても、訴訟手続を必要とすることなく解決できるよう努める。こ
のような解決の試みは、法的権利を毀損するものではない。
8.2
Unless contractually agreed otherwise, any disputes will be held under
Japanese Laws.
契約による別段の合意がない限り、紛争は日本の法律に基づき行う。
8.3
Unless contractually agreed otherwise, Arbitration will take place in
Yokohama City, Kanagawa Prefecture, Japan.

契約による別段の合意がない限り、仲裁は日本の神奈川県横浜市で行う。
9
Reservation of Title 所有権留保
9.1 Ownership and title of the products and/or services remains with The
Company until the purchased price and all other monies owing by the Client,
under the contract or any other contract to the Company, have been paid in full.
製品および/またはサービスの所有権ならびに権利は、本契約または当社とのその他の契約に基づき、クライアント
が当社に対して支払う義務のある購入代金やその他のすべての金額が満額支払われるまで、当社に帰属し続け
るものとする。
10 Copyright and Intellectual Property 著作権および知的財産
10.1
The Company retains in full all copyright and intellectual property rights of
the product and / or service purchased by the Client. This includes but is not
limited to any materials, documents, reports, records, presentations, procedures,
techniques, models, methods and methodologies, know-how, software, user
interfaces and screen designs or any other work of any kind whatsoever created
by the Company in the course of performing the Services (“Materials”) and in
the event that any Intellectual Property Rights in the Materials initially vest in
the Client, the Client hereby fully assigns such rights to the Company with
immediate effect.
当社は、クライアントが購入する製品および/またはサービスに係る一切の著作権ならびに知的財産権を完全に
保持する。これには、素材、書類、報告、記録、発表、手順、技法、ひな形、手法および方法論、ノウハウ、ソフ
トウェア、ユーザーインターフェースや画面設計、またはサービス（「素材」）の提供過程で当社が作り出すその他
のありとあらゆる種類の著作物などが含まれるが、また同時にそれらに限られたものではない。また、素材等の知
的財産権が当初クライアントに帰属するものである場合、クライアントはこの取引条件に従い、それらの権利を当
社へ直ちに譲渡するものとする。
10.2
The use of the Company’s name, logo and registered marks for any
purposes is not permitted unless agreed to writing with the Company.
当社との書面による合意がない限り、目的の如何を問わず、当社の名称、ロゴおよび登録標章の使用は認めら
れない。
10.3
This clause shall survive the expiry or termination of the agreement.
本条項は、本契約の満了または終了後も存続するものとする。
11 Warranty 保証
11.1
The Company warrants that it will repair or make good any defects in the
products and/or services where culpability is evident, if written notice of the
claim is received by the Company within seven (7) days from the date the
products and/or services were delivered. No claim shall be accepted under such
warranty if any attempt to repair the defective products and/or services is made
by any person not authorised by the Company, or if the defective products and/or
services have been modified or inappropriately stored, maintained or used. If the

Company elects to repair or replace any defective products and/or services, such
work shall be undertaken at such place as the Company may reasonably specify
and the Client shall be responsible at its cost and risk for shipment of the
defective products and/or services to the place specified.
当社は、有責性が明らかである製品および/またはサービスの瑕疵について、製品および/またはサービスの引渡し
日から 7 日以内に書面による当該申し立ての通知が届いた場合、これの修繕または修復を保証する。当社が
公認していない者により瑕疵ある製品および/またはサービスの修繕が試みられた場合、もしくは瑕疵ある製品およ
び/またはサービスの改変、または不適切な保管維持もしくは使用が認められた場合は、本保証においていかなる
主張も認められないものとする。当社が自己の選択により瑕疵ある製品および/またはサービスを修繕する、もしく
は交換する場合、その作業は、当社が合理的に指定する場所で実施されるものとし、瑕疵ある製品および/また
はサービスの指定場所までの発送にかかる費用とリスクはクライアントが負うものとする。
12 Liability 責任
12.1
The Company shall not be liable for any loss of any kind whatsoever
suffered by the Client as a result of any breach of any of the Company’s
obligations under the contract, including any cancellation of the contract or any
negligence on the part of the Company, its servants, agents or contractors, nor
shall the Company be liable for any loss, damage or injury caused to the Client’s
servants, agents, contractors, Clients, visitors, tenants, trespassers or other
persons. The Client shall indemnify the Company against any claim by any such
person.
当社は、本契約の解除または当社、その被用者、代理人もしくは請負人側の過失などを含む、本契約に基づく
当社のいかなる義務の違反の結果としてクライアントが被るいかなる類いの損失についても、その責めを負わないも
のとし、また、当社は、クライアントの被用者、代理人、請負人、依頼人、訪問者、賃借人、侵入者その他の者
に対して生じるいかなる損失、損害または被害についても、その責めを負わないものとする。クライアントは、それら
の者によるいかなる請求についても当社に補償を行うものとする。
12.2
Both parties will hold adequate liability insurance for the actions
undertaken.
両当事者は、訴訟の提起に備えて十分な賠償責任保険を保持すること。
13 The Services サービス
13.1
These terms and conditions covers all the Company’s products and/or
services unless otherwise expressly agreed in writing.
本条件は、書面による別段の明示的な合意がない限り、当社のあらゆる製品および/またはサービスを対象とする。
13.2
The Company will provide products and/or services as requested and
agreed between the Client and Company with all reasonable care, skill, diligence
and professional responsibility.
当社は、相当な注意、技術、慎重さ、および専門家としての責任をもって、クライアントと当社との間で依頼および
合意が交わされた製品および/またはサービスを提供する。
13.3
Any change in the scope of services must be agreed in writing and be
signed by both the Client and Company.

サービスの範囲の変更については、書面により合意し、クライアントと当社の双方で署名を交わされなければならな
い。
14 Sub-Contracting 下請契約
14.1
The Company may sub-contract or delegate the all or part of the services
to a branch, sub-contractor or agent it deems necessary.
当社は、サービスの全部または任意の部分を、自らが必要不可欠と判断する支店、下請人または代理人に下
請け契約、または委任することができる。
15 Assignment 譲渡
15.1
The Company may assign the Contract or any part of it to any person, firm
or company.
当社は、契約、もしくはその契約の任意の一部分をいかなる者、企業、または会社に譲渡することができる。
15.2
The Client shall not be entitled to assign the Contract or any part of it
without the prior written consent of the Company.
クライアントは、契約、もしくはその契約の任意の一部分を、当社との事前の書面による同意なしで譲渡する権利
を有さない。
16 Obligations of the Client クライアントの義務
16.1
Provide in a timely manner all necessary and requested documentation and
information required to provide the services. Including access to locations and
items deemed necessary by the Company for the conduct of services.
サービスの提供に必要なあらゆる必要不可欠かつ要請のあった書類および情報を時宜に即して提供する。これに
は、当社がサービスを実施するために不可欠と判断する指定場所および対象へのアクセスを含む。
16.2
Ensure a safe and secure working environment for the Companies
employees. Including advice and mitigation of all known and reasonably
expected hazards.
当社の従業員のために安心かつ安全な作業環境を確保する。これには、あらゆる既知の危険および考え得るか
ぎりの危険の助言ならびに軽減を含む。
16.3
Provide where required by the Company personnel to enable the conduct
of the services.
当社の要求に応じて、サービスの実施を可能とする人員を提供する。
16.4
The Client may not assign their rights and obligations to any persons
without the Company’s permission.
クライアントは、当社の許諾がない限り、自己の権利および義務をいかなる者にも譲渡してはならない。
17 Termination 停止
17.1
The Company may terminate the contract;

17.1.1 Immediately where the Client breaches their obligations under these
terms and conditions.
クライアントが本条件に基づく自己の義務に違反した場合、直ちに本契約を終了させることができる。
17.1.2 Where the Client fails to provide payment for the products and / or
services.
クライアントが製品および/またはサービスの支払いをしない場合、本契約を終了させることができる。
17.1.3 At any time or any reason without any requirement to provide such
reasoning and at its sole discretion.
いかなる時期または理由であれ、その理由の提供は必要なく、かつ自己の裁量により本契約を終了さ
せることができる。
17.2
Either party may terminate the contract where the other party becomes
insolvent, enters bankruptcy, receivership or administration or ceases or threatens
to cease business.
いずれの当事者も、相手方が支払不能に陥り、破産、破産管財人の管理下に置かれる、または事業中止のお
それがある場合、本契約を終了させることができる。
17.3
The Client may terminate the contract providing 60 days notice in writing,
unless another term has been expressly provided in writing between the
Company and Client.
クライアントは、書面による 60 日前の通知を行うことにより、本契約を終了させることができる。ただし、当社とクラ

18 Waiver 権利放棄
18.1
No waiver is provided unless in writing and signed by all parties.
権利放棄は、書面を作成し全当事者が署名を交わすことを条件とする。
19 Force Majeure 不可抗力
19.1
The Company shall not be liable for any delays or failures in performance
due to circumstances beyond its reasonable control including, without limitation,
acts of God, fire, explosions, floods, strikes, work stoppages, slowdowns or other
industrial disputes, riots or civil disturbances, acts of government or acts of war,
terrorism, natural disasters and man-made disasters.
当社は、天災、火災、爆発、洪水、ストライキ、作業停止、怠業、またはその他の労働争議、暴動、もしくは騒
乱、政府行為や戦争行為、テロ、自然災害及び人災など、自己の合理的な支配の及ばない事情に起因する
履行遅延または不履行については、制限なくその責めを負わないものとする。

Notices served by the Company may, unless superseded, be served via the
Company’s website.
当社から送達する通知は、優先する規定がない限り、当社のウェブサイト上で発信することができる。
21 Confidentiality 守秘義務
21.1
The Company will hold all commercially and personally sensitive
information gained through the provisions of the products and /or services
confidential.
当社は、製品および/またはサービスの提供を通じて得た全ての商業上および個人上の機密情報について、その
秘密を保持する。
21.2
The Company reserves the right to release all information gained through
the provisions of the products and /or services where required to in order to meet
its legal obligations.
当社は、製品および/またはサービスの提供を通じて得た全ての情報について、法的義務を果たすために必要な
場合、これを開示する権利を留保する。
21.3
Confidentially does not pertain to items already in the public domain, or
has been disclosed non-confidentially by another party.
すでに公知に属する項目、または他の当事者が機密情報でないものとして開示した項目については、守秘義務
は及ばない。
22 Storage 保管
22.1
The Company will store, retain and dispose of properly all relevant
records and information relating to the client and services in observance with
applicable laws and professional conduct.
当社は、該当する法律および職業上の行為を順守しながら、クライアントならびにサービスに係るあらゆる記録お
よび情報を適切に保管、保持ならびに処分する。
