TERMS & CONDITIONS:
BASIS OF PRICE: FOR destination to the respective consignees which
should be dispatched Ex-RSO Indore for supply to the consignees located in
MP and Ex-RSO Lucknow for supply to the consignees located in UP.
The prices will remain firm till completion of supplies.
Excise Duty: Shall be paid extra at actuals at the rate applicable at the time of
supply which is presently applicable as Excise Duty @ 24%, NCCD @1%,
Auto Cess @ 0.125%, Education Cess @2% & Higher Education Cess@ 1%
against original Excise Invoice as mentioned above.
16% of Excise duty shall be refunded by M/s Tata Motors if the following
documents are submitted by the concerned Technical Department of
Projects/Hqrs to Tata Motors Ltd strictly within 30 days from the date of
delivery of vehicles and submission of required documents complete in all
respect for registration of the Ambulance.
a) RC Book
b) Certificate from RTO that vehicle has been registered as an
Ambulance
c) Copy of invoice
d) Application seeking refund of 16% ED.
Bank Guarantee: You shall submit Advance Bank Guarantee towards
refund amount of 16% Excise Duty on the Ambulances alongwith
proforma invoices directly to the respective paying authorities.
VAT: - VAT shall be paid extra at actuals at the rate applicable at the time of
supply as mentioned above. The present rate of VAT is @ 14.5%. for UP & @
13% for MP.
In case of any increase in taxes and duties after expiry of the scheduled
delivery period, the increase will be to supplier’s account and in case there
is any decrease, the same shall be passed on to NCL.
FREIGHT CHARGES: Rs.19433.00 per Ambulance shall be paid extra as
mentioned above. Safe arrival of materials up to destination will be your
responsibility.

Transit Insurance & Temporary registration: Shall be arranged & borne by
you.
DGS&D Departmental Charges & Service Tax: DGS&D Departmental Charges
@ 0.25% & Service Tax thereon @ 12.36% shall be paid extra as mentioned
above.
ENTRY TAX: Entry Tax, if applicable, shall be paid by you.
DELIVERY PERIOD: Within 90 (Ninety) days from the date of receipt of
Purchase Order & intimation by the consignee about the readiness of cheque
towards payment. No materials should be supplied beyond the specified
delivery period unless amendment for extension of delivery period is obtained
from the purchaser i.e. NCL. Date of receipt of Ambulances at consignee’s
premises will be taken as date of delivery.

TERMS OF PAYMENTS: 100% payment shall be made to you through A/C
payee Cheque in favour of Tata Motors Ltd. [Vendor Code:T0271] payable at
Mumbai by respective Paying Authorities against respective Proforma Invoices
to be submitted by you directly to the respective Paying Authority . The cheques
shall be handed over to you by the respective Consignees against delivery of
Ambulances.
The full details of Bank Name, Bank Address & Account No. & other
relevant details must be indicated in your Proforma Invoice.
You are requested to submit Proforma Invoices in triplicate along with Bank
Guarantees to the respective paying authorities immediately as per allocation for
preparation of cheque.
SUBMISSION OF BILLS: The bills bearing our Centralized Excise Regn No.
AABCN4884HEM011 complete in all respect for 100% towards the cost of
vehicles, in triplicate duly stamped & pre- receipted with revenue stamp should
be submitted to the respective Paying Authorities enabling them to regularize
the advance payment already made, while effecting delivery of vehicle.
You should also submit the manufacturer’s Warranty/Guarantee
Certificate & Manufacturer’s Test Certificate as the case may be along
with supply.

LOWEST PRICE CERTIFICATE: You shall submit a certificate stating that
the price charged by you against this Purchase Order is the lowest and is the
same as applicable to other Government Departments/ Undertakings/ Other
Organizations including DGS&D and other subsidiaries of Coal India Ltd. You
should also certify that the price charged is not higher than the prices charged
for same/ similar items to other Customers worldwide.
INSPECTION: Final inspection will be carried out at the consignee’s end by
authorised representative of GM (E&M), NCL.
RISK PURCHASE : In the event of failure of supplier to deliver or dispatch
the stores within the stipulated date/period of supply order, or in the event of
breach of any of the terms and conditions mentioned in the supply order,
Northern Coalfields Limited have the right to purchase the stores from
elsewhere after due notice to the defaulting supplier at the risk and cost of the
defaulting supplier. It is mentioned clearly that in the event of failure of supplier
as detailed above, the cost of risk purchase exercise may be recovered from the
bills against any other supplies pending at NCL and also in any other Subsidiary
Company/Coal India Limited.
FORCE MAJEURE CONDITIONS:
If the execution of the Contract/supply order is delayed beyond the period
stipulated in the supply order, as a result of outbreak of hostilities, declaration
of an embargo or blockade or fire, flood, acts of nature or any other contingency
beyond the suppliers control due to act of God, then NCL may allow such
additional time by extending the delivery period as considered to be justified by
the circumstances of the case and its decision will be final. If additional time is
granted by NCL, the supply order shall be read and understood as if it had
contained from its inception the delivery date as extended. Power Cuts cannot
be taken as Force Majeure Conditions.
(a)The successful bidder will advise, in the event of his having to resort to this
clause, by a registered letter, duly certified by the local chamber of commerce,
or statutory authorities, the beginning and end of the causes of the delay, within
15 days of the occurrence and cession of such force majeure conditions. In the
event of delay last out of force majeure, NCL will reserve the right to cancel the
contract, and provisions governing termination of contract as stated in the bid
documents will apply.

(b) For delay arising out of Force majeure, the bidder will not claim the
extension in completion date for a period exceeding the period of delay
attributable to the causes of force majeure and neither NCL nor the bidder shall
be liable to pay extra cost provided it is mutually established that the force
majeure conditions did actually exist.
PRICE FALL CLAUSE: The price charged for the stores supplied against this
supply order by you shall in no event exceed the lowest price at which you sell
or offer to sell the stores of identical description to any other party during the
said period.
If the supplier at any time during the period of contract reduces the sale price,
sells or offers to sell such stores to any other organization at a price lower than
the price chargeable under the contract, the supplier shall forthwith notify such
reduction of sale price to the undersigned and the price payable under the
contract for stores supplied after the date of coming in force of such reduction in
sale price, shall stand correspondingly reduced.
Warranty / Guarantee:
i) Vehicle shall be covered by Manufacturer’s (Tata Motors Ltd.) standard
guarantee / warranty policy.
ii) The supplier shall be responsible for any defect that may arise, under proper
use, defect arise due to faulty material design or workmanship & shall remedy such
defects at his own cost. In case of any failure of Ambulance in the warranty period
specified above, the replacement / rectification work (as per warranty settlement)
shall be completed within 14 days free of cost. Vehicle should be serviced in
minimum time since register of complain.
JURISDICTIONOF COURT: All disputes are subject to jurisdiction of
“Singrauli court” only.
This order will also be governed by the "General Terms & Conditions of supply
of Stores" enclosed with our NIT and all the terms & conditions thereof as well
as Provisions of CIL Purchase Manual will be applicable unless otherwise
specified in this order.

NOTE 1 :- As per office Memorandum of Ministry of Finance Govt of India,
Purchase of vehicle is banned until further orders except against condemned
vehicles. This Supply Order is therefore issued as per the directives of
Functional Directors of NCL (456th meeting held on 05.05.2014) with the
condition that immediately after receipt of new vehicles it is ensured that the
corresponding initially surveyed off vehicles against which new vehicle is
received is grounded for disposal. This instruction must be strictly complied
by CGMs/GMs of the respective Projects / GM(E&M), NCL Hqrs.
