Page 1 of 2 Terms and Conditions of Request for Quotation In addition to all other rights of NRG in this Request for Quotation ("RFQ"), NRG reserves and may exercise the following rights at its sole discretion with or without notice: 1. To supplement, amend or otherwise modify or cancel this RFQ at any time with or without substitution of another request for proposals; 2. To issue additional or subsequent requests for quotation; 3. To communicate directly with any bidders, including, without limitation, to clarify the information provided pursuant to this RFQ and to request additional information or documentation; 4. To waive any informalities, errors, or nonconformities in the RFQ, the RFQ process or any of the quotation; 5. To reject any and all proposals for any reason; 6. To accept any of the quotation for any reason, including, without limitation, quotation which do not offer the lowest price; 7. To award any part of this RFQ to any one or more of the bidders. Each proposer acknowledges and agrees that any quotation accepted by NRG and any purchase orders or other work release or requisition documentation issued by NRG in connection therewith shall be subject to and governed by the specific Master Terms and Conditions in effect between NRG and the Supplier at the time that the quotation is submitted; provided, that if no such Master Terms and Condition are not in effect at such time, then such quotation and any purchase orders or other work release or requisition documentation shall be subject to and governed by NRG's Terms and Conditions for Purchase Orders which are posted at http://www.nrgenergy.com/pdf/GC-terms.pdf. All costs and expenses incurred by Supplier in preparing the quotation will be borne solely by Supplier. All quoted prices shall be considered firm unless otherwise stated by the Supplier. No substitutions are allowed without prior approval from NRG Authorized Buyer. Supplier shall specify the manufacturer and part numbers being supplied in this quotation. All quotations shall become the exclusive property of NRG, and NRG shall consider as confidential only the pricing information and those portions of the quotation clearly identified as "confidential" or "proprietary".
