この度、INSOL インターナショナルと倒産実務家日本協会(JFIP)では、本年 11 月 21 日（木）に帝国ホテルにてセ
ミナーを開催する運びとなりましたのでご案内させていただきます。
INSOL インターナショナルは、企業再建と倒産案件を専門とする弁護士、公認会計士等のプロフェッショナルによ
り構成された国際的な組織です。現在、世界で 40 団体、9,000 名を超えるプロフェッショナルがメンバーとなって
おります。
本セミナーでは、アジア・パシフィック地域における私的整理、法的再建を巡る環境変化、クロスボーダーの事業
再生への対応、ターンアラウンドマネージャーの役割等を題材として、諸外国から招聘したスピーカを交えて、皆
様とともに議論をしながら進行して参ります。すべてのセッションには日英の同時通訳を準備しておりますので、

アジア・パシフィック地域における私的整理
過大な債務を抱える企業の早期再生のための私的整理は、法的手続と比較して、そのス
ピード、費用、企業価値の保全の観点から、金融機関等債権者にとって好ましい方法では
ないでしょうか。1997 年のアジア通貨危機以降、ほとんどのアジア諸国では、金融機関の
不良債権処理を推進するために私的整理の枠組が活用されてきました。また、21 世紀に
入ってからアジア諸国では倒産法制の改革が行われ、引き続き私的整理も活用されてお
ります。グローバルに業務を展開し、複数の国の金融債権者に対して債務を負担する事業
の存続を図るためには、国際的な私的整理が有効でしょう。
本セッションでは、現在行われている私的整理を概観し、アジア太平洋地域における将来
展望について議論します。

法的事業再生手続のプロセスは、法改正の有無にかかわらず、当事者たちによる権利
主張の態様によって大きく影響を受けます。海外から資本が流入するとき、異なった法文
化を持つ様々な利害関係者が登場します。
本セッションでは、国際企業グループによる国際的な事業運営やセカンダリーマーケット
での債権売買、海外投資家による不良債権投資が、日本、その他諸国の現行の法的手
続にどのような影響を及ぼすかが議論されます。そしてそれに関連して、倒産手続きに
おける情報開示、債権者参加や透明性の確保に関する海外債権者の期待値、さらには
これらについての将来展望についても議論します。

クロスボーダー企業倒産への対応
過去数年にわたる金融危機により、世界各国の国際倒産法の概念が効率よく適用されるか
を試すような、複雑な要素が交錯した多くの企業倒産が発生しました。グローバルな企業倒
産に対応する法整備、判例の集積が、経済危機が続いているヨーロッパや米国において着
実に行われています。また、国連国際商取引委員会（UNCITRAL）のモデルローは、日本、
韓国、オーストラリアを含むアジアのいくつかの国々で適用されているようですが、実際に適
用された事例はまだ限られています。
本セッションでは、ヨーロッパ、米国、オーストラリア、日本各国の専門家が最近の法整備及
び判例法等を紹介し、各国において国際倒産を実務上どのように取り扱ってきているのかに
ついて議論します。

プロフェッショナル・ターンアラウンドマネージャーの役割とは何でしょうか？日本では、「ターン
アラウンドマネージャー」や「チーフリストラクチャリングオフィサー」という用語自体が必ずしもま
だ十分な認知を得ておらず、プロフェッショナル・ターンアラウンドマネージャーの数も限られて
います。
本セッションでは、企業再建過程においてターンアラウンドマネージャーはどのように機能する
のか、海外におけるベストプラクティスはどのようになっているのか、さらに、日本におけるター
ンアラウンドマネージャーが直面する課題とその解決策について議論します。

Payments by cheque can be made in Pounds
Sterling (£) and made payable to: INSOL
International Limited. Payment should be sent
together with your registration form to INSOL

1SP. Payment can be made by personal or
company cheque. Please ensure that the name
of the delegate and company is written clearly
on the back of all cheques, which accompany
the registration form. Cheques must be made
payable to INSOL International Limited for the
Seminar fee.
Credit Card Payments: If you wish to pay by
credit card we accept Visa, Mastercard and
American Express. All payments debited from
your credit card will be in Pounds Sterling (£).
Cardholders will be charged by their credit card
companies in their local currency. INSOL
International is not responsible for any losses or
gains in the fee due to currency changes.
Surcharge Fee
Delegates paying with
MasterCard/Visa/American
Express will be charged a 2% surcharge to cover
the credit card transaction fee. The additional
charge will be added to your final invoice. Direct
debit cards do not incur any additional
surcharges.
Cancellation of Registration
Cancellations must be made in writing and sent
to the INSOL office by 4 November 2013, fees
will be refunded less the cancellation fee of
£50.00. We regret that no refunds can be made
after this date. A substitute maybe put forward
to fill your delegate’s place.
Travel & Health Insurance
Participants are responsible for making their
own travel arrangements. INSOL International
shall not be responsible for, and shall be exempt
from, all liability in respect of any loss, damage,
injury, accident, delay or inconvenience to any
person during the Seminar. It is the delegate’s
responsibility to be adequately insured in case
of claims pertaining to travel/accidents and
illness for the duration of his/her visit to Tokyo.
Copyright
Copyright in all software, papers and
other material produced for the Seminar
will be vested in INSOL. Companies and
their delegates may copy such material
for their personal use, but further
copying, and in particular copying for
sale or any other commercial purpose, is
prohibited without prior permission.
Cancellation of the Seminar by the
Organisers and Insurance:
In the event that the Seminar is
cancelled by INSOL, or by any reason of
any factor outside the control of INSOL,
and cannot take place, the amount of the
Registration fee shall be refunded. The
liability of INSOL shall be limited to that
refund, and INSOL shall not be liable for
any other loss, cost or expense,
howsoever caused, incurred or arising.
In particular, INSOL shall not be liable to
refund any travel costs incurred by
delegates or their guests or their
companies. It follows that delegates and
their guests and their companies are
advised to take out comprehensive
insurance including travel insurance.
Disclaimer
INSOL International (INSOL) cannot
accept any liability for any loss, cost or
expense suffered or incurred by any
person if such loss is caused or results
from the act, default or omission of any
person other than an employee or agent
of INSOL International. In particular,
INSOL cannot accept any liability for
losses arising from the provision of
services provided by hotel companies or
transport operators. Nor can INSOL
accept liability for losses suffered by
reason of war, including threat of war,
riots, and civil strife, terrorist activity,
natural disaster, weather, fire, flood,
drought, technical, mechanical or
electrical breakdown within any
premises visited by delegates or their
guests in connection with the Seminar,
industrial disputes, government action,
regulations or technical problems which
may affect the services provided in
connection with the Seminar. INSOL is
not able to give any warranty that any
person will appear as a speaker or
panellist. English Law shall govern the
contract between delegates, and INSOL
International and any disputes shall be
the exclusive preserve of the English

badges. Without your badge you will
not be allowed access to Seminar
