the powers conferred on him by Section 2 of the Superannuation
and Pensions Act 1976, has made Regulations entitled as above.

by the High Court of Ireland setting out the reduction of the
Company’s share capital by an amount of €29,525,758 was
registered by the Registrar of Companies on 17 December, 2014,
and this notice is given in compliance with the Court Order.
At a General Meeting of the Members of the said Company,
duly convened and held at Marina Hotel, Waterford, on the
5th day of December, 2014, the following Resolution was
passed:
‘‘That it has been proved to the satisfaction of this Meeting
that the Company cannot by reason of its liabilities,
continue its business and that it is advisable to wind up
same, and that accordingly that the Company be and is
hereby, wound up voluntarily’’.
At a following Creditors Meeting on 5 December, 2014, the
following Resolution was passed:

providing for the transfer to SSML of the whole of the insurance
and reinsurnace business of SSMB (the ‘‘Scheme’’); and
