November 19, 2014
I. Work Session
The work session was held at the Central Office at 5pm. The following
Commissioners were present: Chair Lewis Isaac, Vice Chair Cassandra Wells,
Member Cindy McMahon, and Member Raynetta Waters.
Open session: Gene Bell and David Nash explained the one additional amendment to
the Capital Fund budget, which has already been submitted to HUD for approval. As
a possibility discussed at the last meeting, staff determined that HACA needs to use
the $400,000 originally slated to replace the Edington Center roof to make sure the
converting RAD properties had sufficient cash to both pay off the Siemens Energy
Performance Contract obligations and to begin as RAD properties with a reasonable
operating fund base.
Gene Bell and David Nash presented Agenda Item 2 regarding the line of credit at
BB&T. The interest rate is very low because the line of credit would be secured by
cash deposits at BB&T. This security arrangement is a short-term option to access
additional cash if needed, and HACA plans to work with BB&T to find a long-term
debt facility.
II. Regular Meeting - Call to order
Chair Isaac called to order the regular meeting of the Board of Commissioners at 6:04
pm & November 19, 2014, held at Pisgah View Apartments, 1 Granada Street,
Asheville, NC 28806. The following Commissioners were present: Chair Lewis
Isaac, Vice Chair Cassandra Wells, Member Cindy McMahon, and Member Raynetta
Waters.
III. Approval of minutes from last meeting
Cindy McMahon made a motion, seconded by Cassandra Wells, to approve the
minutes. The Commissioners unanimously approved the minutes of October 22,
2014.
IV. Bills and Communications
Gene Bell stated that on November 1, 2014, the Housing Authority had a dedication
ceremony for the Edington Center. Mr. Edington was present and the event went very
well. There were several presentations. There was a job fair at the Edington Center
today. Also, today, there was a pop up event to hand out gloves and toboggans at the
Grant Center. The Resident Council has moved into their office at the Edington
Center.
V. Report of the Secretary

Gene Bell reported the monthly PH occupancy submitted with the board package

David Nash reported monthly HCV & FSS occupancy submitted with the board
package
c) Accounts receivable reports
William Hamilton reported monthly tenant accounts receivable submitted with the
board package.
d) Financial Report
David Nash summarized the bottom line of the four key budget reports submitted
with the board package.
e) Residents Council Report
Shovanda Harper, Resident Council Assistant Secretary, gave the Resident Council
Report. Resident Council has moved into their new office at the Edington Center.
Asheville GO is building the Resident Council members desks for their office.
Asheville Green Works did clean up days during the summer months, and gave out
awards for sustaining the cleanup efforts since the summer. Hillcrest did a survey for
the wi-fi and received 20 surveys completed. The South Side Drummers did a Skype
with some children from Haiti and are hoping to attend the International LEAF
Program in Haiti. The RC assisted in handing out gloves and hats to residents.
VI. New Business
1. Ratification of final budget amendment approved by the CEO to the 2014
Capital Fund Program Grant.
David Nash stated that at the last Board Meeting the Board approved the CEO to pay
off the Siemens debt in order to move forward with RAD. It was necessary, so this
amendment is to move money to assist in the payoff of this debt. This has already
been submitted to HUD, but HACA is asking for official approval from the Board.
Raynetta Waters made a motion, seconded by Cindy McMahon, to authorize
approval of ratification of final budget amendment approved by the CEO to the 2014
Capital Fund Program Grant.
The Board voted as follows:

The Chair declared the motion carried.
2. Authorization for the CEO and CFO to execute all necessary documents to
establish a short term line of credit facility of up to $1 million with Branch
Banking & Trust and to secure that line of credit with cash deposits in HACA
and/or HACA-affiliate accounts at BB&T.
Gene Bell stated that this is an opportunity for HACA to have access to cash in case
of an emergency. The line of credit is being secured with cash deposits and will only
be accessed in case of an emergency.
Cindy McMahon made a motion seconded by Raynetta Waters, to authorize for the
CEO and CFO to execute all necessary documents to establish a short term line of
credit facility of up to $1 million with Branch Banking & Trust and to secure that line
of credit with cash deposits in HACA and/or HACA-affiliate accounts at BB&T.
The Chair abstained because of a potential conflict of interest.

VII. Unfinished Business

VIII. Other Business
Dewanna Little and Christine Brown from Asheville Green Works gave a
presentation to the Board regarding their hope to implement a resident managed
recycling program in Housing. Not only would this create jobs, but it would connect
residents together. It would also help HACA reach its sustainability goals. They are
willing to collaborate with GO and with any other community agency to make this
successful. Curbie Curbside Services is willing to donate the recycling bins.
Gene Bell stated that he will be glad to look at the proposal and meet with them.
Lewis Isaac asked that this be added to the agenda for the January meeting. Keith
from Hillcrest stated that the Resident Council would like to partner with Green
Works. Gene Bell stated that he would like to meet with Resident Council and Green
Works to discuss this.
IX. Adjournment
There being no further business to come before the Board, the meeting adjourned.

Resolution No. 2014-2
Whereas:
1. The Housing Authority of the City of Asheville (HACA) is a public housing authority serving
more than 6,000 low income people, including over 3,000 low income children, through its
public housing and voucher programs;
2. HACA recently completed a conversion of 94% of its public housing stock to Section 8
Project Based Voucher assistance under the Rental Assistance Demonstration ("RAD");
3. In the course of researching title for the RAD conversion, certain exception parcels were
identified to the property descriptions of the parcels being released from declarations of
trust for purposes of the RAD conversion;
4. The specific exception parcels are more particularly described in Exhibit A attached to this
Resolution ("the Parcels");
5. These Parcels were apparently inadvertently included in, or inadvertently not released from,
old public housing declarations of trust;
6. The first four Parcels were conveyed more than 30 years ago as vacant parcels, under the
East Riverside Redevelopment Project Dollar Lot Program, for purposes of homeownership
by low and moderate income African American families;
7. The fifth Parcel is a steep slope adjacent to an African American church, which was
conveyed to the church in 1995 and was previously approved by HUD for release from one
declaration of trust but apparently inadvertently was not released from another;
8. The sixth Parcel was developed by the City of Asheville in 1995 as a playground for the
neighborhood, most of which consists of public housing (now RAD) residents, and was
conveyed to the City in 2004 by non-warranty deed for maintenance purposes;
9. No public housing dwelling units have ever been developed or located on these Parcels.
Now Therefore Be It Resolved that the Chief Executive Officer is hereby authorized and directed to
submit a disposition application to the U.S. Department of Housing and Urban Development
(HUD), to authorize release of the all declarations of trust on the Exceptions Parcels
described in Exhibit A attached hereto, and to take all necessary follow-up actions to carry
out the intent of this Resolution.
