Children’s Council of San Francisco, Fiscal Services Agency
Children’s Council of San Francisco (“Children’s Council”) is the Fiscal Services Agency for First
5 San Francisco’s (“First 5 SF”) Preschool For All program (“PFA”). This Funding Agreement
contains important information regarding the fiscal requirements for you, the PFA Provider
(“You” or “Provider”). For programmatic requirements, please refer to your Memorandum of
Understanding (“MOU”) with First 5 SF. This Funding Agreement is made between Children’s
Council and the PFA-participating agency, ABC SAMPLE PRESCHOOL.
Funding
1. Reimbursement of PFA earnings is based on the number of eligible children, type of public
subsidy received (if applicable) and Child Development Permit Level of the lead teacher
for each PFA classroom. There are two (2) types of PFA earnings: Enrollment Rates, and
Enhancement Rates, depending on whether or not the eligible child enrollment is subsidized
by another publicly-funded program.
a. The per-child PFA Enrollment Rates listed below apply to eligible children whose
enrollments are not subsidized by another public program; and to whom
qualifying services are provided for the entire PFA Program Year (defined by
provider) in alignment with PFA service requirements and “Provider
Responsibilities” articulated in the Memorandum of Understanding (MOU) and
PFA Program Operating Guidelines.

b. The per-child PFA Enhancement Rates listed below apply to eligible children
whose enrollments are subsidized by another public program. These rates are
based on the PFA Part Day Enrollment Rate listed above, less all existing subsidy
payment (such as State Preschool or APP/ CalWORKs Voucher) that the provider
is contracted to earn on the same child enrollment for the PFA Portion of the Day
(see Program Operating Guidelines). The following chart lists the estimated PFA
Enhancement Rates available per each type of subsidy, per eligible child, per
year.

* Rates are based on San Francisco’s State Reimbursement Rate Pilot with CDE/CDD and California
Regional Market Rate Survey. Changes to each subsidy’s reimbursement rate may change the
applicable PFA per-child reimbursement.
NOTE: All PFA Enhancement Rates shown are annualized, based on full-year enrollment; earnings
accruals are made per-month.
Children’s Council will issue the Provider’s reimbursement of earnings based on the actual
and verified number of eligible PFA child enrollments; the Lead Teacher’s CCTC Child
Development Permit Level; and per child public subsidy received (if applicable).
Reimbursements are calculated by First 5 San Francisco using data certified by the provider
via the “Cocoa” online data management system. Late or inaccurate provider data
certifications will delay payment processing.
2. Payment Information, Center-based programs: The first payment is an advance of thirtypercent (30%) of the projected Program Year earnings, which are based on information
from the provider and stipulated in the Funding Agreement Projections Table below.
Subsequently, according to the schedule below, center-based programs are issued
reimbursements for qualifying services provided to eligible children during the preceding
quarter of the provider’s self-defined PFA Program Year. First 5 San Francisco will determine
any applicable proration of the annual per-child earnings. Scheduled payment months are
August 2014 (advance); December 2014 (1st Quarter); March 2015 (2nd Quarter); and June
2015 (3rd and, for full-year programs, 4th Quarters). First 5 San Francisco may change the
schedule of payment months at any time during the Program Year.
Quarterly
reimbursements are based on the reconciliation of the projected number of PFA children,
actual enrollment, type of per child public subsidy received (if applicable) and the Lead
Teacher’s Child Development Permit Level for each PFA classroom. All advances issued are
recuperated by withholding one-third from each quarterly reimbursement. “Actual
enrollment” is reported to First 5 San Francisco through Cocoa online data entry, and is
verified by on-site monitoring.

3. Payment Information, Family Child Care programs: Family child care providers are issued
monthly reimbursements for qualifying services provided to eligible children in the calendar
month prior, starting from the effective date of their self-defined Program Year. Projected
Program Year earnings are based in information from the provider and are stipulated in the
Funding Agreement Projections Table below. First 5 San Francisco will determine any
applicable proration of the annual per-child earnings. Family Child Care providers do not
receive an advance payment. Monthly reimbursements are based on the reconciliation of
the projected number of PFA children, actual enrollment, type of per child public subsidy
received (if applicable) and the Lead Teacher’s Child Development Permit Level for each
PFA classroom. “Actual enrollment” is reported to First 5 San Francisco through Cocoa
online data entry, and is verified by on-site monitoring.
4. Funding Agreement Projection Table: forecast of 2014/2015 earnings from all PFA funding
types by all PFA-participating sites under the approved agency, ABC SAMPLE PRESCHOOL.
Figures in this table are based on the agency's certified actual enrollment for April, 2013;
and the applicable 2014/2015 PFA reimbursement rates listed under (1.) above. Projections
are for estimation of earnings to aid program planning, and determine any payable
advance. All payments of PFA earnings in 2014/2015 will be based on actual enrollment,
per (2.) above.

Term: The term of this Funding Agreement shall be for the period beginning on July 1, 2014 and
ending on June 30, 2015, unless terminated earlier.
Accruals of PFA earnings for
reimbursement are made according to the provider’s self-defined PFA Program Year
(typically September through August).
Termination: Failure to comply with any aspect of this Funding Agreement may result in delay
of payment, corrective action, and jeopardize PFA funding altogether, with consequences
including termination of this Funding Agreement. In the event that Provider’s MOU is
terminated, either by First 5 SF or by Provider, the unused portion of the advance shall be
repaid to Children’s Council. Provider understands that First 5 SF may terminate this Funding
Agreement without cause upon 30 days written notice to Provider, without penalty, liability or
expense of any kind to Children’s Council.
Limitation on Liability of Children’s Council: Children’s Council’s obligations under this Funding
Agreement shall be limited to the aggregate amount of grant funds actually disbursed
hereunder. Notwithstanding any other provision contained in this Funding Agreement, in
Provider’s MOU, the application documents or any other document relating to this Funding
Agreement, in no event shall Children’s Council be liable, regardless of whether any claim is
based on contract or tort, for any special, consequential, indirect or incidental damages,
including lost profits, arising out of or in connection with this Funding Agreement, the Provider’s
MOU or any activities performed in connection with this Funding Agreement.
Further, notwithstanding any other provision contained in this Funding Agreement, in Provider’s
MOU, the application documents or any other document relating to this Funding Agreement,
in no event shall Children’s Council be liable in the event First 5 SF denies or disallows Provider’s
request for reimbursement.
Submitting False Claims: Monetary Penalties. Provider acknowledges and agrees that it is
subject to S.F. Administrative Code Section 21.35. Under such Section 21.35, any contractor,
sub-grantee or consultant who submits a false claim shall be liable to the City for three times
the amount of damages which City sustains because of the false claim. A contractor, subgrantee or consultant who submits a false claim shall also be liable to City for the costs,
including attorney's fees, of a civil action brought to recover any of those penalties or
damages, and may be liable to City for a civil penalty of up to ten thousand dollars ($10,000)
for each false claim. A contractor, sub-grantee or consultant will be deemed to have
submitted a false claim to City if the contractor, sub-grantee or consultant: a) knowingly
presents or causes to be presented to an officer or employee of City a false claim or request
for payment or approval; b) knowingly makes, uses, or causes to be made or used a false
record or statement to get a false claim paid or approved by City; c) conspires to defraud
City be getting a false claim allowed or paid by City; d) knowingly makes, uses, or causes to
be made or used a false record or statement to conceal, avoid, or decrease on obligation to
pay or transmit money or property to City; or e) is a beneficiary of an inadvertent submission of
a false claim to City, subsequently discovers the falsity of the claim, and fails to disclose the
false claim to City within a reasonable time after discovery of the false claim.
Compliance with Other Laws: Without limiting the scope of any of the preceding sections of
this Funding Agreement, Provider shall keep itself fully informed of City’s Charter, codes,
ordinances and regulations and all state and federal laws, rules and regulations affecting the

performance of this Funding Agreement and shall at all times comply with such Charter,
codes, ordinances, regulations, laws and rules.
Modification: This Funding Agreement may not be modified, nor may compliance with any of
its terms be waived, except by written instrument executed and approved in the same
manner as this Funding Agreement.
Severability: Should the application of any provision of this Funding Agreement to any
particular facts or circumstances be found by a court of competent jurisdiction to be invalid or
unenforceable, then a) the validity of the other provisions of this Funding Agreement shall not
be affected or impaired thereby, and b) such provision shall be enforced to the maximum
extent possible so as to effect the intent of the parties and shall be reformed without further
action by the parties to the extent necessary to make such provision valid and enforceable.
