Ms Monika Hałupczak is a legal advisor, graduate of Adam Mickiewicz University in Poznań. For a few years she was involved with the Grynhoff Woźny i Wspólnicy law firm, first as a lawyer, then as a partner and a managing director. She was the head of a law firm and a proxy for Elektrim S.A. company. She worked for PZU S.A., where she was responsible for corporate management and cooperation with shareholders. She was also a plenipotentiary of the Board for the public offering of RUCH S.A. For the last two years she was a Member of the Board at Black Lion NFI S.A. She possesses a large experience in M&A type ekvity transactions, including notably public companies, as well as those related to restructuring processes. She is or has been a member of numerous Supervisory Boards, including among others, ZE PAK S.A., RAFAKO S.A., Elektrim Telekomunikacja S.A., Scanmed S.A., Qumak Secom S.A., ZASTAL S.A. At present, she is a partner at Kancelaria Prawna Bartkowiak Wojciechowski i Hałupczak Springer sp. j. law firm. In her professional capacity she has dealt with trade union relations at RUCH S.A., among others, where expectations and doubts were raised by the trade unions at the IPO stage. She was responsible for contacts and cooperdination between the Board, the Supervisory Board, Works Council and representatives of trade unions, including a representative of the unions within the Board. In PZU S.A. she was responsible for relations with the shareholders, especially the employee stock ownership plan. She also worked for Zelmer S.A., where she offered her support to a Member of the Board – a trade union representative in exercising their managerial rights. According to her testimony, Ms Monika Hałupczak is not a partner in a competitive civil or personal company, or a member of any body in a competitive equity company, or any other competitive legal entity. On the basis of the said testimony, she is not listed in the Register of Insolvent Debtors, run pursuant to the National Court Register law.
