2014 ENCORE Dealer Order Terms, Guidelines, and Dating Information

ENCORE Dealer Program & Pricing
Encore Outdoor Power Equipment is sold only through Authorized ENCORE Dealers. The enclosed ENCORE Dealer Unit Pricing is available to all ENCORE dealers who qualify for, and receive an open floorplan “line of credit” with Worldlawn/ENCORE
Manufacturing Corporation, and also an open account with Smiths South-Central Sales Company. ENCORE products cannot
be shipped to any dealer who does not meet minimum floorplan and open account requirements. All ENCORE products will be
shipped from Smiths South-Central Sales Company’s warehouse located in Springhill, Louisiana.
Floor Plan Terms, Invoicing, Cash Discounts, and Freight
NEW DEALER Original Stocking Order Floor Plan Terms. Encore NEW DEALER’s Original Stocking Order Floor Plan
Terms are 270-days from invoice date, and are available only to all NEW DEALER’s original stocking order only.
Standard Unit Floor Plan Terms. ENCORE Standard Unit Floor Plan terms are 180-days from invoice date, and are available
to all dealers who qualify for an open account floorplan with Worldlawn/Encore Manufacturing Corporation. Dealers must be credit
approved by Worldlawn/ENCORE credit department and must also sign a personal guarantee agreement with Worldlawn/ENCORE
to receive 180-days interest free floor planning paid by Worldlawn Power Equipment, Inc./ENCORE Manufacturing, a division of
Worldlawn. Only gasoline powered units will be billed to the dealer’s ENCORE floorplan account.
Unit Order Cash Discounts
Unit order cash discounts are available from Worldlawn/ENCORE, and must be requested prior to the shipment and invoicing of all
products. Cash discount terms are: 3% - 15-days, net 16 days.
Freight. Any and all shipping charges, if applicable, will be billed by Smiths South-Central Sales Company, and are payable
directly to Smiths South-Central based upon specific order invoice terms. Free Freight-allowance is available on all unit and part
orders. Freight damage of any kind must be immediately reported to Smiths South-Central Sales Company, followed-up in writing
including a legible, signed copy of the freight bill of lading indicating the specific damaged goods. Fuel surcharges are not a part
of the invoice freight allowance and may not be deducted as freight allowance.
Parts, Accessories, Marketing Materials. All ENCORE replacement parts, unit accessories (vacuum, blowers, ROP’s, etc.),
and marketing materials will be shipped and invoiced by Smiths South-Central Sales Company, and are due and payable directly to Smiths
South-Central based upon specific order invoice terms.

*Worldlawn/Encore through the “Free Floor Plan Period” will pay interest charges on shipments for 180 days on qualifying unit
orders. If the dealer chooses to do so, they may continue financing their unsold inventory past the free floor period by making
agreements with Worldlawn/Encore credit department to pay all finance charges at 4% over prime, beyond the free time period, for
an additional 180 days.
IMPORTANT!! SOT UNITS ON FLOOR PLAN. Dealers who are SOT (Sold Out Of Trust) will be charged interest at a rate
of Prime plus 7% until all SOT products are “Paid in Full”.
PAST DUE ACCOUNTS. All Worldlawn/ENCORE and Smiths South-Central floor plan and open account invoices are due and
payable promptly based upon the specific invoice due date(s). A finance charge for late payment will be imposed on your balance
at the interest rate of 1.5% per month, which is an annual percentage rate of 18%. All past due accounts will be shipped C.O.D. or
Cash with Order -- no exceptions.

ENCORE Replacement Parts. ENCORE parts may be included to ship with any Smiths South-Central order, and can always be
shipped with any ENCORE unit order. Encore service parts qualify for the Smiths South-Central $150 parts & accessory freight allowance program, with these exceptions: pumps, wheel motors, clutches, seats, all metal painted weldment items (decks, frames, wheels,
etc). Encore standard dealer parts pricing discount is 35% off of the Encore suggested list (unless otherwise coded). Standard Smiths
South-Central parts order terms are net 10th of the month following purchase.

Belts, Tires, and other items considered as “normal wear items” will carry a 90-day warranty, and this warranty applies only to “defect
in materials and workmanship”. The engine warranty is covered by its respective manufacturer. Please refer to the manufacture’s engine
manual for complete engine warranty coverage and limitations.
Warranty claims are filed electronically directly to Worldlawn Power Equipment, and reimbursement is received from Smiths SouthCentral Sales Company in the form of a credit to your Smiths open account. Encore warranty pays dealer posted shop labor rate and

Note: This “new” warranty is retroactive to the first Encore product that “Worldlawn Power Equipment, Inc.”, manufactured. The
first serial number used was 58436. All Encore machines produced starting with that serial number going forward are covered with this
warranty.
Bid Assistance & Fleet Assistance Program
Bid Assistance. The ENCORE “Tax Exempt Bid Program” has been established so that ENCORE Dealers may obtain assistance
toward sales to the following organizations:
1. Nonprofit – churches, church supported schools, cemeteries, etc. (IRS exemption number and 501C required)
2. Tax Supported – states, counties, cities, HUD, etc.
3. State Regulated – utilities, toll, facilities, and port authorities.
4. Commercial Cutters who are/have been contracted to mow local state or federal properties. (Tax is the responsibility of Commercial Cutter)
Fleet Assistance. The ENCORE “Fleet Assistance Program” has been established so that ENCORE Dealers may obtain assistance
on sales to larger, high-profile multi-unit commerical accounts. To qualify, the customer must purchase three (3) serialized units, or more
at one time, with a $10,000 minimum. Note: The Encore Fuzion mower is excluded from this program. Qualified mowers consist of the
following: Encore Walk-behinds, both belt drive & hydro, Encore X-Treme, Rage, Prowler, Dart, and Caliber.

Advertising and Promotion Funding
Dealers will earn a co-operative advertising allowance equal to 2% of gross purchases from Worldlawn/Encore of whole goods during
the period October 10, 2013 through September 30, 2014. Any unused funds after September 30, 2014 will be returned to Worldlawn/
Encore.
Appearance
Advertising and promotion events must appear or take place during the time frame of October 10, 2013 through September 30, 2014.
Proof of Performance
Dealer must submit paid media, show, or other eligible invoices along with appropriate documentation for each type of expenditure,

Minimum Advertised Price
Effective October 1, 2013. In order to protect the brand image of Encore Manufacturing, a division of Worldlawn Power Equipment,
Inc. and all of its subsidiaries, Encore is adopting a Minimum Advertised Price (MAP) Policy to support company goals and advertising
objectives.
This MAP Policy applies to all authorized dealers of Encore in the United States, but does not apply to dealers located outside of the
United States.
The MAP of each product shall be no lower than Manufacturer’s Suggested Retail Price (MSRP), which may be changed by Worldlawn
Power Equipment, Inc., at any time.
Any advertising of a price below the price set in the MAP policy will be considered a violation. Encore reserves the right to modify or
change the MAP Policy at any time with out prior notice. All changes and modifications will go into effect the day the revised policy
is published.
The MSRP policy only covers the advertising in the media listed below. It is not meant in any way to affect the actual selling price
at which an authorized Worldlawn dealer chooses to sell the product. Authorized Worldlawn dealers are free to set their retail prices,
therefore this MAP Policy is meant in no way to limit or restrict any dealers pricing decisions, nor inhibit in any the dealer’s independent
pricing decisions.
This MAP policy applies to all forms of eligible co-op advertising, but not limited to newspaper magazine, direct mail, radio, television,
internet (see Internet Policy), and billboards. It does not apply to in-store promotions, quotes, contracts, and government bids.
All products in our current price list are eligible to the MAP policy guidelines. This MAP price for a product is the MSRP unless modified by Worldlawn Power Equipment.
All internet advertising is subject to Encore’s MAP policy. This includes all pricing listed on an authorized dealer’s web site or advertising they do on other sites. One exception is the “Add to Cart For Price” strategy. If a unit is purchased online, this allows the checkout
page to reflect the actual selling price at the dealer’s discretion. See Internet Policy for all other rules governing internet sales.
Encore may offer special retail promotions like retail cash rebates. Under these circumstances, the dealer may use the amount of the
rebate along with the MAP policy to reflect an updated retail price. However, all advertising must be stated as the Minimum Advertised
Price minus the Manufacturer Rebate, resulting in a lowered Net Price.
Encore reserves the right (to the extent otherwise permitted by applicable law) to take any action it deems necessary to respond to any
violation with MAP policy. This includes withholding or recovering any previously paid co-op funds and/or terminating dealer’s status
as an authorized Worldlawn Dealer.
Internet & Remote Sales Policy
Effective October 1, 2013. This policy replaces all previous internet sales policies. Worldlawn Power Equipment reserves the right
to modify or change the Internet and Remote Sales Policy at any time without prior notice. All changes and modifications will go into
effect the day the revised policy is published by Worldlawn power Equipment.
All Encore equipment must be sold and delivered by a local authorized Encore Dealer. Encore dealers are responsible for setup, deliver,
and hands-on training of the end user and all service required after the sale. This means machines may not be shipped to the purchaser.
When selling machines online, the dealer must adhere to all Minimum Advertised Price (MAP) Policy Guidelines.
No authorized Worldlawn/Encore dealer can sell any Worldlawn Power Equipment product on a web site other than their own web site.
This means NO Worldlawn Products or demo units will be allowed to be retailed on internet auction sites such as EBAY. Web sites
where the transaction does not take place online and is only a form of advertising, like Craigslist, is permitted. Products can only be
advertised in the dealer’s local area and adhere to all guidelines in the MAP Policy.
Any authorized Worldlawn dealer who receives notice that they are in violation of the Internet and Sales Policy will have 24-hours to
become compliant. Upon notice of a second violation, the dealer is subject to any penalty Worldlawn Power Equipment deems appropriate (to the extent otherwise permitted by law) including immediate dealer cancellation.
