さて、弊社の親会社である China Shipping Container Lines Co.,Ltd.(CSCL) と COSCO
Container Lines Co.,Ltd.(COSCON) との経営統合について、12 月 11 日に別紙のとおり発
表がありました。まだ詳細については発表されておりませんので、情報が入り次第、順次
ご報告させていただきます。
なお、原文は中国語と英語ですが、ご参考用として日本語の対訳も添付させていただきま

尊敬的供应商伙伴：
今天，中海集运、中海发展、中国远洋及中远太平洋公布重大资产重组方案，正式揭
开了中国航运业央企改革重头戏的序幕。整合后的新集运公司将跻身全球前四大集装
箱航运巨头的行列，经营船队包括288艘集装箱船舶，其中8000标准箱以上运力的船
舶达84艘，总运力近160万标准箱。此轮重组将为我们整合这些优势资源，为客户提
供更加优质的服务奠定坚实基础。
重组整合交易完成后，中海集运将通过出租船舶，收购两个集团及中国远洋持有的租
赁业务，并择机注入其他航运金融业务和金融类资产，实现产融结合和业务转型。中
国远洋下属子公司中远集运将租入中海集运船舶和集装箱等资产，同时剥离干散货航
运业务，中远太平洋购入中海集团和中海集运的码头资产，从而实现中国远洋对集装
箱运输及码头业务的整合。
作为中国航运业的领军企业，中海集运和中远集运有着多年合作的基础。通过本次重
组整合，新公司将实现资源的优化整合并充分捕捉协同效应，这不仅可以提高公司的
运力规模、拓展业务范围，更能实现航线网络和运力的优化以及船队结构的改善。还
将进一步夯实我们为客户提供优质服务的能力，有助于我们与供应商及联盟伙伴合作
创造新机遇，同时也能为员工提供更广阔的发展平台。
我们借重组整合的契机感谢各位供应商伙伴多年来的大力支持，你们的支持是我们业
务得以成功不可或缺的一部分。此次重组整合对中海集运与中远集运意味着更多的市

两家集运公司预计于明年初正式进入业务整合过渡阶段。整合期间，我们将按步骤地
有序推进业务的整合，保障业务的平稳过渡，有任何进展都会及时进行沟通与公告。

Dear Supplier,
CSCL and COSCON will restructure and integrate in order to reshape China's
shipping industry and become one of the top four container shipping giants in
the world. We will combine our quality resources to achieve synergies and
provide better customer service.
On December 11th, China Shipping Container Lines (CSCL), China Shipping
Development (CSD), China COSCO, and COSCO Pacific announced plans to
restructure key assets, kicking off the SOE reforms in China's shipping industry. The
restructuring and consolidation will create one the world's four largest container
lines companies, with a fleet of 288 container ships, including 84 ships with a
shipping capacity of more than 8,000 TEUs, and total shipping capacity of
approximately 1.6 million TEUs. This integration will help us combine our quality
resources to achieve synergies and provide better customer service.
CSCL will achieve business transformation by leasing ships and container boxes;
acquiring the leasing business held by COSCO and China Shipping; and injecting
other ship financing business and assets. COSCO Container Lines (COSCON), a
subsidiary of COSCO, will rent CSCL's assets, including ships and container boxes
etc, and divest the bulk shipping business, COSCO Pacific will buy the port assets
of China Shipping and CSCL in order to integrate container shipping and port
businesses.
As the leading companies in China's shipping industry, CSCL and COSCON have
cooperated with each other for years. We will greatly improve the new company’s
core competence after the restructuring and consolidation. Expanded shipping
capacity and widened scope of the business enable us to optimize the route network
and improve the fleet structure. The restructuring and consolidation will also
enhance our ability to deliver quality services to our customers, create new
opportunities to cooperate with our suppliers and alliance partners, and offer our
employees a broader development platform.
As we prepare to make the transition, we want to thank you for your strong support,
which has been essential to our success. The restructuring and consolidation will
create more business opportunities for CSCL and COSCON,
and we look forward to expanding our cooperation with you to achieve even greater
mutual success. We are still in the process of making decisions on our development
strategy and route alliances. We will timely communicate the latest updates with you,
our highly esteemed partners. We believe this restructuring and consolidation will
bring more opportunities for our cooperation.
We expect to start the business integration at the beginning of next year and to
complete the transition within one year. Throughout the transition, our top priority is
to maintain business continuity.

月 11 日付で重要資産においての統合案を発表し、中国海運業界における、中国国有企業の
改革が正式に始まりました。
この経営統合により、コンテナ船は 8000TEU 以上の本船 84 隻を含む 288 隻、総キャパ
シティはおよそ 160 万 TEU となり、
世界 4 大コンテナ船社の一角を占めることになります。
両社の質の高い資源を統合することによる相乗効果によって、お客様によい良いサービス
の提供を実現していきます。
CSCL は、China Shipping 及び China COSCO のコンテナリース業務を取得し、その他
の船舶金融業務及び金融資産にも注力することで、コンテナ船及びコンテナのリースを通
じてビジネスモデルの転換を目指します。 China COSCO の子会社である COSCO
Container Lines (COSCON)は CSCL のコンテナ船及びコンテナなどの資産を借入し、バ
ルカー業務を切り離します。COSCO Pacific は China Shipping 及び CSCL のターミナル
資産を取得することで、コンテナ輸送及びターミナル業務の統合を実現します。
CSCL と COSCON は、中国船舶輸送業界のリーダーとして長年にわたり協力関係を保っ
てきました。今回の統合によって生まれた新しい会社の強みをこれから強化していきます。
輸送規模の拡大及び業務開拓を進め、航路のネットワーク及び船隊の構造改善を実現して
いきます。そうすることによって、お客様へのより良いサービスを提供する能力を高め、
サプライヤーとアライアンスのパートナーに新しいビジネスチャンスを作り、弊社の社員
にもより大きな活躍の場を提供していきます。
