(hereinafter “HTLC”); whereas - the Customer declares to have received the statement pursuant to Article13 of the Legislative Decree no. 196/2003 and consents to the processing of personal data by attorneys, their addressees, colleagues and collaborators of the Firm; - the Customer declares to have been informed, pursuant to Article 4, paragraph 3, of the Legislative Decree no. 28/2010, of the possibility of petition to the mediation procedure prescribed therein and of the tax benefits under Articles 17, 20 of the same Decree; - the Customer declares to have received the information that, within the limits of Article 12, paragraph II, of the Legislative Decree N. 231/2007 for anti-money laundering rules, HTLC is obliged to report suspicious transactions; confirmed by the Customer the consent for the processing of personal data pursuant to Articles 1 and following of the Legislative Decree n. 196/2003 agree the following: Art. 1 – Validity of the agreement premises 1. The premises are integral part of this agreement. Art. 2 – Task assignment 1. The Customer entrusts HTLC, which accepts, to represent and to defend him. 2. This list is not to be considered exhaustive and the consulting may also cover other issues. 3. The Customer declares to have been informed by HTLC about of all the foreseeable circumstances when the contract was signed. 4. HTLC undertakes to inform the Customer via email prior to the start of each batch of continuous activity of the estimated minimum and maximum time of activity, hours of travel and out of pocket expenses, within 8 working hours of the request for preliminary approval always via email; then such a system will be replaced by an automatic ticketing web system related to invoicing. 5. The consulting provided by HTLC in favour of the Customer will be (mark with an ‘x’ the chosen consulting) : continuous occasional Art. 3 - Collaborators. Consultants and investigators. 1. The parties agree that HTLC may rely, under its own responsibility, on legally qualified consultants for the performance of professional services agreed upon. 2. Differently answer times provide for a standard within 24 working hours, unless otherwise specified by HTLC for specific complexities. Expenses refund: km. ACI at 2 € / km. (lengths routes from Google Maps), train, taxi, flights, accommodation, with prior written approval, if required by the Customer, otherwise approved as charged. 2. Lump-sum compensation: In case of choice of the continuous consulting, the Customer will pay to HTLC the monthly amount of € _____________ (______________), subject to review of the same by HTLC within 90 (ninety) days after the signing of this agreement and, therefore, within that period, the monthly compensation could be subject to renegotiation between HTLC and the Customer, according to the amount, complexity and geographical distribution of the covered activities. The lump-sum compensation does not include expenses refunds that are regulated as per art. 4 point 1. of the present agreement Art. 5 Payment terms 1. 3. 4. 5. 6. 7. 8. HTLC undertakes to issue payment requests / billing notices according to the following deadlines. a) In case of continuous consulting the Customer will pay the amounts due within 8 (eight) days from the billing notice, which will be issued on a monthly basis, with the banking system RID (the related bank form is attached to this agreement and must be returned signed jointly the same as an essential element of the agreement in the absence of which the service will not take place). b) In case of occasional consulting the Customer will pay 50% of the amount due at the time the order is given, coinciding with the signing and receipt by HTLC of this agreement, and the balance upon completion of consulting within 8 (eight ) days after issuance of the billing notice by bank transfer. The non-payment of the due amounts or the non-reimbursement of the costs anticipated by HTLC constitutes a case of possible termination of this agreement. The Customer is required to pay HTLC the full amount resulting from this agreement, regardless of the potential Court settlement and of the burden of reimbursement charged to the counterparty. If the amount judicially settled exceeds the amount agreed in writing by the parties, the difference will be recognized in favor of HTLC. HTLC will be entitled to receive directly by the counterparty the payment of the legal fees on charge of the latter and hold them in compensation up to the satisfaction of its own credit. In case of cancellation or withdrawal of the mandate or any other extinctive cause, the Customer will pay as agreed for the activities hitherto carried out. The duration of the continuous agreement is expected from the date of signature of this agreement until the end of the current calendar year, with automatic renewal for the next calendar year, unless terminated in writing with at least three months' notice.
