PART A - INVITATION AND RULES
1. INVITATION
Bio Innovation SA (“BioSA”) invites tenders for provision of Conference Centre
Operator services (“the Requirement”) on the terms of this document. This is an
invitation to treat and not an offer.
2. BACKGROUND
BioSA was established pursuant to the Public Corporations (Bio Innovation SA)
Regulations 2001 to foster the growth of the bioscience industry in South Australia.
As part of its operations, BioSA manages two business incubator buildings in
Thebarton, the BioSA Business Incubator, and Tech Hub. The BioSA Business
Incubator houses a Conference Centre, which is open for bookings to the public.
The Conference Centre is managed by a third party contractor, on behalf of BioSA.
Due to SA Government procurement requirements, BioSA is requesting suitable
catering businesses to tender for the Conference Centre Operator contract, for a
term of up to 3 years.
The current Conference Centre Operator contract expires on 30 November 2014.
The current Conference Centre Operator has been invited to re-apply.

including the Competition and Consumer Act 2010 (Cth);
disclose whether acting as agent, nominee or jointly with another person
and disclose the identity of the other person;
not offer any incentive to, or otherwise attempt to influence, any employee
of BioSA or any member of any evaluation committee at any time;

conduct itself in a manner that does not invite, directly or indirectly,
BioSA’s officers, employees or agents or any public sector employee (as
defined in the Public Sector Act 2009) to behave unethically, to prefer
private interests over BioSA’s interests or to otherwise contravene the

not make any news releases or responses to media enquiries and
questions pertaining to this process without BioSA’s written approval.
If a respondent acts contrary to these expectations, BioSA reserves the right
(regardless of any subsequent dealings) to:

terminate negotiations;

terminate consideration of that respondent’s tender; and

terminate any contract between that respondent and BioSA in relation to
the Requirement without any obligation on BioSA to make any payment to
that respondent.
8. RESERVATION OF RIGHTS

invite any person or entity to submit a tender;
extend the tender closing date;
vary the Statement of Requirement and/or the Specifications at any time,
subject to BioSA first giving each respondent the opportunity to respond to
the variations;
allow a respondent to correct any mistakes in its tender provided that this
does not give rise to any unfairness to any other respondent;
allow a respondent to change its tender before the completion of
evaluation of tenders, but only if the same opportunity is given to all
respondents;
consider a tender submitted other than in accordance with this document;
consider an incomplete tender;
exclude from consideration a tender that has not been submitted by the
Closing Time;
abandon this invitation process at any time;
clarify any aspect of a tender after the closing date;
seek the advice of external consultants to assist BioSA in the evaluation
or review of tenders;
make enquiries of any person or entity to obtain information about the
respondent and its tender;
seek information from any respondent;
following evaluation of tenders, invite revised tenders from one or more
respondents;
following evaluation of tenders, negotiate with one or more respondents;
negotiate with a respondent for the provision of any part of the
Requirement, and to negotiate with any other respondent with respect to
the same or other parts of the Requirement, and to enter into one or more
contracts for all or any part of the Requirements;
enter into negotiations with any other person or entity who is not a
respondent;

discontinue negotiations at any time with any respondent; and
propose revised or replacement contract terms at any stage in this tender
process in substitution for, or in addition to, the terms and conditions
included.
9. ACCEPTANCE
BioSA is not obliged to accept any tender.
If BioSA does accept a tender it is not obliged to accept the lowest price tender.
BioSA may consider or accept (at BioSA’s sole discretion) any tender including
without limitation a late tender or the tender of a respondent who has failed to
submit a tender in accordance with these rules.
No acceptance of a tender nor any invitation to negotiate or to make an offer
will be effective to constitute a contract or to create any legitimate expectation
on the part of the respondent unless a formal written contract is executed by
both parties.
Notification to a respondent that it is the preferred respondent will not constitute
an acceptance of the tender but an invitation to negotiate.
10.
EVALUATION CRITERIA
BioSA reserves the right to consider other tenders for the Requirement.
The respondent is reminded that any requirements identified as mandatory are
considered to be of fundamental importance to the delivery of the Requirement,
and a fully compliant response is expected.
Respondents will be evaluated against the following general criteria:

Prior performance

Demonstrated relevant experience

Compliance with Statement of Requirement and/or Specification

Management approach, capability and capacity (including quality
systems, risk management approach, methodology, customer service,
innovation, proposed work plan, availability of resources)

Price/cost

Compliance with government policies and laws (environmental, work
health and safety etc)
Respondents may be required to provide supporting information to enable these
criteria to be assessed.
11.
COST OF PREPARATION OF TENDERS
Respondents are responsible for the cost of preparing and submitting a tender
and all other costs arising out of the process.

12.
GOVERNMENT POLICIES
South Australian Government policies on industry participation and other
matters apply to all South Australian Government procurement and related
transactions.
13.
CONSORTIUM TENDERS
If a respondent submits a tender in conjunction with any other person, or with
the intention of acting, in the future, in conjunction with any one or more other
persons (“group members”) in relation to this process the following applies:


BioSA expects that a respondent will provide a description of the
proposed legal structure and relationships that are proposed between the
respondent and group members; and
BioSA expects that respondents will nominate one person as the
preferred contact person for their company and all group members.
Notwithstanding any undertaking regarding confidentiality, by submitting a
tender, the respondent agrees that BioSA may forward information relating to
the respondent or its tender to the Australian Competition and Consumer
Commission (ACCC) if BioSA reasonably suspects, or is notified by the ACCC
that it reasonably suspects, that there is cartel conduct or unlawful collusion in
relation to this tender process (whether or not the suspicion relates to the
tender).
14.
CONFIDENTIALITY
You and BioSA may disclose information to any consultant engaged for the
purpose of this process if the consultant is required to preserve the
confidentiality of that information.
Information supplied by or on behalf of BioSA is confidential to BioSA and you
are obliged to maintain its confidentiality.
BioSA understands the need to keep commercial matters confidential in
appropriate circumstances, but reserves the right to disclose some or all of the
contents of your Tender and related information:


if required to do so by law or convention; or
in order that the relevant Minister may discharge their duties and
obligations to Parliament and the South Australian Government; or

to the Australian Competition and Consumer Commission (ACCC) if
BioSA reasonably suspects, or is notified by the ACCC that it reasonably
suspects, that there is cartel conduct or unlawful collusion in relation to
this RFT process (whether or not the suspicion relates to your tender),
and any condition in a tender that purports to prohibit or restrict the
Government’s right to make such disclosures cannot be accepted.

15. STATE FEDERAL COOPER ATION ON TRADE
PRACTICES MATTERS
You must submit with your tender a signed declaration, in the form set out in
Annexure A, that:
(a)
confirms that your tender is independent and that there has not been
any unlawful collusion with any other respondent or party in connection
with this RFT process; and
(b)
clearly indicates the estimated total value of the goods and/or services
to be provided by sub-contractors, and where that value exceeds 25% of
the total value of your tender, your declaration must include a complete
list of all sub-contractors, the value, and the nature of the work to be
provided under each sub-contract.
If your tender is submitted jointly with another party or parties then each joint
respondent must provide a signed declaration in the form set out in Annexure A.
The requirement of independence in sub-clause (a) shall not apply as between
the joint responding parties.
If you do not provide the duly completed declaration or if any part of your
declaration is found to be false BioSA reserves the right (regardless of any
subsequent dealings) to:




terminate negotiations;
terminate consideration of your tender; and
terminate any contract between you and BioSA in relation to the
Requirement without any obligation on BioSA to make any payment to
you.
PART B – REQUIREMENT AND SPECIFICATION
Services
Conference Centre Operating Agreement.
The Conference Centre operator is primarily responsible for the efficient
functioning of the conference centre located in the BioSA Business
Incubator building, Lot 1, 40-46 West Thebarton Road, Thebarton SA
5031. This includes dealing with conference centre clients and guests,
taking event bookings, catering for events, room set-up and pack-down,
social media marketing for the conference centre, invoicing conference
centre clients and timely reporting to BioSA of event bookings.
See Schedule 1 for a full description of the services and KPIs.
Term
Up to 3 years, commencing 1 December 2014.
Fee
Tender parties to advise the fee structure and any performance incentives
offered.
The conference centre operator will be entitled to retain all proceeds
received from catering activities unless otherwise offered by tender and
accepted by BioSA.
BioSA will be entitled to retain the Room Hire Fees in accordance with the
schedule in Schedule 2, subject to any performance bonus entitlements,
unless otherwise offered by tender and accepted by BioSA.

for such further hours as are required to perform the Services (which
includes after hours, weekends and public holidays).

An additional, adjacent office may also be available (negotiable). Tender
parties to advise if an additional office is required as part of their tender.
Food and
Beverage
Requirements
Tender parties are advised that they must be able to provide a high quality
conference centre menu package comprising at least the following:


A fresh and tasty conference centre menu package, offering a
variety of hot and cold selections; and
A range of good quality hot and cold beverages, including South
Australian wines and beers.
Tender parties must supply their proposed food and beverage pricing
structure, as this will be a relevant factor in determining the successful
tender.
Tender parties may also be requested by BioSA, as part of the tender
process, to provide examples of their food offerings in order for BioSA to
consider quality, as this will also be a relevant factor in determining the
successful tender.
Tender parties must hold a liquor licence enabling them to provide the
services.
Equipment
BioSA will supply the equipment specified in Schedule 4.
The conference centre operator will be required to supply any additional
equipment required to perform the services.

Overheads of the conference centre operator including staff, contractors,
cost of goods, food, beverages and equipment not supplied by BioSA,

Any fees or costs to obtain and maintain a liquor licence to enable the
conference centre operator to provide the services.

Rent and utilities (including gas, electricity, water, lighting, telephones and
internet) for the premises used by the Conference Centre Operator.
Repair, maintenance or replacement of BioSA’s property and equipment.

Schedule 1
General Description of Services
The Supplier is to operate all aspects of the BioSA Conference Centre including;

Catering and Events- provide an efficient, licenced catering service for the
Conference Centre Clients, to a quality and standard expected of that operating
in commercial business premises, and manage the running of events including
the set-up, break-down and clean-up of functions

Administration- administering the Conference Centre’s operations, including
taking booking, managing events and event enquiries, liaising with Conference
Centre Clients, quoting and invoicing of clients and reporting to BioSA

Marketing- marketing the Conference Centre in accordance with the Marketing
Plan
Specific Services
Catering and Events
Operate a licenced catering service for Conference Centre Clients that is reasonably
priced and is appropriate to the business trade providing:


A fresh and tasty Conference Centre menu package, offering a variety of hot
and cold selections; and
Good coffee and a range of other hot and cold beverages, including wine and
beer.
Offer high quality event management and catering service to the Conference Centre
Clients including:





setup and breakdown the Conference Centre configuration for events
serve food and beverage at events
assist the Conference Centre Clients with any troubleshooting or other matters
prior to, during or after events
tidy up and spot cleaning during and after events (but not including
comprehensive mopping or vacuuming of Conference Centre)
maintain a consistently high level of service to the Conference Centre Clients at
all times

90% or more of the Conference Centre Clients, when monitored, consider
that the food, beverages and service they received was “satisfactory” or
better
The Supplier is able to cater, for any given event, a range of food and
beverages adequate for 95% of the Conference Centre Clients
No adverse events occur with respect to catering or event management.
An adverse event is one where an aspect of the event has been wholly or
substantially overlooked such as;
o a failure to provide food or beverage service to an event (where
the food or beverages have been pre-booked)
o
a failure to setup the Conference Centre configuration for an event
Administration
The Supplier is responsible for managing events and event enquiries, on-line bookings
and logistics, ensuring a high level of customer service at all times and at least during
the minimum operating hours.
The Supplier will be required to work closely with Conference Centre Clients, BioSA
and BioSA’s contractors in performing the following:

coordinating and managing Conference Centre events including all logistics
from initial concept design through to execution and review

manage the Conference Centre Booking Software and receive and confirm
bookings from Conference Centre Clients

ensure adequate staff are rostered so that proper service levels are maintained
during times of peak event activity and during the minimum operating hours

invoice Room Hire charges on behalf of BioSA

liaise with, and provide adequate reporting to, the BioSA finance team to allow
for BioSA to review and record invoices to Conference Centre Clients for Room
Hire

liaise with the Director, Biotechnology Infrastructure in a timely manner prior to
confirming bookings for events that will wholly or partially run Out of Hours
Administration KPIs

BioSA is provided with copies of Room Hire charges invoices no later
than the business day after the event at least 90% of the time, with 100%
of copies of Room Hire charges invoices provided to BioSA no later than
three business days after the event

confirmed bookings are quoted and invoiced with the correct Room Hire,
with no more than one incorrect invoice provided per quarter (not
including incorrectly quoted bookings that are resolved satisfactorily to the
Conference Centre Client and BioSA)

BioSA is notified at least 90% of the time prior to bookings being
confirmed for events that will wholly or partially run Out of Hours, with
BioSA being notified 100% of the time prior to the event for events that
will wholly or partially run Out of Hours.
Marketing
The Supplier is responsible for promoting the use of the Conference Centre to the
business community, with the aim of increasing the use and productivity of the
Conference Centre.
The Supplier may be required to work closely with the BioSA marketing team and
contractors, with the implementation of internal and external communications,
advertising, public relations and promotional programs.
The Supplier will be required to seek to grow the number and patronage of Conference
Centre Clients by;

Sales calls

Marketing campaigns via social media

Develop and maintain effective relationships with the SA bioscience industry,
tenants of the BioSA Incubator, suppliers, media agencies and the BioSA team

Conduct client satisfaction surveys from time to time

Collect and collate statistical database information and report on Conference
Centre activities and

Generally implementing the Marketing Plan in conjunction with the BioSA
Marketing team

Requirement without any obligation on BioSA to make any payment to the
