Asset tracing
ƒƒ Kernel – on a US$260 million joint venture between this
leading global commodities company and a Ukrainian agribusiness to acquire a major processing facility on the Black Sea
ƒƒ Arab Republic of Egypt – in relation to the recovery of
assets misappropriated by former president Hosni Mubarak,
successfully tracing assets on a global scale and working with
governments across many jurisdictions
ƒƒ Rusal Limited – on its US$30 billion merger with Sual and the
assets of Glencore International, to form United Company Rusal,
the world’s largest aluminium producer
ƒƒ First Investment Bank – on its acquisition of the Bulgarian
bank, MKB Unionbank EAD, from a Hungarian subsidiary
of Bayerische Landesbank. Following the acquisition, First
Investment Bank’s assets are valued at approximately £3.6
billion
Energy
ƒƒ CEZ Group – on a €1.1 billion development of one of the largest
on-shore wind farms in Europe
ƒƒ Motor Oil Hellas – on its €250 million acquisition of Shell’s
downstream business in Greece including 700 petrol stations,
requiring EU competition clearances
ƒƒ Soma Oil & Gas Holdings Limited – on an agreement signed
with the Government of the Federal Republic of Somalia to
assist in the development of the country’s hydrocarbons sector
and on an equity investment of US$50 million from the private
equity investment company Winter Sky
Finance
ƒƒ European Bank for Reconstruction and Development – on
the financing of the manufacture of Tupolev 20C aircraft at the
Aviastar facility in Ulyanovsk
ƒƒ Lion Air – on its acquisition of 230 Boeing 737 aircraft, valued
at US$22 billion. This remains the largest aircraft order
ƒƒ Bank of China – on a US$517 million loan to Pacific
International to finance 14 container ships built in China. This
was the first ship financing backed by Sinosure lease insurance
policies, and was described by Trade Finance magazine as ‘a
landmark for ship finance’

ƒƒ KPMG – in relation to the launch of a US$300 million closedend fund focused on CIS region opportunities
ƒƒ Taiga Asset Management – on a transaction involving the
reconstruction and internalisation of the management company,
together with its employees, to form part of Varyag Resources

Commercial litigation
ƒƒ UBS/Sociéte Générale – on claims arising out of a €2.3 billion
syndicated loan to finance an acquisition brought by Germany’s
motorway services giant, Tank & Rast
ƒƒ AirAsia – in respect of a multi-million dollar claim brought
against them by lessor Babcock & Brown arising out of the
delayed redelivery of an aircraft
Arbitration
ƒƒ Nigerian National Petroleum Corporation – on the
enforcement in London of a US$300 million plus award made
in Nigeria
ƒƒ Government of Bolivia and Entel – in relation to an unlimited
freezing order made against them. This was in support of ICSID
arbitration proceedings brought against the Republic of Bolivia
by Telecom Italia (ETI) following the announcement by Bolivia
that ETI’s shares in Entel would be expropriated. We acted for
Bolivia in successfully discharging the freezing order
Insurance
ƒƒ Ingosstrakh – on multimillion recovery proceedings in relation
to an insurance claim brought in an African country
Sanctions
ƒƒ Bank Melli – on the impact of the EU and UK sanctions
legislation on its business
ƒƒ Two of the largest Russian state-owned banks – on the
effects on their businesses of rapidly developing EU sanctions in
relation to Ukraine
Maritime and international trade
ƒƒ Russian FGUP – on the hire of cruise ships to provide
accommodation facilities at the forthcoming Sochi Winter
Olympic Games. Drafted and negotiated contracts for the hire,
operation and commercialisation of the cruise ships as floatels
Competition
ƒƒ Vitol BV – on the joint acquisition by Vitol BV and Grindrod
Limited of Cockett Marine Oil (one of the leading value added
resellers and physical marine fuel suppliers in the world),
including securing a Phase I clearance from the European
Commission and South African competition authority
Tax and wealth management
ƒƒ HSH Nordbank – on a complex tax lease financing for four
7,500 TEU containerships chartered to A.P. Moller – Maersk
Group combining a German tonnage tax structure with a UK tax
lease structure
Real estate and construction
ƒƒ St. Martins Property Group – on the £400 million acquisition
of the iconic Willis Building, one of the largest asset transactions
in the City of London in 2008
ƒƒ Lloyds Banking Group – advised on an £80 million loan facility
to a property fund with an underlying property portfolio valued
at £400 million
