PURCHASE PRICE: Listed purchase prices are in the “Payment Options” table below and include pricing options with or without financing.
DEPOSIT: To secure the Property a non-refundable Reservation Fee of USD1,000 must be paid within five (5) working days of submission of this
Intent to Purchase Agreement.

FINANCING TERMS: All Property Purchasers who opt for financing will be required to complete the Financing Agreement, which lists the terms
and conditions, principally Asia Property Portfolio Management Pte Ltd (“APPM”) receiving the net income from the Property, via participation
in the Rental Pool Option for a term of seven (7) years, in exchange for APPM paying 50% of the purchase price. All other terms and conditions
for Property Purchasers remain the same. Financing is guaranteed for all Property Purchasers who wish to exercise the financing option, is not
subject to status, and is not secured on the property itself.
SECURITY HELD: The property will not be held as security at any point during the transaction or financing period. Property title deeds will be
transferred to the Property Purchaser upon completion of the purchase.
RENTAL POOL OPTION: All Property Purchasers have the option, on an annual basis, to join the Resort’s rental pool structure. This structure
pools and shares rental profit equally between Property Purchasers, according to unit type: one pool for the rental of One Bedroom Garden
Villas, one pool for the rental of One Bedroom Ocean Villas, and one pool for Two Bedroom Ocean Villas. Property Purchasers who opt for the
50% guaranteed financing option are contractually required to enter the Rental Pool for the first seven (7) years of operation, with the profits
made during those seven years paid to APPM as consideration for the payment of 50% of the property purchase price by APPM.
DISTRIBUTION: Net profit to Property Purchasers who have opted in to the Rental Pool will be distributed quarterly and occur on the first day
of the quarter in arrears.
MANAGEMENT FEE: An annual management fee of 25% of gross operating profit (GOP) will be deducted prior to distribution of profit to
Property Purchaser. The Management Fee will include allocations for maintenance, branding and tax.
PROPERTY USAGE RIGHTS: Property Purchasers opting in to the Rental Pool Option retain usage rights for 21 calendar days per year, to be
used at a time of their choice, subject to availability at the time of booking. Property Purchasers not entering the Rental Pool may use the
property all-year-round with no restrictions.
LEGAL STRUCTURE: The property is currently in Hak Milik (freehold status). Indonesian nationals will have the option of attaining the title to
the property at Hak Milik level. Other nationals can purchase the property as a 50-year leasehold with the option to extend by an additional 20
years. The option for foreign nationals to have an Indonesian nominee purchase the property is accepted. More information can be found on
the Ownership Structure supplementary information document, or you may contact the developer directly.
DEFAULT SCENARIO: Makati Capital Partners Pte Ltd, will provide a corporate guarantee to all Property Purchasers in respect of all monies
paid by Property Purchasers, until the construction is fully complete and operational.
LEGAL JURISDICTION: This investment contract is bound by and subject to the laws of the Republic of Indonesia and any disputes relating to
the formation or execution of the terms and conditions laid out in this contract will be subject to the ruling of the courts of Indonesia.
DATA PROTECTION: Both PT Makati Properti Indonesia and it’s appointed sales agents will take all reasonable steps to ensure the protection
of investors personal data and will abide by all relevant laws in this regard.
PURCHASE PROCESS: Upon completion, this application form must be sent to PT Makati Properti Indonesia for processing. PT Makati Properti
Indonesia will send to the applicant the complete Buyer’s Package comprising of: Intent to Purchase Form, Management Agreement, Owner
Charter, Share Purchase Agreement, Rental Pool Agreement and Finance Agreement (“Buyer’s Agreement”). The applicant will have thirty (30)
days to sign the agreements contained within the Buyer’s Package and transfer the full payment of their Payment Option. The applicant must
state their surname or other name on the bank transaction narrative to enable the remitter of the funds to be identified. If funds are not
received within thirty (30) days, the Property may be given to someone else. Upon receipt of funds, confirmation will be sent to the Property
Purchaser in writing and by email.
SUBMITTING COMPLETED APPLICATION FORMS: Completed application forms can be submitted by mail delivery to PT Makati Properti
Indonesia at: Menara Gracia, Lt. 9 Unit: 908, Jl. HR. Rasuna Said Kav. C-17, Jakarta 12940; or via the agent APPM, this can be done through any
authorised representative of APPM, by emailing scanned versions to [email protected]. Please seek confirmation that your
application has been received.
COMPLETING YOUR PURCHASE: Monies equal to the purchase price must be sent within thirty (30) days of the completion of this application
to the following bank: BCA Indonesia, BCA Epicentrum, for credit to PT. Makati Properti Indonesia, account numbered 5055101199 (USD). It
should be noted that all bank charges in connection with currency exchange, or remittance or transfer of funds shall be solely borne by the
Property Purchaser. Each payment must be received in full. You must quote your name on the transaction narrative.
