Louinda V. Lacey
Attorney
Ms. Lacey’s practice focuses on environmental/natural resources, real estate, and business law. With
a broad combination of experience and education in these sectors, she crafts creative approaches to
develop workable solutions for complicated legal issues. Ms. Lacey has advised and counseled
individuals, and public, private, and non-profit entities in real estate, business, and environmental
regulatory compliance and enforcement matters. When negotiations fail or disputes arise, she draws
on her skills and experience in administrative enforcement proceedings and civil litigation before
state and federal courts to obtain the best possible results for her clients.
Prior to becoming a lawyer, Ms. Lacey worked in real estate acquisition and development for one of
the nation’s largest homebuilders. There, she participated in the company’s leadership development
program, gaining expertise in various critical functions, including real estate acquisition, residential
sale agreements and associated disclosures, construction and development agreements, tentative
and final map applications and approvals, and subdivision map act requirements. Ms. Lacey also has
a finance background and holds a Master of Business Administration degree.
Representative Experience
Litigation and Administrative Enforcement
Represent public and private clients in environmental litigation under CERCLA, RCRA, PorterCologne, and the Hazardous Substances Account Act.
Defend clients against governmental enforcement actions brought by the administrative agencies,
including the California Air Resources Board, local air quality control districts, California
Environmental Protection Agency, California Toxics and Substances Control, and state and regional
water quality control boards.
Assist clients in Clean Water Act citizen suits.
Represent clients in CEQA appeal of mining expansion project approval.
Defend clients in real property litigation involving deeds of trust, modification and subordination
agreements, and purchase and sale agreements.
Defend residential and commercial general contractors and real estate developers in various
construction defect cases, including Senate Bill 800 et seq. claims. Secured dismissal for
subcontractor in pipeline and soil movement case in which the State of California was the crosscomplainant.
Defend general contractors and real estate developers against mechanics’ lien and stop notice claims.
Secured release of improper mechanics’ liens filed by a financial institution.
Secure insurance and duty to defend acceptances and challenge improper denials on behalf of clients.
Defend clients in landlord-tenant and predatory lending cases.
Regulatory Compliance
Advise clients regarding reporting, use, maintenance, and purchase requirements under the
California Air Resources Board’s mobile vehicles and equipment regulations and orders.
Advise clients regarding application of Clean Water Act and Porter-Cologne provisions to various
water bodies, and permit requirements relating thereto.
Advise client regarding environmental assessments needed for Habitat Conservation Plan.
Advise clients regarding water diversion restrictions and regulations, and California reporting
requirements.
Advise clients regarding the application of and potential liability under CERCLA, RCRA, and the
Emergency Planning and Community Right-to-Know Act.
Advise clients regarding compliance requirements under CEQA, NEPA, and the federal and state
Endangered Species Acts, and assist clients with project approvals.
Advise industry and municipal clients regarding potential impact of draft legislation, including the
United States Environmental Protection Agency’s draft “Waters of the United States” rule.
Real Estate and Business Transactions
Draft public works construction contracts, and private prime and subcontract agreements.
Advise public agencies regarding bid procedures.
Advise clients regarding the acquisition, use, and disposition of surface and groundwater rights.
Perform chain of title review and draft water rights opinions relating to surface and groundwater
rights.
Advise clients regarding and draft provisions relating to easements (including conservation
easements), access agreements, deed restrictions, disclosures, leases, and purchase and sale
agreements.
Draft defense and indemnity agreements for various public and private sector clients.
Advise clients regarding landlord-tenant laws.
Advise clients regarding subordination and modification agreements.
Advise clients regarding application of California’s anti-deficiency statutes.
Advise local agencies regarding compliance with Public Records Act requests, Proposition 218,
Proposition 62, the Brown Act, and statutory and local Charter amendment procedures.
Advise clients regarding contractual provisions, obligations, and requirements.
Secure federal and state tax exemptions on behalf of non-profit organizations.
Draft investment policy for non-profit organization.

Ms. Lacey earned her J.D. (Certificate in Environmental Law) with great distinction from the
University of the Pacific, McGeorge School of Law, where she graduated Valedictorian and Order of
the Coif, and received the Outstanding Scholastic Achievement Award. While at McGeorge, she was a
judicial extern to Honorable Ronald B. Robie at the California Court of Appeal, Third Appellate
District, and a research assistant in water law to Professor Gregory Weber. She also earned the
Witkin Award for Excellence in Natural Resources, Legislative and Statutory Interpretation, Appellate
and International Advocacy, Legal Process, and Torts. In 2011, Ms. Lacey earned her Master of
Business Administration degree with a concentration in finance from California State University,
Sacramento.
