NOTICE OF PUBLIC HEARING Notice is hereby given that a public hearing will be conducted by the Massachusetts Development Finance Agency (“MDFA”) on Wednesday, December 10, 2014, at 12:00 p.m. at its offices located at 99 High Street, Boston, Massachusetts, on the proposal of Partners HealthCare System, Inc. (“Partners”), whose main address is 800 Boylston Street, Suite 1100, Boston, Massachusetts 02199, to approve a plan of financing generally consisting of: A. financing the construction of an approximately 384,000 square foot building by The Brigham and Women’s Hospital (“Brigham”) located on a portion of the existing parcel at 60, 74 Fenwood Road bounded by Fenwood Road, Vining Street and the Vining Street Extension, in Boston, Massachusetts, to house clinical and research space and approximately 406 underground parking spaces; B. financing the construction of an approximately 400 space underground parking facility by Brigham under 15 Francis Street, Boston, Massachusetts; C. financing the renovation of a 46-bed level III neonatal intensive care unit and construction of a new 20-bed level II special care nursery at Brigham comprising approximately 34,032 square feet and located at 75 Francis Street, Boston, Massachusetts; D. financing the construction of a new power plant that will modernize the infrastructure for North Shore Medical Center’s (“NSMC”) Salem campus to be located at 81 Highland Avenue, Salem Massachusetts. (3) the projects financed and refinanced with HEFA’s Revenue Bonds, Massachusetts General Hospital Issue, Series F, issued in 1992, including (a) the projects financed and refinanced by HEFA’s Revenue Bonds, Massachusetts General Hospital Issue, Series C, including electrical upgrades at The General’s main campus and the construction, renovation and equipping of the Wellman Building and the Edwards Research Building, both located on The General’s main campus, and the acquisition of The Spaulding Rehabilitation Hospital Corporation (“Spaulding”); (b) construction and renovation of four operating rooms of approximately 28,200 square feet at the ambulatory surgery center operated by The General known as MGH West and located at 40 Second Avenue in Waltham, Massachusetts; and (c) renovations to various clinical areas at (i) The General’s Chelsea Health Center located at 151 Everett Avenue, Chelsea, Massachusetts, and (ii) The General’s main campus bounded by Charles Street, Blossom Street, Cambridge Street and Fruit Street, Boston, Massachusetts; (3) financed the following projects owned and/or operated by the Brigham: (a) a portion of the cost of acquisition by the Brigham of the ServiCenter located at 80 Francis Street, Boston, Massachusetts, which includes a parking garage with approximately 650 parking spaces, physicians’ offices, hospital supply handling facilities and a small parcel of vacant land; (b) renovations to ambulatory clinical areas at 850 Boylston Street, Brookline, Massachusetts; (c) renovations and upgrades to inpatient and outpatient clinical areas and physician faculty offices at various locations on the Brigham’s main campus at 15-75 Francis Street, Boston, Massachusetts; (d) construction of a cardiovascular center of approximately 350,000 square feet at 70 Francis Street, Boston, Massachusetts; (e) administrative and research space renovations to facilities at 801 Massachusetts Avenue, Boston, Massachusetts; (f) renovations to clinical space at One Brookline Place, Brookline, Massachusetts; (g) renovations to clinical space and physician faculty offices at One Brigham Circle, Boston, Massachusetts; and (h) the acquisition and installation of capital equipment and construction of improvements and renovations to existing facilities at the above locations; (4) financed the construction and renovation by NWH of approximately 77,000 square feet of space used for the emergency department, operating room build-out, and ambulatory build-out and a 570 space parking garage all located at 2014 Washington Street, Newton, Massachusetts (the “NWH Hospital complex”); and (5) financed the acquisition and improvements of a portion of the building located at 128 First Avenue, Needham, Massachusetts and installation of capital equipment therein used by Partners as a data center; and J. refinancing the projects financed and refinanced with HEFA’s Revenue Bonds, Partners HealthCare System Issue, Series G, issued in 2007, which itself (1) refinanced HEFA’s Revenue Bonds, Newton-Wellesley, Series G, which itself refinanced HEFA’s Revenue Bonds, Newton-Wellesley Hospital Issue, Series D, which financed (a) the conversion of 22 beds, approximately 8,800 gross square feet, of the 42-bed maternity unit to labor delivery recovery rooms; (b) the renovation of the inpatient pediatric unit, approximately 11,000 gross square feet, and the relocation of the inpatient and outpatient pediatric gastroenterology facility; (c) the relocation and expansion of the outpatient physical therapy rehabilitation services area, approximately 5,000 gross square feet, including the upgrading of equipment and treatment facilities; and (d) NWH’s five-year capital plan to acquire and upgrade hospital equipment and to undertake various internal renovations; (2) refinanced HEFA’s Revenue Bonds, Partners HealthCare System Issue, Series A, issued in 1997, which itself (a) refinanced HEFA’s Revenue Bonds, Brigham and Women’s Hospital Issue, Series C, which financed (i) the demolition of the former residence hall portion of approximately 58,400 square feet of the former Boston Lying-In Hospital complex, (ii) the construction of a new seven-level research laboratory wing of 99,659 square feet on the demolition site, (iii) the construction of a main arrival space for the new research facility to provide handicapped access to the complex, and (iv) the purchase and installation of furnishings, fixtures and equipment in the new research facility; (b) refinanced HEFA’s Revenue Bonds, Brigham and Women’s Hospital Issue, Series D, which financed (i) the construction of an approximately 268,000 square foot Center for Women and Newborns on the site of the existing Tackaberry Building, located adjacent to the Inpatient Tower on the main campus, used for obstetrical, outpatient and other support services, (ii) the construction and renovation of various clinical facilities situated on the Brigham main campus, including the amphitheater and the chemo infusion/transfusion suite in Building B, (iii) the acquisition, construction and renovation of various offices and ambulatory care facilities located at the Brigham main campus, the Ambulatory II Building, 45 Francis Street in Boston, the Brookside Health Center, 3293-3297 Washington Street in Jamaica Plain, the Southern Jamaica Health Center, 685-687 Center Street in Jamaica Plain, the ServiCenter Office Building/Warehouse 90 Francis Street in Boston, the Neville House, 10 Vining Street in Boston, 454 Brookline Avenue in Boston, 850 Boylston Street in Chestnut Hill, the 333 Longwood Building, 333 Longwood Avenue in Boston, and Brook House, 55 Pond Avenue in Boston, (iv) the acquisition, construction and renovation of various research facilities and offices located at the Brigham main campus, the Peter Brent Brigham Building, 721 Huntington Avenue in Boston, the former LyingIn Campus located in part at 211-229 Longwood Avenue in Boston, Channing Research Laboratories, 180 Longwood Avenue in Boston, 850 Boylston Street in Chestnut Hill, the Seeley G. Mudd Research Building, 250 Longwood Avenue in Boston, 201 Brookline Avenue in Boston, and Brook House, 55 Pond Avenue in Boston, and (v) the acquisition by BWH of certain capital equipment, including but not limited to information and telecommunication systems, radiological and other general medical and laboratory equipment to be located at one or more of the aforementioned locations; (3) refinanced HEFA’s Revenue Bonds, Partners HealthCare System Issue, Series C, issued in 2001, which itself financed the construction of (a) the projects financed and refinanced by the City of Boston, Massachusetts Refunding Revenue Bonds (FHA Insured Mortgage – North End Community Nursing Home Project), Series 1997A, which consisted of the construction of an approximately 59,953 square foot 140-bed nursing home and the acquisition of land therefor by North End Community Health Committee, Incorporated, which project was subsequently acquired and is currently owned and operated by Spaulding Nursing and Therapy Center North End, and which project is located at 70 Fulton Street in Boston, and (b)(i) the acquisition of an approximately 62,809 square foot building for a school for medical personnel located at Building 36, 100 First Avenue, Charlestown Navy Yard in Charlestown, Massachusetts to be owned and operated by The MGH Institute of Health Professions, Inc. (4) financed the construction of a cardiovascular center of approximately 420,000 square feet at 70 Francis Street, Boston, Massachusetts consisting of inpatient beds, operating rooms, outpatient procedure and clinic areas, and ancillary support departments; (5) financed the construction of a building of approximately 500,000 square feet at The General’s main campus bounded by Charles Street, Blossom Street, Cambridge Street and Fruit Street, Boston, Massachusetts to house a relocated and expanded radiation oncology department, expanded emergency services, three levels of operating and procedure suites, 150 neurosciences and medical oncology intensive care and acute care patient rooms, a new sterile processing department and a new central receiving dock; (6) financed the acquisition of a condominium unit or units to be created at Charles River Plaza, Boston, Massachusetts and consisting of the properties currently identified as 165 Cambridge Street, 175 Cambridge Street and the Charles River Plaza parking facility, as well as the property known as 75 Blossom Court, Boston, Massachusetts; (7) financed renovations to clinical space at The General’s main campus bounded by Charles Street, Blossom Street, Cambridge Street and Fruit Street, Boston, Massachusetts; (8) financed renovations and improvements to inpatient clinical areas by NSMC at NSMC’s main campus, 81 Highland Avenue, Salem, Massachusetts; (9) financed the construction of a multi-specialty, ambulatory care center at 100 Endicott Street, Danvers, Massachusetts, to house the MGH/NSMC Cancer Center, eight day-surgery suites, diagnostic imaging, diagnostic cardiology, laboratory services/phlebotomy, and a family/patient resource center; (10) financed the acquisition and installation of a system-wide revenue management system at 529 Main Street, Charlestown, Massachusetts; (11) financed the installation of software at many of the addresses listed above and in Paragraph G hereto; (12) financed the renovation, equipping and furnishing of various facilities and the acquisition or construction of various other capital improvements for Partners and its affiliates, at the respective addresses listed above and in Paragraph G hereto; K. refinancing the projects financed and refinanced with HEFA’s Revenue Bonds, Partners HealthCare System Issue, Series I, issued in 2009 including (1) financing the fit-out and equipping of an approximately 109,000 square foot ambulatory care center at 1 Patriot Place, Foxborough, Massachusetts; (2) financing the following projects owned and/or operated by The General: (a) construction of an approximately 500,000 square foot building at The General’s main campus bounded by Charles Street, Blossom Street, Cambridge Street and Fruit Street, Boston, Massachusetts to house a relocated and expanded radiation oncology department, expanded emergency services, three levels of operating and procedure suites, 150 neurosciences and medical oncology ICU and acute patient rooms, a new sterile processing department and a new central receiving dock; and (b) construction of a multi-specialty, 122,000 square foot, threefloor ambulatory care center at 100 Endicott Street, Danvers, Massachusetts, to house the MGH/NSMC Cancer Center, eight day-surgery suites, diagnostic imaging, diagnostic cardiology, laboratory services/phlebotomy, and a family/patient resource center; (3) financing renovations and improvements to inpatient clinical areas by NSMC at NSMC’s main campus, 81 Highland Avenue, Salem, Massachusetts; and (4) financing the following project owned and/or operated by NWH: renovating, equipping and furnishing approximately 44,000 square feet of clinical space to house the Vernon Cancer Center at NWH’s Hospital complex; (5) financing the construction, equipping and furnishing by Spaulding of a new approximately 134-bed facility to be located on Parcel 6 in the Charlestown Navy Yard, Charlestown, Massachusetts; and (6) financing the following projects owned and/or operated by Partners: (a) the acquisition and installation of a system-wide revenue management system and an acute care documentation management system at 529 Main Street, Charlestown, Massachusetts and installation of software at many of the addresses listed above and in Paragraph G; and L. refinancing the projects financed and refinanced with MDFA’s Revenue Bonds, Partners HealthCare System Issue, Series K, issued in 2011, which itself (1) refinanced HEFA’s Revenue Bonds, Partners HealthCare System Issue, Series C (described in Paragraph J above); (2) refinanced HEFA’s Partners HealthCare System Issue, Series D (described in Paragraph H above); and (3) financed the following: (a) renovations and improvements to Brigham’s emergency department at 75 Francis Street, Boston, Massachusetts; (b) the construction of an approximately 500,000 square foot building at The General’s main campus bounded by Charles Street, Blossom Street, Cambridge Street and Fruit Street, in Boston, Massachusetts to house a relocated and expanded radiation oncology department, expanded emergency services, three levels of operating and procedure suites, 150 neurosciences and medical oncology ICU and acute patient rooms, a new sterile processing department and a new central receiving dock; (c) financing planning costs including any environmental remediation costs and the construction of an approximately 240,000 square foot replacement facility to be located on Parcel 6 in the Charlestown Navy Yard, Charlestown, Massachusetts and comprised of approximately 132 beds; (d) the acquisition and installation of a system-wide revenue management system and an acute care documentation management system for Partners located at 529 Main Street, Charlestown, Massachusetts and installation of software at many of the addresses listed above and in Paragraph G; and (e) the renovation, equipping and furnishing of various facilities and the acquisition or construction of various other capital improvements for Partners and its affiliates at the respective addresses listed above and in Paragraph G hereto; which projects are or will be owned and operated by Partners and its respective affiliates, as described above. Partners has requested the financing and refinancing of such costs by the issuance by MDFA of revenue bonds in an aggregate principal amount not to exceed $840,000,000, which bonds do not and will not constitute a debt or pledge of the faith and credit of The Commonwealth of Massachusetts or MDFA.
