Vertragsschluss Die Bestellung der Ausstellungsfläche ist durch Unterzeichnung des Anmeldeformulars unter Anerkennung dieser Allgemeinen Geschäftsbedingungen vorzunehmen. Der Vertrag ist nach Bestätigung durch MEREBO Messe Marketing Frank Bode (im folgenden MEREBO) geschlossen. Die Bestätigung kann unter gewissen Umständen von der Bestellung abweichen. Der Vertrag kommt dann zustande, wenn der Aussteller nicht binnen einer Woche nach Erhalt des Vertrages zurücktritt. Wird die Standfläche vom Aussteller oder seinem Beauftragten nicht in Anspruch genommen, kann der Aussteller keine Rückzahlung verlangen oder andere Ansprüche geltend machen. Wird MEREBO eine Verschlechterung der Vermögensverhältnisse des Ausstellers, etwa durch Eröffnung eines Vergleichs- oder Konkursverfahrens, bekannt, so ist MEREBO berechtigt vom Vertrag zurückzutreten. Der Aussteller bleibt gleichwohl zur Zahlung des Rechnungsgesamtbetrages verpflichtet. 2. Preise und Zahlungsbedingungen Die bei Vertragschluss gültigen Beteiligungspreise ergeben sich aus dem jeweiligen Anmeldeformular. Der gesamte vertraglich vereinbarte Betrag wird ohne Abzug zu den, in der Anmeldung angegebenen Terminen fällig. Eine Anzahlung von 50% ist in jedem Fall nach Vertragsabschluss fällig. Gerät der Aussteller mit einer Zahlung in Verzug, so ist MEREBO berechtigt, Verzugszinsen in Höhe von 5% zu erheben. Ein Recht auf Zuteilung der Standfläche erfolgt erst nach vollständiger Zahlung der vertraglichen Summe. 3. Unteraussteller Unteraussteller können vom Aussteller auf einem der Anmeldung beigefügten Formular separat mit voller Adresse und dem jeweiligen Produktprogramm genannt werden. Unteraussteller müssen vom Produktprogramm dem Inhalt der jeweiligen Messe entsprechen. Die Gebühr für Unteraussteller ergibt sich aus den im Formular genannten Beträgen und wird durch die Unterzeichnung akzeptiert. 4. Nichtteilnahme Verzichtet der Aussteller darauf, die ihm zugeteilte Fläche zu belegen und kann diese Fläche von MEREBO neu vermietet werden, hat der Aussteller 40% der Teilnahmekosten zu zahlen. Ist eine Neubelegung nicht möglich, ist der volle Rechnungsbetrag zu zahlen. 5. Versicherung und Haftung Die ordnungsgemäße Versicherung der Ausstellungsgüter sowie aller sonstigen Geräte und Einrichtungen obliegt dem Aussteller bzw. dessen Beauftragtem. Dies beinhaltet alle Risiken des Transportes, der Montage und Demontage sowie während der Veranstaltung, insbesondere gegen Beschädigung, Diebstahl etc. Der Aussteller bzw. dessen Beauftragter haftet für alle Schäden, die durch dessen Teilnahme gegenüber Dritten verursacht werden, einschließlich der Schäden, die an Gebäuden und dem Veranstaltungsgelände sowie an diesem und dessen Einrichtungen entstehen. MEREBO haftet für Schäden des Ausstellers nur, soweit diese von ihr oder ihren Erfüllungsgehilfen in vorsätzlicher oder grob fahrlässiger Weise verursacht wurden. Von der Haftung sind mittelbare Schäden und entgangener Gewinn ausgeschlossen. MEREBO haftet nicht bei Absage, Verlegung, Verschiebung infolge höherer Gewalt, insbesondere bei Katastrophen, Umweltschäden, Krieg, Aufruhr, Verbrechen Dritter, etc. 6. Gewährleistung Reklamationen wegen etwaiger Mängel der vertraglich zusicherten Leistungen sind MEREBO unverzüglich schriftlich mitzuteilen, so dass MEREBO vorhandene Mängel abstellen kann. Spätere Reklamationen können nicht berücksichtigt werden und führen zu keinen Ansprüchen gegen MEREBO. 7. Allgemeine Bestimmungen Änderungen und Ergänzungen des Vertrages sowie Nebenabreden bedürfen der Schriftform. Ist eine Bestimmung des Vertrages oder dieser AGB unwirksam, so bleibt die Wirksamkeit der übrigen Bestimmungen hiervon unberührt. Der Vertrag unterliegt deutschem Recht. Gerichtsstand ist Hamburg. Der gleiche Gerichtsstand gilt, wenn der Aussteller keinen allgemeinen Gerichtsstand im Inland hat, nach Vertragsschluss seinen Wohnsitz oder gewöhnlichen Aufenthaltsort aus dem Inland verlegt oder sein Wohnsitz oder gewöhnlicher Aufenthaltsort zum Zeitpunkt der Klageerhebung nicht bekannt ist.
