エンドユーザーライセンス契約
END USER LICENSE AGREEMENT
ご使用に際しては、お客様が本契約書の内容をお読みになり、
ご理解の上、本内容に拘束されることに同意されたものとしま
す。また、お客様は、本契約書が Esko とお客様との間に締結さ
れる完全かつ排他的な合意であり、本契約書の対象事項に関す
る Esko とお客様との間の書面または口頭によるすべての事前の
表明または合意に優先されることに同意されたものとします。
BY YOUR USE OF THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU
HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE
BOUND BY ITS CONTENTS. YOU ALSO AGREE THAT THIS AGREEMENT
IS THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT
BETWEEN ESKO AND YOU AND SUPERSEDES ALL PRIOR
REPRESENTATIONS OR AGREEMENTS, ORAL OR WRITTEN, BETWEEN
ESKO AND YOU REGARDING THE SUBJECT MATTER OF THIS
AGREEMENT.
本契約書は、第三者が所有するソフトウェアについても適用さ
れます。当該第三者ソフトウェアを初めて起動したときに使用
許諾または特定の条件が提示されない場合、当該ソフトウェア
の使用は本契約書に準拠するものとします。
本契約書の条件を遵守する意思のない場合は、ソフトウェアを
使用しないでください。ソフトウェアを Esko または認定代理店
に速やかに返却してください。
This Agreement also covers software owned by third parties. If no
license or specific terms and conditions are presented for acceptance
the first time that third party software is invoked, then the use of that
third party software will be governed by this Agreement.
If You are not willing to comply with the terms and conditions of this
Agreement, do not use the Software. You should promptly return the
Software to Esko or its authorized reseller.
1.定義
1. Definitions
アフィリエイトとは、本契約の当事者に支配されている会社、
本契約の当事者を支配している会社または本契約の当事者と共
同支配下にある会社のことをいいます。
Affiliate – means a company controlled by, controlling or under
common control with a party to this Agreement.
契約とは、このエンドユーザーライセンス契約のことをいいま
す。
承認機能とは、注文書に規定されている、お客様の使用が承認
されたソフトウェアの機能のことをいいます。
承認ユーザー数とは、注文書に規定されている、ソフトウェア
の使用が承認されたユーザーの数のことをいいます。
クライアントシートとは、プログラムウィンドウにアクセス
し、これを実行できるすべてのコンピュータシステム、ソフト
ウェアアプリケーション、またはサービスのことをいいます。
クライアントシートには、パーソナルコンピュータ、ワークス
テーション、端末機、ターミナルサービスクライアント、仮想
PC およびサーバーが含まれますが、これらに限定されるもので
はありません。
データとは、ソフトウェア利用に関連して使用される目的でお
客様に提供されるサンプル、リソース、モデル、図面、スケジ
ュール、ならびにその他の技術書類および商業書類のことで
す。
埋め込みとは、複数の電子文書を組み合わせて 1 つの論理グル
ープとし、新しい電子文書とし、またはグループ内で一もしく
は複数の文書が他の一もしくは複数の文書と関連性を有する電
子文書の集まりとする処理のことをいいます。「埋め込み解
除」とは、論理グループから電子文書の一部を取り除く処理の
ことをいいます。
Agreement – means this End User License Agreement.
Authorized Functionality – means the functionality of the Software
which You are authorized to use and which is set forth in the Order
Document.
Authorized Number of Users – means the number of users authorized
to use the Software as set forth in an Order Document.
Client Seat – means any computer system, software application, or
service that can access and run a program window. This includes, but
is not limited to, PCs, workstations, terminals, Terminal Services
Clients, virtual PCs and servers.
Data – means the samples, resources, models, drawings, schedules,
and other technical and commercial documents delivered to You for
use in connection with the use of the Software.
Embedding or Embedded – means the process of combining several
electronic documents into one logical group, being a new electronic
document, or being a collection of electronic documents where one
or more of the documents has a reference to one or more of the
other documents in the group. Un-embedding means the process of
removing part of the electronic documents out of the logical group.
Esko – means Esko Software bvba, having its registered office at
Kortrijksesteenweg 1095, 9051 Ghent, Belgium, or the Affiliate of
Esko Software bvba that fulfilled Your Software order.
Object Code – means work in a machine readable form that is not
convenient to human understanding of the program logic, and that
can be executed by a computer using the appropriate operating

Esko とは、Kortrijksesteenweg 1095, 9051 Ghent, Belgium に所在の
登録営業所を有する Esko Software bvba、またはお客様のソフト
ウェア発注を履行する Esko Software bvba のアフィリエイトのこ
とをいいます。
オブジェクトコードとは、コンピュータが読み取り可能な形式
（人間がそのプログラム論理を容易に理解することができず、
コンピュータがコンパイルおよび解釈なしに該当オペレーティ
ングシステムを使用して実行することが可能な形式）の著作物
のことをいいます。オブジェクトコードというときにはソース
コードは明確に除外されます。
system without compilation or interpretation. Object Code specifically
excludes Source Code.
Open Source License Terms – means any terms or conditions which
meet the definition of Open Source found at
http://www.opensource.org/docs/osd.
Order Document – means a quote, order confirmation and any other
document(s) in writing or electronic format, provided to You by Esko
which sets forth the Software product or products licensed to You
under this Agreement and the Usage Restrictions applicable to that
Software.
オープンソースライセンス条項とは、
http://www.opensource.org/docs/osd に記載されるオープンソー
スの定義に準拠する条項および条件のことをいいます。
Proof Of Ownership – means any identification that is added to or into
electronic documents that allows a human or a piece of software to
contact the owner of the item.
注文書とは、本同意およびソフトウェアに適用可能な使用制限
に基づき、お客様にライセンス提供されたソフトウェア製品ま
たは製品を規定する、Esko からお客様に提供された書面または
電子形式による見積もり、注文確認書、およびその他の文書の
ことをいいます。
Software – means the machine-readable form of software and related
manuals and documentation (in hard copy only), including Esko
software and other third party software, licensed under this
Agreement.
所有権証明書とは、人間またはソフトウェアの一つが該当製品
の所有者と連絡を取ることを可能にする、電子文書に追加され
るあらゆる証明書のことをいいます。
ソフトウェアとは、本契約書に基づきライセンス提供された、
コンピュータが読取り可能な形式のソフトウェア（Esko のソフ
トウェアおよびその他の第三者ソフトウェア）、およびその関
連マニュアルならびに関連文書（ハードコピーのみ）のことを
いいます。
Source Code – means work when written in a form or language
understandable to humans, generally in a higher level computer
language, and further including embedded comments in the English
language.
Usage Restrictions– means the Authorized Number of Users,
Authorized Functionality and other usage parameters set forth in an
Order Document.
You – means the entity on behalf of which this license was purchased
or otherwise rightfully obtained.
ソースコードとは、人間にとって理解可能な形式または言語で
記述された著作物のことをいいます。通常、高次のコンピュー
タ言語で記述されており、さらに英語による埋め込みコメント
が含まれています。
使用制限とは、注文書に規定された、承認ユーザー数、承認機
能およびその他の使用パラメータのことをいいます。
お客様とは、本ライセンスの購入または合法な手段による取得
を代表して行った実体のことをいいます。
2.ライセンスの許諾
2. Grant of License
本ソフトウェアライセンスは、恒久的なライセンス、期限付き
のライセンス（以下に定義）、試用版ランセンス（以下に定
義）、またはプレリリース版ライセンス（以下に定義）となり
ます。注文書においてお客様と Esko との間で別段の合意がない
限り、お客様のソフトウェアライセンスは恒久的なライセンス
となります。ソフトウェアライセンスに関連して、お客様に
は、本データを使用する非独占的、恒久的かつ譲渡不可のライ
センスも付与されます。
This Software license may be a perpetual license, a Time Limited
License (as defined below), a Trial License (as defined below), or a
Pre-release License (as defined below). Unless otherwise agreed
between You and Esko in an Order Document, Your Software license
is a perpetual license. Associated with the Software license, You are
also granted a non-exclusive, perpetual, and non-transferable license
to use the Data.
Perpetual License: In case of a Perpetual License, You are granted a

オブジェクトコードの状態でのみ本ソフトウェアを使用できる
非独占的、譲渡不可かつ恒久的なライセンスが付与されます。
期限付きライセンス: 期限付きライセンスとは、一定の期間に限
定されているライセンスのことです。以下に定める各規定に従
い、期限付きライセンスの場合、お客様にはサブスクリプショ
ン期間（以下に定義）にわたり、オブジェクトコードの状態で
最新リリースのソフトウェアを使用できる一時的、非独占的、
譲渡不可のライセンスが付与されます。
試用版ライセンス: 試用版ライセンスに基づきライセンスが付与
されている場合、お客様には、オブジェクトコードの状態での
本ソフトウェアを 1 つのクライアントシートでのみ使用できる
非独占的かつ譲渡不可の試用版ライセンスが、注文書に規定さ
れた期間において付与されます。期間の規定がない場合、試用
期間は 30 日です。
プレリリース版ライセンス: 本ソフトウェアのプレリリース版
（市販されていないバージョンのソフトウェア）のライセンス
の付与を受けている場合、お客様には、付属の予備的文書に記
載されている機能を達成する上でのソフトウェアの適合性を判
別するためのお客様側の内部での検証や評価の目的に限り、オ
ブジェクトコードの状態でのみ本ソフトウェアを使用できる非
独占的かつ譲渡不可のライセンスが付与されます。
non-exclusive, non-transferable, perpetual license to use the Software
in object code only.
Time Limited License: A Time Limited License refers to a license of
which the duration is limited in time. Subject to the provisions set
forth below, in case of a Time Limited License, You are granted a
temporary, non-exclusive, non-transferable, license, for the duration
of the Subscription Period (as defined below), to use the most current
release of the Software in object code.
Trial License: If the license is granted as a trial license, You are
granted a non-exclusive, non-transferable, trial license to use the
Software in object code, on one Client Seat only, for a trial period of
the duration set forth in the Ordering Document. If no period is set
forth, the trial period will be 30 days.
Pre-release License: If You are granted a license for the Pre-release
Version of the Software (i.e. a version of the Software which is not
commercially available), You are granted a non-exclusive, and nontransferable license to use the Software in object code only for Your
internal testing and evaluation purposes to determine the suitability
of the Software for performing the functions described in the
accompanying preliminary documentation.
Perpetual and Time Limited licenses are granted subject to the timely
payment of the fees due, unless otherwise agreed upon in writing
between You and Esko. Unless otherwise permitted in writing,
Perpetual and Time Limited licenses are granted only for Your own
use for internal business purposes in accomplishing the functions
described in the accompanying documentation.
恒久的および期限付きのライセンスは、お客様と Esko との間に
書面による別段の合意がない限り、支払われるべき費用の適時
の支払いを条件として付与されます。書面による別途の許可が
ない限り、恒久的および期限付きのライセンスは、付属文書に
記載されている機能を達成する上での社内業務を目的としたお
客様自身の使用に対してのみ付与されます。

Limitations on Use
お客様は、お客様の注文書に一覧表示されているクライアント
シートの数だけソフトウェアを同時に使用することができま
す。お客様は、本ソフトウェアを販売、ライセンス付与、サブ
ライセンス付与、譲渡、（第三者または別の場所への）転送、
貸与することはできません。お客様は、本ソフトウェアを変更
または改変することはできません。本ソフトウェアが特定の製
品または機器の一部と伴にまたは一部として提供される場合、
その製品または機器から本ソフトウェアを削除することや、そ
の製品または機器から本ソフトウェアのいかなる部分を切り離
You may use the Software concurrently only on as many Client Seats
as are listed in Your Order Document. You will not sell, license,
sublicense, assign, transfer (to a third party or to a different location),
lease or rent the Software. You may not modify or translate the
Software. If the Software is provided with or as part of a specific
product or device, You may not remove the Software from that
product or device, and You may not use any portion of the Software
separately from or independent of that product or device. You will
not reverse engineer, decompile, or disassemble the Software or
otherwise attempt to discover the Source Code of the Software

な範囲を除き、本ソフトウェアのリバースエンジニアリング、
逆コンパイルまたは逆アセンブルを行ったり、ソフトウェアの
ソースコードを解読しようとしたりすることはできません。技
術的ライセンス保護を回避するため、本契約書で許可される数
量以上のクライアントシートでの使用を可能にするため、また
はソースコードを解読するために、本ソフトウェアのセキュリ
ティ機能の改ざん、回避、変更することはできません。お客様
がソフトウェアのアップグレードまたはアップデートを受け取
った場合、お客様はソフトウェアまたはアップグレード済み/ア
ップデート済みのソフトウェアを引き続き使用することはでき
ますが、これら両方を使用することはできません。書面にて別
段の明示的な許可がない限り、お客様は、第三者のためにまた
はその代わりにアウトソーシングビジネスを実行するために、
またはお客様の社内業務目的以外の目的で、ソフトウェアを使
用したり第三者にそのような使用を許諾したりできません。
お客様は、制限なしでデータを編集できます。ただし、お客様
は所有権証明書データを削除または変更できません。同一の使
用制限が編集済みのデータのいかなる形式にも適用されます。
本ソフトウェアには、ライセンス管理ルーチンが含まれていま
す。お客様はこの使用に同意するものとします。お客様の事業
の複数の所在地に対してサービスを提供する広範囲ネットワー
クに本ソフトウェアがインストールされる場合、お客様は、ソ
フトウェアが承認された数量を超えたユーザーまたは場所によ
ってアクセスおよび使用されないことを、当該ライセンス管理
ルーチンによってそれが防止されない場合でも、技術的ユーザ
ーまたは管理クリデンシャルのいずれかの手段により確実にす
る責任を負うものとします。
except to the limited extent expressly allowed by non-waivable
provisions of applicable law. You will not tamper with, bypass or alter
the security features of the Software either to circumvent the
technical licensing protections, to make it available for use by more
Client Seats than permitted hereby, or to discover the Source Code. If
You receive an upgrade or update of the Software, You may continue
to use the Software, or the upgraded or updated version of the
Software, but not both. Unless otherwise expressly permitted in
writing, You may not use, or permit others to use, the Software for or
on behalf of any third party, to run an outsourcing business, or for any
purpose other than Your internal business purposes.
You may edit the Data without any restrictions. But You may not
delete or change any Proof of Ownership data. The same Usage
Restrictions will apply to any form of the edited Data.
The Software includes license management routines. You consent to
their use. If the Software is installed on a wide area network serving
more than one location of Your business, You are responsible for
ensuring that the Software is not accessed and used by more than the
authorized number of users or locations, either by means of technical
user or administrative credentials even if the license management
routines do not prevent that use.
DISTRIBUTION TO THE US GOVERNMENT – the Software is a
commercial computer software program developed exclusively at
private expense. Use, duplication and disclosure by civilian agencies
of the US Government will be in accordance with FAR 52.227(c) or
other agency data rights provisions, as may be applicable. Use,
duplication and disclosure by DOD agencies is subject solely to the
terms of the standard software license agreement as stated in DFARS
227.7202.
米国政府への配布 - 本ソフトウェアは、民間の費用のみによっ
て開発された商用コンピュータソフトウェアプログラムです。
米国政府の民間機関による使用、複製、開示は、FAR 52.227(c)
またはその他の機関のデータ使用権に関する規定のいずれか適
用可能なものに従って行われます。DOD 機関による使用、複
製、開示は、DFARS 227.7202 に規定される標準のソフトウェア
ライセンス契約の条件のみに準拠します。

Limitations on Duplication
お客様は、本ソフトウェアのいかなるコピーも作成することは
できません。ただし、バックアップを目的とした場合に限り、
本ソフトウェアの完全なコピーを 1 つだけ作成することができ
ます。その場合、かかるバックアップコピーは、本ソフトウェ
アの更新版が利用可能となった時に使用を中止すること、なら

complete copy of the Software solely for back-up purposes, if use of
that back-up copy is discontinued when replacement Software
becomes available and if the back-up copy is not otherwise installed
or used on any computer. Any permitted copy will contain copyright

件とします。許諾されたコピーには、Esko または第三当事者で
あるライセンサーによって指定された著作権およびその他所有
権に関する表示が含まれるものとします。お客様は、お客様の
社内業務を目的として必要な範囲内で、あらゆるデータのコピ
ーを作成することができます。お客様は、電子文書にデータの
埋め込みを行っている場合、文書の印刷および表示に使用する
目的で、第三者に当該データのコピーを配布することができま
す。埋め込みデータを受け取るいかなる第三者も、データの埋
め込み解除、データの修正、ならびに受け取った埋め込みデー
タを使用した新規電子文書の作成を行う権利を有しません。
licensors. You are allowed to make any copies of the Data, to the
extent that duplication is necessary for Your internal business
purposes. You are allowed to distribute copies of the Data to any third
party if the Data is Embedded into electronic documents, for the
purpose of using the Data to print and view the documents. Any third
party that receives Embedded Data does not have the right to unEmbed or modify the Data, or create new electronic documents using
the received Embedded Data.
5.所有権および著作権

本ソフトウェアのソースコードは提供されません。本契約書
は、本ソフトウェアの一部または全体に対する所有権、または
本ソフトウェアに関連する特許権、著作権、商標権、企業秘
密、その他の知的財産権をお客様に付与するものではありませ
ん。本ソフトウェアおよび本ソフトウェアに関するすべての知
的財産権は、現在、また今後も常に Esko および/またはその第
三者ライセンサーの独占的所有物となります。お客様は、所有
権に関する表示またはその他のクレジットを本ソフトウェアか
ら削除することはできません。また、作成を許諾されたいかな
るコピーまたはコピーの一部についても、当該所有権表示およ
び/またはクレジットを複写するものとします。本データに関す
るすべての知的財産権は、現在、また今後も常に Esko および/
またはその第三者ライセンサーの所有物となります。
The Source Code of the Software is not provided. You have not
acquired, by virtue of this Agreement, any right of ownership in or to
the Software or any related patent, copyright, trademark, trade secret
or other intellectual property right. The Software and all intellectual
property rights in it are and will at all times remain the sole property
of Esko and/or its third party licensors. You will not remove any
proprietary notice or other legend from the Software and You will
reproduce those notices and legends on any copies or partial copies
that You are permitted to make. All intellectual property rights in the
Data are and will at all times remain the property of Esko or its third
party licensors.
6.品質保証および責任制限

Esko は、本ソフトウェアの引渡し後 90 日の間（期限付きライ
センスの場合、サブスクリプション期間が 90 日未満の場合にお
けるサブスクリプション期間の間）、本ソフトウェアが付属ユ
ーザー文書の内容と実質的に一致して動作することを保証しま
す。ただし、通常の操作および保守管理が行われる状況下にお
いて、付属文書に記載されたとおりに、また本契約に準拠して
本ソフトウェアが使用されていることを前提とします。試用版
ライセンスまたはプレリリース版ライセンスのソフトウェアに
は保証は一切付与されません。本契約書に規定される保証は、
事故、怠慢、誤用、設備不良、機器不良、Esko の制御を超える
原因、または本ソフトウェアについて意図される通常の使用以
外の使用に起因する瑕疵については適用されません。Esko 以外
の第三者により本ソフトウェアの改変が行われた場合、本契約
書に記載される保証が無効となるとともに、本契約書に基づく
義務の不履行の発生事由となります。
Esko warrants for a period of 90 calendar days after delivery (for Time
Limited Licenses, during the Subscription Period in the event that the
Subscription Period is less than 90 calendar days), the Software will
perform substantially in accordance with the accompanying user
documentation provided the Software is used under normal operating
and maintenance conditions, as directed in the documentation, and in
compliance with this Agreement. No warranty is given in relation to
Software licensed pursuant to a Trial License or Pre-release License.
The warranties set forth in this Agreement will not apply if defects
arise out of accident, neglect, misuse, failure of utilities, equipment
failures, causes beyond Esko’s control, or use other than ordinary use
for which the Software is intended. Any modifications to the Software
by any persons other than Esko will void the warranty described in
this Agreement and cause an event of default under this Agreement.

Warranties and Limitation of Liability
Esko’s sole obligation will be to cause the Software to substantially
conform to its documentation (to the extent technically and
reasonably possible and on the condition that the error is
reproducible) by amending or updating the Software or supplying an
alternative version of the product in which it is embedded. In the
event that Esko is unable to bring the Software into compliance with
the warranty, You may return the Software to Esko and You will be

で、かつ当該エラーが再生可能な限度において）責任を負うも
のとします。Esko が保証に準じた状態で本ソフトウェアを提供
できない場合、お客様は本ソフトウェアを Esko に返品すること
ができます。また、お客様は唯一の排他的救済手段として、非
準拠のソフトウェアに対して支払われた代金から標準的な会計
慣習に従って減価償却された金額を回収する権利を有するもの
とします。
特定の第三者ソフトウェアに本ソフトウェアが提供される場合
があります。すべてのデータ、第三者ソフトウェア、試用版ラ
イセンスの本ソフトウェアおよび本ソフトウェアのプレリリー
ス版は、現状有姿で提供されるものであり、明示または黙示を
問わず、商品性、特定目的に対する適合性、ならびに第三者知
的財産権に対する非侵害の保証を含むいかなる条件または保証
も付されていません。お客様によるデータの編集、修正、埋め
込みはすべて完全にお客様ご自身の責任により行われるものと
します。Esko は随時適切と判断した際にプレリリースソフトウ
ェアに対して修正を施す権利を留保します。
本契約書に記載された保証および Esko の責任は、Esko の唯一の
義務およびお客様の唯一の救済手段を定めるものです。これら
の保証は、明示または黙示を問わず、その他すべての保証に代
わるものとします。原因が申立、不法行為、過失、厳格責任ま
たはその他の原因であるかを問わず、Esko は、ソフトウェアに
エラーまたはバグがないという保証を含むがそれに限定されな
い、いかなる保証、義務、又は責任を負わないものとします。
本契約書に規定されている以外の保証は、明示、黙示、または
法律上のものであるかを問わず一切いたしません。Esko は、権
原の保証、侵害性がないことの保証、商品性に関する保証また
は特定目的に適合することの保証について明確に否定します
（またお客様はかかる否認を認めるものとします）。
Esko は、お客様に対し、データまたは利益の損失などの間接
的、付随的、または派生的な損害について、保証違反またはそ
の他の事由を理由とする請求かどうかにかかわらず、またかか
る請求がなされた法的措置の形式を問わず、一切の責任を負い
ません。Esko に対し何らかの法的措置がとられる場合は、その
原因が最初に発生してから 12 か月以内に行われなければなりま
せん。本契約書に基づく Esko のすべての損害賠償の総額は、い
かなる場合でも、本ソフトウェアに対してお客様が支払われた
ライセンス料を超えないものとします。
entitled to recover, as Your sole and exclusive remedy, the fees paid
for that non-complying Software, depreciated in accordance with
standard accountancy practices.
Certain third party software may be provided with the Software. ALL
DATA, THIRD PARTY SOFTWARE, AND TRIAL AND PRE-RELEASE
SOFTWARE ARE PROVIDED ON AN “AS IS” BASIS WITHOUT
CONDITION OR WARRANTY OF ANY KIND, INCLUDING ANY
WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE OR NON-INFRINGEMENT OF THIRD PARTY INTELLECTUAL
PROPERTY RIGHTS, EITHER EXPRESS OR IMPLIED. Any editing,
modification or Embedding of the Data done by You is done entirely
at Your own risk. Esko reserves the right to make any modifications to
the Pre-release Software it deems fit at any time.
THE WARRANTIES AND ESKO’S LIABILITY DESCRIBED IN THIS
AGREEMENT ARE ESKO’S EXCLUSIVE OBLIGATIONS AND YOUR
EXCLUSIVE REMEDIES. THEY ARE EXPRESSLY IN LIEU OF ALL OTHER
WARRANTIES, EXPRESS OR IMPLIED. NO OTHER WARRANTIES,
REMEDIES, OBLIGATIONS, LIABILITIES, RIGHTS, OR CLAIMS, WHETHER
ARISING IN TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE ARE
MADE OR GIVEN BY ESKO, INCLUDING WITHOUT LIMITATION, ANY
WARRANTY THE SOFTWARE IS ERROR OR BUG FREE. NO WARRANTY,
EXPRESS, IMPLIED OR STATUTORY, IS MADE EXCEPT AS SET FORTH IN
THIS AGREEMENT. ESKO EXPRESSLY DISCLAIMS (AND YOU
ACKNOWLEDGE THAT IT DISCLAIMS) ANY WARRANTY OF TITLE, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR
PURPOSE.
IN NO EVENT WILL ESKO BE LIABLE TO YOU FOR ANY INDIRECT,
INCIDENTAL, OR CONSEQUENTIAL DAMAGES INCLUDING WITHOUT
LIMITATION, LOSS OF DATA OR PROFITS, WHETHER CLAIMED BY
REASON OF BREACH OF WARRANTY OR OTHERWISE, AND WITHOUT
REGARD TO THE FORM OF ACTION IN WHICH THAT CLAIM IS MADE.
ANY ACTION ARISING AGAINST ESKO MUST BE BROUGHT WITHIN
TWELVE (12) MONTHS AFTER THE CAUSE OF ACTION FIRST ACCRUES.
THE AGGREGATE TOTAL OF ALL LIABILITIES OF ESKO UNDER THIS
AGREEMENT WILL IN ANY CASE BE LIMITED TO THE LICENSE FEES
PAID BY YOU FOR THE SOFTWARE.
7.輸出規制および米国政府による規制

Export and United States Government Restrictions
お客様は、関係法令（アメリカ合衆国及びイギリスの法令を含
むがこれに限られません）に違反して、本ソフトウェアまたは
You may not export or re-export the Software or Data in violation of
any applicable laws or regulations including but not limited to those
of the United States of America and the United Kingdom. In addition,

た、本ソフトウェアまたはデータがアメリカ合衆国およびイギ
リスの輸出関連法令で輸出規制対象品目として指定される場
合、お客様は、自らが禁輸国の国民または居住者ではないこ
と、および当該輸出関連法令で本ソフトウェアの受領を禁じら
れていないことを表明し、保証するものとします。さらに、お
客様が購入した本ソフトウェアまたはデータがアメリカ合衆国
の法律の対象となる場合、お客様は、米国政府またはその代理
人との間で締結したすべての契約（「制限付き権利」である所
有権に関する表示および/またはクレジットの複製を含みます
が、これに限定されません）に適用される可能性のある特定の
制限および規制を遵守することを表明し、保証するものとしま
す。本ソフトウェアまたはデータを使用するためのすべての権
利は、お客様が本契約書の条項に従わなかった場合に喪失する
ことを条件として付与されます。
if the Software or Data is identified as export controlled items under
the export laws of the United States of America or the United
Kingdom, You represent and warrant that You are not a citizen, or
otherwise located within, an embargoed nation and that You are not
otherwise prohibited under applicable export laws from receiving the
Software. Moreover if Your acquisition of the Software or Data is
subject to the laws of the United States of America, You represent
and warrant that You will comply with any specific restrictions and
regulations that might be applicable to all contracts or agreements
(including but not limited to the reproduction of the “restricted
rights” proprietary notices and/or legends) concluded with the United
States government or its agents and representatives. All rights to use
the Software or Data are granted on the condition that those rights
are forfeited if You fail to comply with the terms of this Agreement.
8.契約期間および契約の解除

期間：本契約書に基づいて付与される各ライセンスは、注文書
に提供された日または本ソフトウェアのアクティベートを実行
した日のいずれか早い日から有効になります。
• 期限付きライセンスの場合、お客様のライセンスは、自動的
に期限切れとなるサブスクリプション期限の終了まで、有効で
あるものとします。サブスクリプション期間とは、ライセンス
が注文書で示されているとおりに付与される期間（「当初期
間」）のことをいいます。この期間は、下記で示す原因（あら
ゆる更新を含みます）によって、早期終了となる可能性があり
ます。注文書に記されている場合において、お客様がすべての
関連費用を支払い済みであることを条件とし、さらに両当事者
ともに他方当事者に対して、注文書に記されている通知期間の
期限終了前に更新しない旨の書面による通知を行っていないこ
とを条件として、期限付きライセンスは当初期間と同等の期
間、連続して自動更新されるものとします。注文書に通知期間
の記載がない場合、更新しない旨の通知は現在の期間が終了に
なる 1 か月よりも前に提出される必要があります。
• 試用版ライセンスに基づいてライセンスが付与されている場
合、お客様のライセンスの期限は 30 日間です。
• 本ソフトウェアのプレリリース版のライセンスが付与されて
いる場合、お客様の本ソフトウェアのプレリリース版を使用す
る権利は 12 週間で自動的に終了します。
事由別の停止/解除の権利：本契約に定める別段の規定にかかわ
らず、および Esko が求めることのできるその他の救済（売買等
の標準契約約款に定められた救済手段、差し止め、解除の権利
が含まれるが、これらに限定されない）に影響を与えることな
Term and Termination
Duration. Each license granted hereunder is effective from the earlier
of the date provided in an Order Document or date of activation of
the Software.
• In case of a Time Limited License, Your license will remain in effect
until the expiration of the Subscription Period, at which time it shall
automatically expire. The “Subscription Period” refers to the period
for which the license is granted as indicated on the Order Document
(the “Initial Period”), subject to early termination for Cause as
indicated below, and including any renewals. If indicated on an Order
Document, a Time Limited License shall be automatically renewed for
consecutive periods equal to the Initial Period, subject to You having
paid all fees due, and provided further that neither party provided the
other party with a written notification of non-renewal prior to the
expiration of the notice period indicated on the Order Document. In
the absence of a notice period indicated on an Order Document,
notice of non-renewal needs to be provided no later than one (1)
month before the expiration of the then current term.
• If the license is granted on a Trial License basis, the term of Your
license is thirty (30) days.
• If the license granted is for a Pre-release Version of the Software,
Your right to use the Pre-release Version of the Software expires
automatically after a period of twelve weeks.
Right to suspend/Termination for Cause. Notwithstanding anything to
the contrary set forth herein, and without prejudice to any other
remedy available to Esko (including but not limited to remedies,
suspension and termination rights set forth in the General Terms and
Conditions of Sale):
• In case You fail to make a payment when due, Esko may, through
technological means or by providing You with a corresponding
notification, forthwith suspend Your license and prevent further use
of the Software;

またはお客様への該当通知の送付によって、お客様のライセン
スを即座に停止し、以降のお客様による本ソフトウェアの使用
を防止することができます。
• 本契約は、次に示す「事由別」に解除することができます:
（a）一方の当事者がその責任の履行に違反した場合に、もう一
方の当事者からの当該違反に関する書面による通知を受け取っ
た日から 30 日以内に当該違反を是正しなかった場合、本契約は
自動的に解除されます。但し、違反を是正できない場合は、通
知の受取り日をもって解除の効力が発生します。（b）本ソフト
ウェアに付属するハードウェアまたはソフトウェアのセキュリ
ティキーを紛失した場合、本契約書は自動的に解除されます。
（c）さらに、Esko は、お客様が期限までに 2 回以上の支払いを
怠った場合、即座に本契約を解除する権利を保持します。
• This Agreement may be terminated “for Cause” as follows: (a)This
Agreement will terminate automatically if a party fails to cure a
breach of any of its obligations within thirty (30) days from receipt of
a written notice from the other party stating such breach. In case
however the breach cannot be remedied, termination will be effective
upon receipt of the notification; (b) If You lose the hardware or
software security key(s) that are provided with the Software, this
Agreement will automatically terminate; (c) Esko further reserves the
right to terminate this agreement forthwith by means of a written
notification in case of You failing to make two or more payments
when due;
Upon the termination of this license, You will cease all use of the
Software and return or destroy all copies, full or partial, of the
Software, as will be instructed to You, on a case-by-case basis, by
Esko. Esko may, in its sole discretion, provide replacement Software if
the original Software is lost, stolen, or corrupted. You agree to only
use the replacement Software or, if found or rendered usable, the
original Software. You will not otherwise dispose of the replacement
or original Software.
本ライセンスが終了した時点で、お客様は、本ソフトウェアの
使用を一切停止し、Esko からお客様に出される個別の指示に従
って、本ソフトウェアのコピーを、全部または一部にかかわら
ず、すべて返却または破棄するものとします。Esko は、元のソ
フトウェアの紛失、盗難、または破損が発生した場合、Esko の
単独裁量権により、代わりのソフトウェアを提供できます。お
客様は代わりのソフトウェアのみを使用するか、元のソフトウ
ェアが発見され、または使用可能に復元された場合は、元のソ
フトウェアのみを使用することに同意します。かかる場合を除
き、代わりのソフトウェアまたは元のソフトウェアを破棄しな
いものとします。
9.オープンソースライセンス条項

Open Source License Terms
本ソフトウェアの一部がオープンソースライセンス条項の対象
となる場合、本ソフトウェアに付属する別途のオープンソース
ライセンス条項が示すとおり、本ソフトウェアの当該部分の使
用およびライセンスはオープンソースライセンス条項によって
規定されるものとします。オープンソースライセンス条項に規
定される本ソフトウェアの部分に関連して、本契約書に記載さ
れているライセンス条項とオープンライセンス条項とが一致し
ない、または不明確な点がある場合は、適用可能なオープンソ
ースライセンス条項を優先するものとします。
If any part of the Software is subject to any Open Source License
Terms, as indicated by separate Open Source License Terms provided
with the Software, the use and the license of that part of the Software
will be subject to those Open Source License Terms. In the event of
any contradiction or uncertainty between the license terms contained
in this Agreement and the Open Source License Terms with respect to
the portions of the Software governed by Open Source License Terms,
the applicable Open Source License Terms will prevail.
10.準拠法および審理権を有する管轄区

お客様が本ソフトウェアをアメリカ合衆国内で購入された場
合、本契約には米国オハイオ州法が適用され、本契約に起因す
る紛争については、オハイオ州モンゴメリー群に所在する裁判
所を管轄裁判所とし、お客様はその裁判地を承諾し、異議申し
立てを行わないことに同意するものとします。Esko は、いずれ
の管轄裁判所においても暫定的な救済または差止めによる救済
を求めることができます。本ソフトウェアをアメリカ合衆国以

Agreement will be governed by the laws of the State of Ohio, United
States of America, and any disputes arising out of this Agreement will
be brought before the courts of Ohio in Montgomery County, and You
consent to that venue and agree not to challenge it. Esko may seek
interim or injunctive relief in any court of competent jurisdiction. If
You acquired the Software outside of the United States of America,
this Agreement is governed by the laws of Belgium. All disputes

たはこれに関連して生じるすべての紛争は、最終的に、CEPANI
仲裁規則に従って、当該規則および本条（第 10 条）による補足
に準拠して選任された一名または複数名の仲裁人によって解決
されるものとします。仲裁裁判所は、一名または三名の仲裁人
から構成されるものとします。仲裁の所在地はブリュッセルと
します。両当事者が英語以外の言語で仲裁手続きを進めること
に同意した場合を除き、仲裁手続きは英語で行うこととしま
す。実質的な勝訴当事者には、当該当事者が支払い済みである
合理的な弁護士関連の費用および経費ならびに仲裁者について
の費用を受領する権利が与えられるものとします。仲裁判断は
最終的かつ拘束力を有すものとし、いかなる裁判権の下におい
ても仲裁判断の執行について異議申し立てはされないものとし
ます。金銭債務の回収、もしくは Esko の知的財産権の保護また
は実施に関係する場合、あるいはお客様の設立地または所在地
が 1958 年 6 月 10 日に締結された「外国仲裁判断の承認及び執
行に関する国連条約」の締約国ではない国に存在する場合、上
述事項に影響を与えることなく、Esko はお客様に対して、ベル
ギー、ゲントの裁判所、お客様の設立地または所在地を管轄す
る国家の裁判所、または侵害または悪用が発生した国家の裁判
所で訴訟を提起する権利を有するものとします。本契約書の英
語版は、別の言語に翻訳されたいかなる言語版に対しても優先
するものとします。本契約は、いかなる法域の法の抵触に関す
る規則、または「国際物品売買契約に関する国際連合条約」に
準拠せず、これらの適用は明示的に除外されます。
arising out of or in relation with this software license agreement will
be finally settled under the CEPANI Rules of Arbitration by one or
more arbitrators appointed in accordance with those Rules and as
supplemented by this Article 10. The arbitral tribunal will be
composed of one or three arbitrators. The seat of the arbitration will
be Brussels. The arbitration will be conducted in the English language,
unless the parties agree to conduct the arbitration proceedings in
another language. The substantially prevailing party will be entitled to
its attorney’s fees, costs and expenses, and to the arbitrator’s fees,
paid by it. The arbitral award will be final and binding and the
enforcement of the arbitral award will not be challenged under any
jurisdiction. Without prejudice to the foregoing, Esko will be entitled
to bring an action against You before the courts of Ghent, Belgium or
before the courts of any country where You are established or reside,
or any country where an infringement or misappropriation occurs if
the action concerns the collection of a pecuniary debt or the
protection or enforcement of Esko’s intellectual property rights or in
the event You are established or reside in a country which is not a
party to the United Nations Convention of 10 June 1958 on the
Recognition and Enforcement of Foreign Arbitral Awards. The English
version of this Agreement will prevail over any version translated into
another language. This Agreement will not be governed by the
conflict of law rules of any jurisdiction or by the United Nations
Convention on contracts for the International Sale of Goods, the
application of which are explicitly excluded.
