LA PROPOSTA DI 12€CENT DPS CON OPZIONE DI AZIONI È STATA CONFERMATA
In data odierna il Consiglio di Amministrazione di UniCredit, confermando i risultati finanziari al 31
dicembre 2014, già comunicati al mercato quali risultati preliminari in data 11 febbraio 2015, ha approvato:

il progetto di Bilancio UniCredit S.p.A. al 31 dicembre 2014
il Bilancio Consolidato al 31 dicembre 2014
Il progetto di Bilancio UniCredit S.p.A. al 31 dicembre 2014 sarà sottoposto per approvazione all’Assemblea
annuale degli azionisti convocata per il 13 maggio 2015.
In occasione dell’Assemblea annuale degli azionisti, il Consiglio di Amministrazione di UniCredit proporrà
per l’esercizio finanziario 2014 il pagamento di un dividendo da riserve di utili di 12 eurocent per azione
ordinaria e di risparmio, mediante attribuzione di azioni di nuova emissione oppure, su specifica richiesta
degli azionisti, mediante versamento in contanti (c.d. scrip dividend). La data di stacco del dividendo è
stabilita per il 18 maggio 2015, la data di registrazione (“record date”) per il 19 maggio 2015 e la data di
pagamento per il 5 giugno 2015.
In base allo Statuto, il Consiglio di Amministrazione proporrà inoltre la distribuzione di un dividendo
privilegiato per cassa di 0,945 eurocent per ciascuna azione di risparmio, di cui 0,315 eurocent per
l’esercizio finanziario 2014 e 0,630 eurocent per gli esercizi finanziari 2012 e 2013, per i quali non è stato
distribuito alcun dividendo privilegiato. In questo caso, la data di stacco del dividendo è stabilita per il 18
maggio 2015, la data di registrazione (“record date”) per il 19 maggio 2015 e la data di pagamento per il 20
maggio 2015.
Il progetto di Bilancio UniCredit S.p.A. e il Bilancio Consolidato al 31 dicembre 2014 saranno pubblicati al
più tardi 21 giorni prima dell’Assemblea annuale degli azionisti al seguente indirizzo web:

THE BOARD OF DIRECTORS OF UNICREDIT APPROVED FULL YEAR 2014 RESULTS
CONFIRMED PROPOSAL OF 12€CENT DPS WITH SHARE OPTION
Today the Board of Directors of UniCredit, confirming the financial results as at December 31st 2014,
already disclosed to the market as preliminary results on February 11th 2015, approved:

the Provisional Financial Statements of UniCredit S.p.A. (the parent company) as at December 31st
2014
the Consolidated Financial Statements as at December 31st 2014.
The Provisional Financial Statements of UniCredit S.p.A. as at December 31st 2014 will be submitted for
approval to the Annual General Meeting called on May 13th 2015.
At the Annual General Meeting, the Board of Directors of UniCredit will propose for the financial year 2014
a distribution of a 12 eurocent dividend from reserves of profits per ordinary and saving share with share
option, via a newly issued shares assignment or, upon shareholders’ request, cash payment (scrip
dividend). The ex-dividend date has been set on May 18th 2015, the record date on May 19th 2015 and
payment date on June 5th 2015.
The Board of Directors will also propose – according to the Articles of Association – the distribution of a
cash privileged dividend of 0.945 eurocent per each saving share, of which 0.315 eurocent for the financial
year 2014 and 0.630 eurocent for the financial years 2012 and 2013 when no privileged dividend was paid.
In this case, the ex-dividend date has been set on May 18th 2015, the record date on May 19th 2015 and
payment date on May 20th 2015.
The Provisional Financial Statements of UniCredit S.p.A. as well as the Consolidated Financial Statements as
at December 31st 2014 will be published at least 21 days prior the Annual General Meeting on the following
webpage:
