Lissone, 16 marzo 2015 - Si comunica che, in data odierna, EI Towers S.p.A. (l’“Offerente”) ha
presentato a Consob, ai sensi e per gli effetti dell’art. 102, comma 3, del d.lgs. 24 febbraio
1998, n. 58, come successivamente modificato e integrato (il “TUF”) e dell’art. 37-ter del
Regolamento Consob 14 maggio 1999, n. 11971, come successivamente modificato e integrato (il
“Regolamento Emittenti”), il documento di offerta (il “Documento di Offerta”) relativo
all’offerta pubblica di acquisto e scambio volontaria promossa sulle n. 272.000.000 azioni
ordinarie Rai Way S.p.A. pari alla totalità del capitale sociale sottoscritto e versato di
quest’ultima.
Il Documento di Offerta verrà pubblicato al termine dell’istruttoria svolta dalla Consob ai sensi
dell’art. 102, comma 4, del TUF sul sito internet dell’Offerente www.eitowers.it.

THE ORDINARY SHARES OF RAI WAY S.P.A.
PRESS RELEASE CONCERNING THE PROMOTION OF THE OFFER PURSUANT TO ART.
102, PAR. 3, OF LEGISLATIVE DECREE 24 FEBRUARY 1998, NO. 58 AND TO ART. 37TER OF CONSOB’S REGULATION 14 MAY 1999, NO. 11971
Lissone, 16th March 2015 – Please be informed that today, pursuant to and by effect of art. 102,
par. 3, of Legislative Decree 24 February 1998, no. 58, as subsequently amended and
supplemented (the “Consolidated Financial Act”) and art. 37-ter of Consob’s Regulation 14 May
1999, no. 11971, as subsequently amended and supplemented (the “Issuers’ Regulation”), EI
Towers (the “Offeror”) filed with Consob the offer document (the “Offer Document”) regarding
the voluntary tender and exchange offer promoted on no. 272,000,000 ordinary shares of Rai
Way S.p.A., representing its entire subscribed and paid-in share capital.
The Offer Document shall be published on the Offeror’s internet website www.eitowers.it at the
end of the procedure carried out by Consob pursuant to art. 102, par. 4, of the Consolidated
Financial Act.
