ソフトウェア使用許諾契約書
【重要】
本ソフトウェア使用許諾契約書（以下「本契約」と言います）は、本契約が付属している KV331 Yazilim Limited Sirketi 社（以下「KV331 Audio 社」
と言います）製品（製品を構成する全てのソフトウェア、関連メディア、印刷物、オンライン上または電子的に提供されるドキュメントを含み、これらを
総称して以下「本ソフトウェア」と言います）に関して、本ソフトウェアを正規に購入されたお客様（以下、
「エンドユーザー」と言います）と KV331
Audio 社の間で締結される法的な契約です。本ソフトウェアをインストール、あるいは使用した時点で、お客様は本契約のすべての条項に同意したと
みなされます。加えて、本契約は、お客様自らが署名した他の契約書などと同じ強制力を持つことに同意するものとします。本契約の条項に同意され
ない場合は、本ソフトウェアを、インストール、コピー、ダウンロード、アクセス、使用することはできません。
1. 許諾
エンドユーザーは本ソフトウェアを購入する事により、本ソフトウェアを使用する権利
（以下
「本ライセンス」といいます）を得ることができますが、これは、
本ソフトウェアや収録されているサウンド素材が、エンドユーザーの所有物になるという事ではありません。エンドユーザーが本ソフトウェアを購入さ
れた後も、本ソフトウェアと、本ソフトウェアに収録されているサウンド素材やプログラミングといった全てのデータは引き続き KV331 Audio 社の単
独所有物であり、エンドユーザーは本契約に従って使用することのみが許諾されます。
2. 使用制限
2.1. エンドユーザーは、本ソフトウェアの購入を検討するために、本ソフトウェアのデモ版をインストールすることができます。全てのお客様は、デモ
版をダウンロードする前に、デモ版には機能制限があり、商業的な作品の制作には使用することができないことについて同意するものとします。
2.2. 下記条件が全て満たされているとき、デモ版を使用することができます。
・本ソフトウェア使用許諾契約書と本ソフトウェアが、第三者へ同時に提供されること。
・KV331 Audio 社からの書面の許可がない限り、デモ版ダウンロードすることの対価として第三者へ金銭を要求しないこと。
・いかなる状況においても商業的に利用しないこと。
・製品のシリアルコードや、本ライセンスについて、再配布、公開、機能制限の回避、貸出、リース、レンタルを行わないこと。
2.3. 本ソフトウェアは１ライセンスにつき１人のユーザー（エンドユーザーのみ）が使用できます。複数台で複数の人数が使用する場合は追加でライセ
ンスを購入する必要があります。また、本契約の諸条件に反しない限りの、商用・非商用問わず使用することができます。
2.4. バックアップを目的とする場合に限り、本ソフトウェアのコピーを作成する事ができます。ただし、本ソフトウェアのコピーを譲渡、ライセンス、
配信、
販売、配布することは、KV331 Audio 社からの書面の許可がない限り、固く禁じられています。本製品の共有、レンタル、リース、販売、配信は、
本契約に対する違反行為です。エンドユーザー以外の第三者により、本ソフトウェアが使用された場合は、本契約に対する違反行為とみなされ
ます。この場合の全ての責任はエンドユーザーにあるものとします。
2.5. 本ソフトウェアの、コピー、ソースコードやリソースの解析、リバースエンジニアリング、逆アセンブル、逆コンパイル、修正、別の言語への変換、
コンピュータ言語またはフォーマットの変換、派生物を創作すること、また、本ソフトウェアのコピー防止や認証アルゴリズムの解除（ロックの解除）
または無効化や、著作権、ライセンス情報やグラフィックを、変更、削除または非表示にすることは固く禁じられています。
2.6. 本ソフトウェアに収録されているプリセットファイルを、他のサンプルライブラリ（サンプルパックや効果音ライブラリを含みこれに限りません）
や製品作成のために、サンプリング／コピーすることは固く禁じられています。
2.7. 本ソフトウェアに収録されているプリセットファイル同様に、拡張プリセットファイル（Expansions）は、他のサンプルライブラリ（サンプルパッ
クや効果音ライブラリを含みこれに限りません）や製品作成のために、サンプリング／コピーすることは固く禁じられています。
2.8. KV331 Audio 社から NFR を取得した場合には、その NFR を販売、再販売してはいけません。
2.9. エンドユーザーが学生、もしくは学校関係者の場合、アカデミックライセンスを用意しています。アカデミックライセンスは NFR となるため、販売、
再販売することはできません。
2.10.エンドユーザーは、本ソフトウェアを、Windows または、MacOS X あわせて最大 5 台にインストールして使用する事が許諾されています。
2.11. 下記条件が全て満たされているとき、第三者へ再販売できます（NFR を除く）：
・$15 のライセンス譲渡料金を、KV331 Audio 社へ支払うこと。
（代理店に依頼した場合、追加の手数料がかかることがあります。）
・譲渡の意思を、譲渡を実行する最大２日前までに、KV331 Audio 社へ Email で連絡し、許可を得ること。
・新たな使用者へシリアルナンバーを渡さないこと。
・本ソフトウェアをインストールした全てのコンピューターから、本ソフトウェアをアンインストール／削除すること。
2.12.下記条件が全て満たされているとき、エンドユーザーは返金を要求することができます :
・本ソフトウェアの購入前に、デモ版で予め内容や動作を確認されている場合。
・本ソフトウェアの購入後に問題が発生し、7 営業日までの間に、その問題が KV331 Audio 社によって解決されなかった場合。

3. 著作権
本ソフトウェアは、著作権法及びその他あらゆる知的所有権法や条約によって保護されています。本ソフトウェアと本ソフトウェアに付属するドキュメ
ントを無断でコピー、配布することは、民事および刑事罰の対象となります。 SynthMaster は KV331 Audio 社の商標です。VST はスタインバーグ
社の商標です。その他すべての商標はそれぞれの所有者に帰属します。
4. 契約の終了
本契約は、本契約が終了となるまで有効です。エンドユーザーは、本ソフトウェアと、本ソフトウェアに関連する書類やサウンド素材、そしてそのコピー
を全て破棄する事により、本契約を終了させる事ができます。また、エンドユーザーが本契約のいずれかの条項に違反した場合も、本契約は終了となり、
お客様は本ソフトウェアと、本ソフトウェアに関連する書類やサウンド素材、そしてそのコピーを全て破棄しなければなりません。
5. 免責
KV331 Audio 社は、本ソフトウェアの資料、書類、または本ソフトウェアの使用もしくは使用不能に起因する、利益の損失を含む損失、必然的、偶
発的、間接的、特殊、懲罰的な損害に対して、たとえ KV331 Audio 社がそのような損害の可能性を示唆されていたとしても、責任は一切負いません。
また、KV331 Audio 社は、エンドユーザーへの事前の予告なしに本製品を改訂する権利を有します。また、KV331 Audio 社は、本ソフトウェアの
内容が、お客様の特定の目的へ適合すること、あるいは本ソフトウェアの使用中に発生した中断やエラーについて、一切保証は致しません。また、
「5. 免
責」および「6. 賠償責任の制限」は、本契約終了後も存続するものとします。
6. 賠償責任の制限
いかなる場合においても、KV331 Audio 社、並びに代理店、本ソフトウェアの制作、製造、配布に携わる関係者は、本製品の資料、書類、また
は本ソフトウェアの使用もしくは使用不能に起因する、利益の損失を含む損失、必然的、偶発的、間接的、特殊、懲罰的な損害に対して、たとえ
KV331 Audio 社がそのような損害の可能性を示唆されていたとしても、責任は一切負いません。エンドユーザーのデータの格納場所や、データの復
旧費用を含め、KV331 Audio 社は、一切の責任を負いません。また、本契約の制限、除外および免責は、法律で認められる範囲で適用されます。
いかなる損害や損失、及び訴訟（契約の有無、過失を含む違法行為の有無）に関わらず、KV331 Audio 社がエンドユーザーに対して支払う総額は、
エンドユーザーが本ソフトウェアに対して支払った金額を上限とします。
クリプトン・フューチャー・メディア株式会社（以下「当社」）は、本製品の契約原文（以下「契約原文」
）を日本語に翻訳したものである本契約について、翻訳の
完全性を保証するものではありません。もし本契約と契約原文に相違があったときには、契約原文を優先するものとします。また、その様な相違によって損害
が生じたとしても、当社は保障いたしません。契約原文および本契約は、変更することがあります。その場合当社は、本契約の最新版を当社 WEB サイトにて
公表するものとします。本契約に関してご質問がある場合、当社 (Fax:011-222-0707 / Email: [email protected]) までお問い合わせください。

SOFTWARE LICENSE AGREEMENT
PLEASE READ THE TERMS AND CONDITIONS OF THIS AGREEMENT CAREFULLY BEFORE PRESSING THE "AGREE" BUTTON
DURING THE INSTALLATION. BY PRESSING "AGREE" OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT
YOU HAVE READ AND UNDERSTOOD THE TERMS OF THIS AGREEMENT AND AGREE TO BE BOUND BY THE TERMS
OF THIS AGREEMENT. YOU FURTHER ACKNOWLEDGE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN
NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DO NOT AGREE WITH THIS AGREEMENT, PRESS "DISAGREE" AND DO
NOT INSTALL, COPY, DOWNLOAD, ACCESS OR USE THE PRODUCT.
This End-User License Agreement ("Agreement" or "License") is a legal contract between you ("You" or "Licensee") and
the KV331 Yazilim Limited Sirketi ("KV331 Audio") for use of the KV331 Audio software program SynthMaster(TM), which
includes computer software and its resources (the "Software") and the Software user guide and support files (the "Software
Documentation") accompanying this License (collectively the "Product").
1. General Grant of License
The Product is not sold. KV331 Audio grants You a nonexclusive, nontransferable license to use the Product only under the
terms of this Agreement. This Agreement gives You limited rights to use the Software for the purposes described in the
Software Documentation. This Agreement does not grant You any ownership or intellectual property rights to the Product in
part or whole. The Product and any copies that you are authorized by KV331 Audio to make are the intellectual property of
and are owned by KV331 Audio.
2. Permitted License Uses and Restrictions
2.1. You may install and test the Demo Version of the Software, only for evaluating the Software for purchase. In requesting
to download the Demo Version, or otherwise using the Demo Version, You acknowledge that the Demo Version has
limitations in functionality. The Demo Version may not be used for commercial purposes.
2.2. You may distribute the Demo Version of the Software provided the following conditions are met:
This license agreement must accompany the Software.
You do not charge any money for the Software or its distribution without express written permission from KV331 Audio.
The Software is not exploited commercially in any way.
You do not rent, lease, lend, sell, redistribute or give away any serial codes, license files or information, or means that
circumvent the limitations of the Demo Version.
2.3. You may use the Software, after you have purchased it, for any private, commercial or otherwise professional use that
doesn't conflict with any other terms of this agreement. Each licensed copy of this Software may be used by only one
person (Licensee). If you install the Software onto a multi-user platform, server or network, each and every individual
user of the Software must be licensed separately or included by a multi-site license.
2.4. You may make a copy of the purchased Software for backup purposes, provided others do not use or install your copy
of this Software. The assignment, sublicense, networking, sale, or distribution of copies of this Software is strictly
forbidden without the prior written consent of KV331 Audio. It is a violation of this Agreement to assign, sell, share,
loan, rent, lease, borrow, network or transfer the use of this Software. If any person other than yourself uses Software
registered in your name on another computer location or workstation, regardless of whether it is at the same time or
different times, then this Agreement is being violated and you are responsible for that violation!
2.5. You may not copy, decompile, attempt to discover the source code or resources, reverse engineer, disassemble,
modify, or create derivative works of the Software in whole or part, including translation to another language, computer
language or format. You may not attempt to unlock or bypass any copy-protection or authentication algorithm utilized
by this Product. You may further not remove, hide or change any textual or graphical information like labels, copyright or
license notices.
2.6. You may not sample or copy the factory presets that come with this Product to create sample libraries or presets for
other competing products.
2.7. You may not sample or copy the factory samples that come with this Product to create sample libraries or presets for
other competing products.
2.8. You may not sample or copy the expansion presets that you purchased along with this Product to create sample
libraries or presets for other competing products.
2.9. You may not sample or copy the expansion samples that you purchased along with this Product to create sample
libraries or presets for other competing products.

2.10. You may not resell your NFR (not for resale) license, given to you by KV331 Audio for review purposes.
2.11. You may purchase an "academic" license at a reduced price if you are a student, faculty of school personnel. "Academic"
license is NFR, and hence can not be resold.
2.12. You may install the Software, after you have purchased it, on up to 5 computers running on Windows or Mac OSX
operating systems. Your license is dual platform license.
2.13. You may resell your license of the Software to another 3rd party under the following conditions:
・You pay a license transfer fee in the amount of $15 to KV331 Audio.
・You inform KV331 Audio via email about your intention to transfer the license in a reasonable period of time before the
・You dont give away your serial number to the new licensee.
・You remove/uninstall the“SynthMaster software”from the computers that it was installed on.

2.14. You can ask for a refund under the following conditions:
・You have tested the Demo Version of the Software before purchasing a license for it
・After purchasing the license and installing the Software you have reported an issue to KV331 Audio and it has not
been fixed in 7 business days.
3. Copyright
The Product is protected by international copyright laws and international treaties. Unauthorized reproduction or distribution
of the Software or documentation is subject to civil and criminal penalties. SynthMaster is a trademark of KV331 Audio. VST
is a trademark of Steinberg GmbH. All other trademarks are the property of their respective owners.
4. Terms
This license is effective until terminated. You may terminate it by destroying the complete Product and all copies thereof.
This license will also terminate if You fail to comply with any terms or conditions of this agreement. Upon termination of this
Agreement, You shall cease all use of the Product, and destroy all copies of any portion of the Product in your possession.
5. Disclaimer of Warranties
THE PRODUCT IS PROVIDED "AS IS AND WITH ALL FAULTS" WITHOUT WARRANTY OR CONDITIONS OF ANY KIND. THE
PRODUCT MAY CONTAIN BUGS, ERRORS, OR OTHER PROBLEMS. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT
USE OF THE PRODUCT IS AT YOUR SOLE RISK AND THAT YOU AGREE TO ACCEPT THE PRODUCT "AS IS AND WITH ALL
FAULTS". KV331 AUDIO MAKES NO WARRANTIES AND CONDITIONS WITH RESPECT TO THE PRODUCT, EITHER EXPRESS,
IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF
MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
OF THIRD PARTY RIGHTS. KV331 AUDIO RESERVES THE RIGHT TO REVISE THE PRODUCT WITHOUT OBLIGATION TO
NOTIFY ANY INDIVIDUAL OR ENTITY OF SUCH REVISIONS. KV331 AUDIO DOES NOT AND CANNOT WARRANT THAT THE
PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE PRODUCT WILL MEET YOUR REQUIREMENTS, OR THAT
THE PRODUCT WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT DEFECTS IN THE PRODUCT WILL BE CORRECTED.
THE PROVISIONS OF SECTION 5 AND SECTION 6 SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT, HOWEVER
CAUSED, BUT THIS SHALL NOT IMPLY OR CREATE ANY CONTINUED RIGHT TO USE THE PRODUCT AFTER TERMINATION
OF THIS AGREEMENT.
6. Limitation of Liability
IN NO EVENT SHALL KV331 AUDIO, ITS MEMBERS, MANAGERS, EMPLOYEES, AND AFFILIATES (COLLECTIVELY REFERRED
TO AS "KV331 AUDIO" FOR THE PURPOSES OF SECTIONS 5 AND 6) BE LIABLE TO YOU OR OTHERS FOR ANY INDIRECT,
INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR
LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF SAVINGS, LOSS OF DATA, LOSS OF BUSINESS INFORMATION, BUSINESS
INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSES), RESULTING FROM ANY DEFECT IN THE PRODUCT
WHETHER FORESEEABLE OR NOT, ARISING OUT OF THE USE OR INABILITY TO USE THE PRODUCT, HOWEVER CAUSED,
REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF KV331 AUDIO HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN PARTICULAR, KV331 AUDIO SHALL HAVE NO LIABILITY FOR ANY
DATA STORED IN OR USED WITH THE PRODUCT, INCLUDING THE COST OF RECOVERING SUCH DATA. THE FOREGOING
LIMITATIONS, EXCLUSIONS AND DISCLAIMERS APPLY TO THE EXTENT PERMIT TED BY APPLICABLE LAW. IN NO
EVENT SHALL KV331 AUDIO'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT EXCEED THE AMOUNT
ACTUALLY PAID BY YOU FOR THE PRODUCT, IF ANY.
