Welcome Mike Core, GC Chair, called the meeting to order at 2:15 p.m. on September 17, 2014. All committee members were in attendance. A list of attendees is attached as Exhibit A. Steve Goodwill, Western Electricity Coordinating Council (WECC) General Counsel, reminded meeting attendees of the WECC Antitrust Policy. II. Administrative Items On a motion by Joe McArthur, the GC unanimously approved the proposed agenda for the meeting. On a motion by Ian McKay, the GC unanimously approved the minutes of the August 21, 2014 meeting. III. Section 4.9 Scope Mr. Goodwill reviewed a series of proposed scoping statements and questions under which the Section 4.9 review could be conducted (see attached Exhibit B). Mr. Core reported that the plan contemplates the appointment of a task force of Board members, Member Advisory Committee (MAC) members, staff members, and a representative of the Western Interconnection Regional Advisory Body (WIRAB) to conduct the review. The GC discussed the scope and welcomed comments from the public. Points raised by discussion included: • Possible categories of issues include 1) what is working well? 2) what is broken? and 3) what is too early to tell? • MAC and WIRAB are willing to participate in the task force. 2 IV. • The review should be forward-looking. • The review of WECC effectiveness should be an ongoing process of improvement and not limited to a periodic Section 4.9 review. • The requirement to conduct a Section 4.9 review was included in the Bylaws to ensure that bifurcation produced no glaring problems and to verify that nothing had fallen through the cracks. • The review of committee structure should be included in this Section 4.9 review. Governance Guidelines Mr. Core noted that a draft set of governance guidelines and additional reference material have been posted. He expects to bring a recommendation to the Board for approval in December. Action item from this discussion: • V. On behalf of the GC, staff will post a white paper on WECC Governance Guidelines for comment prior to the December meeting of the GC.
