INTERNAL GROUP RESTRUCTURING EXERCISE
1.
Introduction
The Board of Directors (the “Board”) of Envictus International Holdings Limited (“the
Company”) wishes to announce that the Company is proposing to undertake an internal
group restructuring exercise to streamline its Trading and Frozen Food and Others
Divisions.
2.
Details of the Restructuring Exercise
In line with the internal group restructuring exercise, the Group structure will be reorganized
as follows (the “Proposed Restructuring Exercise”):
(a)
Envictus Foods (M) Sdn Bhd (formerly known as Etika Foods (M) Sdn Bhd)
(“EFMSB”) will transfer 100% of its equity interest in Family Bakery Sdn Bhd and
Daily Fresh Bakery Sdn Bhd to De-luxe Food Services Sdn Bhd (“DFSSB”).
(b)
EFMSB will transfer 100% of its equity interest in Hot Bun Food Industries Sdn Bhd
to Platinum Appreciation Sdn Bhd.
(c)
Pok Brothers Sdn Bhd (“PBSB”) will transfer 100% of its equity interest in DFSSB to
EFMSB.
(d)
The butchery business of DFSSB will be transferred to Gourmessa Sdn Bhd.
(e)
The Company will transfer 100% of its equity interest in Polygold Beverages Sdn
Bhd (formerly known as Etika Beverages Sdn Bhd) to Polygold Holdings Sdn Bhd
(formerly known as Etika Industries Holdings Sdn Bhd).
Please refer to the “Appendix” for illustration of the Group structure prior to and after the
Restructuring Exercise.
3.
Rationale of the Restructuring Exercise
The Proposed Restructuring Exercise aims to streamline the Group’s corporate structure
and reduce administrative costs by consolidating the Group’s businesses in the Trading
and Frozen Food and Others Divisions.
4.
Financial Effects
The Proposed Restructuring Exercise is not expected to have any material impact on the
consolidated net tangible assets and earnings per share of the Group for the current
financial year ending 30 September 2015.
5.
Interests of Directors or Substantial Shareholders
None of the directors, substantial shareholders or controlling shareholders of the Company
has any interest, direct or indirect, in the Proposed Restructuring Exercise.
