Corporate Governance
CMW construction is committed to
the principles of
integrity, accountability and
transparency as set out in
the King Report on Corporate
Governance in South Africa, 2002.
The Board
Audit & Risk Management
Committees
The Board consists of two Directors,
and meets fortnightly on a formal
basis. It is responsible for setting
strategy, determining investment
policy, reviewing quarterly
performance in detail against
previously approved budgets and
identifying and monitoring risk
areas. CMW construction
complies with the mandatory
requirement of having a Chairman
as well as a Chief Executive Officer,
with separate functions within the
Company.
The Audit Committee consists of two
Executive Directors; both the head of the
internal audit department and the
external audit partners have unrestricted
access to the Audit Committee. With a
small Board of Directors, CMW
construction believes that the creation
of a Nomination Committee would be
giving precedence to substance
over form. However, the Board regularly
reviews the appropriateness of its size
and how best it can perform
its duties.
Remuneration Committee
The Board has established a Remuneration Committee, which consists
of all two Executive Directors. It is
responsible for determining the
remuneration packages and
conditions of employment of the
Executive Directors
and staff compliment
The Risk Management Committee
consists of all two Executive Directors.
The Committee reports to the Board
on a regular basis setting out its
evaluations of the risks faced by the
Company and the recommended
strategies for mitigating the impact
thereof on the Company. Responsibility
for risk identification, evaluation and
management remains with the Board.
5
Affirmative Action
Policy Statement
CMW construction recognizes Affirmative Action as
an integral part of its business
strategy. Accepting the values and aspirations of the
new South Africa, we ensure the
implementation of Affirmative Action through the
following:
Equal employment opportunities and conditions

conditions of employment based on race or
gender and the establishment of a company
culture respectful of diversity. In this we
recognize the right of every employee to be
treated fairly in his / her employment based on
authentic merits and achievements.
Advancement of all employees
Equality of opportunity extends to all
educational, training and development
aspects and progress and achievements have
to be continuous and measurable against set
targets. Employees who are educationally
disadvantaged or lack training will be assisted
through a Mentorship program to realise their
career potential. CMW construction has a
proactive Affirmative Action Committee that
meets monthly to ensure the above is put into
practice.
This section includes the following:

• Policy Statement
• Quality Control for Building Work Instructions
• Environmental Management Plan
• BEE Certificates
• CIDB Rating Certificates

monitoring are to be identified and, if deemed necessary, additional systems incorporated to ensure
Environmental Management Plan
The protection of our environment is a prerequisite consideration in all decisions and actions of the
Company. Coupled with our generic Environmental Management Plan (EMP), the site management
