Innovative training and education programs allow us to provide our employees and subcontractors with the tools they need to increase safety and reduce the risk on every project we manage. 4 Corporate Governance CMW construction is committed to the principles of integrity, accountability and transparency as set out in the King Report on Corporate Governance in South Africa, 2002. The Board Audit & Risk Management Committees The Board consists of two Directors, and meets fortnightly on a formal basis. It is responsible for setting strategy, determining investment policy, reviewing quarterly performance in detail against previously approved budgets and identifying and monitoring risk areas. CMW construction complies with the mandatory requirement of having a Chairman as well as a Chief Executive Officer, with separate functions within the Company. The Audit Committee consists of two Executive Directors; both the head of the internal audit department and the external audit partners have unrestricted access to the Audit Committee. With a small Board of Directors, CMW construction believes that the creation of a Nomination Committee would be giving precedence to substance over form. However, the Board regularly reviews the appropriateness of its size and how best it can perform its duties. Remuneration Committee The Board has established a Remuneration Committee, which consists of all two Executive Directors. It is responsible for determining the remuneration packages and conditions of employment of the Executive Directors and staff compliment The Risk Management Committee consists of all two Executive Directors. The Committee reports to the Board on a regular basis setting out its evaluations of the risks faced by the Company and the recommended strategies for mitigating the impact thereof on the Company. This procedure describes the method to be used for the inspection and monitoring of CMW construction works. All sites are to allocate persons responsible for compliance with the implementation of the system in the designated areas. Key performance areas requiring special monitoring are to be identified and, if deemed necessary, additional systems incorporated to ensure Environmental Management Plan The protection of our environment is a prerequisite consideration in all decisions and actions of the Company. Coupled with our generic Environmental Management Plan (EMP), the site management will formulate a sitespecific EMP prior to occupation of the project. This plan will also take into account the Employers’ EMP usually issued by their appointed Environmental Control Officer (ECO).
