Below are the terms and conditions for registering Industry Members
(‘Client’) to participate in the AMFI program modules. The agreement to
which these terms and conditions apply is between the Client and Alberta
Innovates - Technology Futures ('AITF'). By registering in the AMFI Program, The Client agrees to the terms and Conditions herein below. These
terms and conditions shall supersede those of the Client’s purchase order
documentation.
Definitions
“AMFI Program” means the Alberta Metal Fab Innovation Program along
with any and all training modules and others events offered within the
technical and business development curriculum in order to increase professional development opportunities for industry practitioners in the area of
metal and machinery manufacturing.
“Funding Agency” means any person, corporation or organization providing
funding to support the operation of the AMFI Program, including but not
limited to Alberta Finance and Enterprise, Calgary Economic Development,
Edmonton Economic Development and Productivity Alberta.
“Service Provider” means any person, corporation or organization directly
providing training on one or more modules for the AMFI Program, including
but not limited to Alberta Innovates – Technology Futures, University of
Alberta, their affiliates, agencies, assignees and/or subcontractors.
“Client” means any person, corporation or organization that participates in
one or more module of the AMFI Program. “Attendee” means any person
representing the Client that is attending a module of the AMFI program.
Booking Conditions and Information
Service Provider requires program registration to be confirmed in writing
(including number of attendees) along with payment (valid purchase order
number, cheque, credit card) at least two weeks in advance of the agreed
date for the program. The Client is responsible for ensuring that the backgrounds of program attendees are suitable for the training course that they
are attending, paying particular attention to any pre-requisites specified by
Service Provider. Essential information (including Safe Operating Procedures (“SOPs”), Personal Protective Equipment (“PPE”) requirements and
equipment use best practices) and program instructions will be sent to the
attendees have reviewed and understand the SOP and PPE
information provided prior to the start of the program module.
The Client will be required to execute a Waiver of Liability specifically for program activities to be conducted at the Service Provider's site. This Waiver shall be executed and returned to the attention of the Service Provider at least 3 business days prior to start of
the AMFI program.
Payment
Payment of the full program fee is required with program registration. The program fee covers training and materials for all modules.
All stated fees are exclusive of GST.
Cancellation
Program Content
Service Provider accepts no liability for failure to cover all or any part
thereof and reserves the right to vary the program contents at any time
without reference or notification to the Client.
Health and Safety
Notwithstanding any other terms herein, the Client or any of its directors, officers or employees will ensure compliance with all of the Service Provider’s instructions, directions, policies and procedures while at
any site of the Service Provider. Failure of the Client or any of its
directors, officers or employees to comply with any of the Service
Provider’s instructions, directions, policies and procedures could result
in removal from the site and termination of services. If such termination
occurs, the Client will be responsible for full payment in respect of the
services and amounts due to the Service Provider.
The Client may cancel their program registration at any time. If
notification of cancellation is received more than five (5) business
days prior to the start of the program, a refund of fees paid, minus
a 10% cancellation fee, will be made. After this time, no refund will

be provided, however the Client has the option to change the
registered program attendee(s). Service Provider reserves the right
to cancel or reschedule modules within the program and in these
situations every effort will be made to accommodate attendees on
an alternative module.
Provider, the responsibility for control of all matters at the location at
which the equipment is deployed shall be that of the Service Provider
provided that the Client or any of its employees working on or with the
equipment may decline to carry out any instruction and take any action
it or they see fit in any situation where the safety of personnel or property may be at risk and the decision as to whether any such situation
exists shall be at the sole discretion of the Client or any of its employees who are present at the location of the equipment. The Client will
ensure that all use of the equipment is in accordance with SOPs provided by the Service Provider, that appropriate PPE is worn and that all
best practices under the supervision of the Service Provider are followed.
Copyright
All intellectual property rights for material supplied in the program is
subject to copyright and owned by Service Provider and therefore
any duplication in whole or in part is strictly prohibited. Any recordings or copies made of module materials will be an infringement of
copyright unless agreed in advance and in writing by Service
Provider. All information provided by Service Provider is given in
best faith and Service Provider will not be held responsible for
actions taken by the client, any other individual or organization as a
result of the information provided during the training course.
Where the Service Provider’s equipment is employed at one of the
Service Provider’s locations or some other location chosen by Service
Law
The construction, validity and performance of this Agreement shall be
governed by the laws of Alberta and the parties agree to submit to the
exclusive jurisdiction of the courts of the Province of Alberta.
