Browser ad plus reminder
The browser ad is placed on the screen
during route calculation. The advertising message subsequently appears
beneath the route description as a
reminder.
Technical requirements:
The browser ad is displayed for around
10 seconds. The file must not exceed
the maximum volume of 80 kB.
Map layer
The map layer is displayed directly on
Falk.de online maps. After about 8 user
actions (map slides), the advertising
material appears in 300 x 250 format
as an ‘interruption’ within the mapping
material and can be actively closed by
the user.
POI listing
Integration of individual POIs within
online maps. In agreement with product
managers, an individual icon is assigned
to each POI. The corresponding data set
is displayed by means of an address layer by clicking on the icon. The address
layer provides a link to a universally
valid URL.
Technical requirements:
Data as supplied is imported and geocoded. It is important to ensure that all
data is recorded in separate fields. It
is essential that the street and house
number are recorded separately to
permit accurate geo-coding down to
street level.

§1
Definitions, scope
(1) The term ‘digital order’ refers to
the contract for the placement of one
or more pieces of advertising material
(‘advertising material’) on information
and communication services, particularly the Internet, for circulation
purposes. Advertising material can take
the form of a picture and/or text, sound
and/or moving images (including banners) or of a sensitive area that, when
clicked, makes a connection to further
data in the remit of the client or a third
party (e.g. link), by means of an online
address supplied by the customer.
(2) The term ‘advertisement order’ refers to an agreement for the publication
of one or more advertisements or other
advertising material (‘various adverts’)
on behalf of an advertising customer or
other advertiser (‘customer’) in a printed publication for circulation purposes.
This applies equally to agreements regarding inserts, bound-in supplements,
glued-in inserts and other technically
special formats or other forms of advertising.
(3) Digital and advertisement orders are
also referred to hereafter collectively as
‘advertising orders’.
(4) The general terms and conditions
shall apply to orders in digital media
and for advertisements and other advertising material in print media. They
have no validity for advertising orders
for which separate general terms and
conditions apply
§2
Conclusion of contract, timeframe
(1) An advertising order is placed in
writing or by email. The advertising
order must be confirmed in writing. For
special forms of advertising (especially
inserts and supplements) the provider’s
confirmation is not binding until a sample is available and has been approved.
Advertising for goods or services from
more than one advertiser in one advertising presence (e.g. banner, pop-up ad,
joint advertisement) requires an additional agreement in writing or by email
(2) Where advertising orders are issued by advertising agencies, in case of
doubt, the agreement is made with the
agency. If a customer is acting through
the mediation of an advertising agency or other advertising intermediary
(‘advertising agent’), the customer
must be identified by name and a valid
address must be supplied. The provider
is entitled to request valid proof of a
mandate between customer and advertising agent.
(3) In the case of a digital order, the
customer is entitled, during the period
of validity of the contract, to request
further advertising material over and
above the quantity provided by the
contract, provided additional capacity is
available, in return for a remuneration
to be agreed separately. If an extension
of the order is possible, the provider will
confirm this to the customer.
(4) If the right to request individual
advertising materials is granted to the
customer under an advertising order,
the order must be completed within a
year of conclusion of the contract, provided that the parties have not agreed to
the contrary
§3
Right of refusal,
identification of advertising
(1) The provider reserves the right to refuse or suspend advertising orders and
advertisements and individual requests
under an order if their content is contrary to laws, rights or official regulations or has been subject to a complaint
before the German Advertising Council,
or if its publication is unacceptable to
the provider by reason of its content,
origin or technical form. The same
applies if the customer himself subsequently makes changes to the content
of the advertising material or if the data
to which a link points is subsequently
altered, and the conditions in Sentence
1 above are fulfilled.
(2) The customer shall be informed of
any rejection or suspension. In this case
the customer is entitled to present the
provider with an altered version of the
ad design or advertising material to
be submitted and/or of the target URL
which is to be linked within the agreed
timeframe. If the customer is unable
to supply the altered version in time,
the provider shall retain the right to the
agreed remuneration, even if the advertising material is not submitted. The customer has the right to provide evidence
of significantly lower damage.
(3) Advertising and advertisements
which are not recognisable as such
shall be clearly identified as advertising.
§4
Guarantee of rights
(1) The customer warrants that he is in
possession of all the rights necessary
for placing the advertising material.
The customer is responsible for the
content and the legal permissibility of
the advertising material. The provider
is not required to check the advertising
material for possible legal violations.
The customer releases the provider
from any claims by third parties which
might arise from breaches of legal
provisions (particularly competition law,
trademark law, copyright law or privacy
law) In addition, the customer releases
the provider from the costs of an appropriate legal defence. In the case of
legal defence, the customer will furnish

(2) The customer transfers all such
rights of use under copyright and intellectual property right law to the provider as are necessary for the execution
and use of the advertising in all kinds of
media, including the Internet, particularly rights of reproduction, circulation,
transmission, broadcast, public access,
processing, extraction from a database
and retrieval, and to the extent necessary for the execution of the order in
terms of time, place and content. The
rights referred to authorise the placement using all known technical processes and all known forms of media.
§5
Prices, granting of rebates
(1) The advertising order is subject
to current price lists at the time of
issuing the order. The price of the
advertisement relates to the printing
of the advertisement following the
supply of a finished print-ready digital
advertisement sample in accordance
with the provider’s request for printing
documentation. Costs for setting, preparing printing documentation and any
changes to the sample requested by or
imputable to the customer shall be met
by the customer.
(2) The right to change the price at a
later stage is reserved. In the case of
non-merchants, a later price increase is
only effective if the advertising order or
individual requests under an advertising
order affected by the change are to be
carried out more than four months after
conclusion of the contract. Rebates are
to be determined in accordance with the
price list in force at the time.
(3) The provider shall give notice of
price changes to confirmed advertising
orders at least one month before publication of the advertising material; in the
case of a price increase, the customer
has the right to withdraw. Declaration
of withdrawal must be made in writing
to reach the provider within 14 days
of receipt of notification of the price
increase.
(6) The customer is entitled, provided
no other arrangement has been agreed
on, to a rebate corresponding to the
actual advertising material (advertising
orders) delivered to him within a year,
if he has finalised a contract which entitles him to a rebate according to the
price-list. The right to a rebate expires
if he has not given written notice to the
provider within three months of the expiry of the one-year period.
§6
Settlement of account, payment default
(1) Unless contractually agreed otherwise,
invoicing takes place:

adhere to the provider’s price lists in
their quotations, contracts and statements of account with advertisers. Any
agency fee paid by the provider must not
be passed on to the advertiser, either
whole or in part. Advertising agents are
advised that they should make this circumstance clear to contractual parties.

receipt of order.
(5) If an advertising order is not fulfilled
through circumstances which cannot be
attributed to the provider, the customer
shall pay the provider the difference
between the rebate granted and that
corresponding to the actual amount
delivered, notwithstanding other legal
obligations.

(4) Objectively justified doubts concerning the customer’s creditworthiness
shall entitle the provider, even within
the term of the contract, to make the
placement of further advertising material, in derogation from the term of
payment initially agreed, dependent on
payment in advance and the immediate
settlement of any outstanding invoiced
amounts.
(5) The provider is entitled to correct
any defective invoices within six months
of their issue.
(6) Offsets and retentions can only
be exercised by the customer if his
counter-claims are uncontested or determined as legally binding. In the case
of payment default or deferral, interest
at standard bank rates and collection
costs shall be charged. The customer
has the right to provide evidence of significantly lower damage. In the case of
payment default, the provider may defer
the continued execution of the current
contract until payment is made, and
demand payment in advance for the rest
of the placement.
§7
Liability
Irrespective of the cause in law, the
provider shall only be held liable for deliberate or grossly negligent behaviour
on the part of his legal representatives
or agents. Any basic existing liability
shall be limited to foreseeable damage

the provider with information and documents in good faith.
§8
Cancellation of orders
((1) A digital order can be cancelled
in writing without charge, up to three
weeks before the start of placement. If
this cancellation period is not observed,
a cancellation charge of 30% of the
net order value must be paid. Once a
booking has been initiated, it cannot be
cancelled.
(2) Advertisement orders can only be
cancelled in writing up to two weeks
before the copy deadline. If the cancellation period for an advertisement order
is not met, the advertisement must be
paid for in full. The customer has the
right to provide evidence of significantly
lower damage.

§9
Provision of advertising copy by the
customer

Provider’s duty of notification (access
figures)
(1) The customer is required to provide
complete, perfect and appropriate advertising copy within the timeframe set
down, in accordance with the specification sheet sent to him on confirmation
of the order. Any divergences are to
be agreed on with the provider without
delay, either in writing or by email. The
cost of later processing or alteration of
the copy material shall be met by the
customer.
Unless agreed otherwise, the provider
is required to make the data regarding
the number of times the advertising
material has been accessed available
to the customer, within 10 days of the
execution of the order.
(2) If data is delivered late, correct
fulfilment of the campaign cannot be
guaranteed. Reimbursement by credit
note is not possible
(3) Any design change must be agreed
on with the provider in writing or by
email.
(4)The provider’s responsibility to store
advertising material shall end three
months after the last circulation. The
provider takes no responsibility for the
advertising material provided or any
other material and will only return them
to the customer upon his specific request and at his expense. Provided that
no other agreement was made at the
time of issuing the order, the provider is
not responsible for the placement of ad-

Provider’s guarantee
(1) The provider guarantees, within
the context of the foreseeable requirements, to provide an appropriate
rendering of the advertising material
in accordance with the usual technical
standard. The customer is however
aware that the state of the art does not
permit the production of a programme
entirely free of defects. Specifically, it
is not a defect of the presentation of the
advertising material if the impairment
has been brought about by the use of
inappropriate software and/or hardware
(e.g. browser) or by malfunction of other
operators’ communication networks or
a third party (e.g. other providers), computer failure, by incomplete and/or not
updated service on so-called proxies
(caches) or a failure of the ad server
lasting no longer than 24 hours within
30 days of the start of the contractually
agreed placement. If the ad server fails
for a significant time in the case of a time-specific firm booking, the customer
is released from the obligation to pay
for the period of the failure. No further
claims shall be entertained.
(2) If the quality of rendering of the
advertising material proves unsatisfactory, the customer is entitled to a
reduction in payment or substitute
advertising of high quality, but only to
the extent that the purpose of the advertising material has been affected. If the
provider fails to meet an appropriate
deadline imposed for this purpose, or if
the substitute advertising is not achievable, especially for reasons of capacity,
the customer shall be entitled to a reduction in payment or the cancellation of
the order.
(3) If any defects derive from the advertising material provided by the
customer, he has no right to any claim if
notification is inadequate. The customer
is required to check the advertising
material immediately after placement
has begun and to inform the provider of
any defects in writing, within one week.
Otherwise the advertising material will
be considered to be authorised. In the
case of defects in repeated advertising
placements, the customer must notify
the provider of the defects before publication of the next placement of the
advert.
(4) Any claims concerning defects which
are not obvious, must be made to the

typical for the contract. The same applies in respect of the personal liability
of legal representatives, agents and
subcontractors. The aforementioned
limitations do not apply to injuries to
life, body or health, nor to foreseeable
damage typical for the contract through
dereliction of important contractual
duties.
(5) If advertising impressions that have
been agreed on are missing, the provider will make an additional delivery
according to the contact figures agreed
on with the customer, as far as this is
possible and reasonable. In this case,
the advertising material will continue to
be placed on the website(s) booked.
(6) If the media performance measured
by the provider and the customer diverge, the figures determined by the
provider shall apply.
(7) If the execution of an order is not
completed due to reasons beyond the
provider’s control (such as technology
or programme), especially due to computer failure, force majeure, strikes, legal provisions, malfunctions within the
remittance of third parties (e.g. other
providers), network operators or comparable reasons, the execution of the
order shall be made up where possible.
If such rectification is made within an
appropriate and reasonable time after
the malfunction has been rectified, the
provider’s right to remuneration shall
remain. Should the delay be significant,
the customer shall be informed accordingly.
(8) If orders, alterations or substantiations are made by telephone, the publishers accept no responsibility for errors
in transmission.
§ 12
Cancellation
The provider has a right to extraordinary written cancellation and immediate
removal of the advertising material if
the customer has failed to meet his
duty in respect of payment, despite two
warnings, if the customer constantly infringes on important provisions of these
terms and conditions despite warning,
if the advertising material infringes or
might infringe on the rights of third parties or if the customer has unilaterally
altered the advertising material or the
target URL which is to be linked.
III. Specific provisions for advertisements and other advertising
material in print media
§ 13
Publication of advertisement, positioning, product changes
(1) The provider is in no way responsible
for the publication of advertisements in
specific issues or in specific positions in
publications. If an agreement is made
to the contrary, advertisements must
reach the provider in time for the customer to be able to be informed if the
order cannot be fulfilled in this way.
(2) The provider is entitled to alter
products or product series and their
design. If the alteration is minor, the
advertising order shall remain in place.
Where product changes are significant,
the customer is entitled to cancel his
advertising order. In this case, the
customer shall have no rights to claim,
and specifically shall have no entitlement to claim for compensation.
§ 14
Advertising copy
((1) The customer alone is responsible
for the timely provision of the advertising template within the timeframe set
down by the provider and for the perfect
condition of advertising copy according
to the provider’s guidelines.

supplied by the customer, any subsequent claims concerning colour will be
disregarded.
((3) If more than two colour samples
are sent, if copy is not supplied by the
deadline or if reproduction which deviates from the sample is requested,
placement and print quality may be
affected and the customer shall have no
right to make claims at a later date. The
provider reserves the right to charge for
any resulting additional costs. If copy is
recognisably unsuitable or damaged,
the provider may request an immediate
substitute. The provider guarantees
normal print quality for the titles used
as permitted by the copy. Advertising
material with a format or appearance
that gives the appearance of being an
integral part of the publication will not
be accepted. If the provider rejects an
advertising order in this manner, he
shall give immediate notice of it.
(4) Proofs shall only be supplied on specific request. The provider will take into
account corrections which are relayed
to him by the deadline quoted when the
proof is sent. The customer is responsible for the accuracy of the proofs returned. If the customer does not return
proofs by the time specified (receipt by
provider), permission to print shall be
taken as having been granted.

supply a specimen copy of the advert. If
it is no longer possible to supply a copy,

(7) Information supplied by the provider
concerning the planned print run and
the publication date of the publication
are not binding. Because editions of
cartographic products and travel guides
appear at long intervals and depend on
the development of sales of the edition
currently on the market, the size of the
print run and the date of completion
may change.

defect in the copy or other advertising
material furnished by the customer. Any
claims concerning defects which are not
obvious must be made to the provider
within a year after the start of the legal
limitation date, or alternatively within
four weeks of the first appearance of
the advertising
§ 15
Provider’s guarantee
(2) In cases of force majeure or of industrial action which is not the fault of
the provider, the provider shall be released from the duty to fulfil the order.
In this case there shall be no right to
claim for compensation.
(1) If the published advertisement is
wholly or partially illegible, incorrect
or incompletely printed, the customer
is entitled to a reduction in cost or a
substitute advertisement, but only
to the extent that the purpose of the
advert has been affected. The provider
is entitled to refuse a substitute advertisement if this involves expense grossly
disproportionate to the customer’s per-

or interventions by force majeure (e.g.
industrial action, confiscation, traffic
disruption, general shortages of power
or raw materials and the like) – either
in the provider’s own company or in
other companies on which the provider
depends for fulfilment of his liabilities
– the provider is entitled to full payment
for adverts which have been published,
providing that the publication has been
produced to at least 80% of the planned print run of the previous edition.
If the quantities printed are lower, the
amount invoiced will be reduced proportionally.
(4) If orders, alterations or substantiations are made by telephone, the publishers accept no responsibility for errors
in transmission.
IV. Final provisions
§ 16
Choice of law, place of performance,
jurisdiction
subject to other legal requirements.
Place of jurisdiction is Stuttgart, even
for persons who have no general place
of jurisdiction within the Federal Republic of Germany and for persons who
change their place of residence or abode to one outside of the Federal Republic of Germany after conclusion of the
contract, or whose place of residence
or abode is not known at the time of a
complaint being filed.
§ 17
Data protection
Processing of the advertising order
shall be subject to the data protection
provisions that are in force.
(1) Terms and conditions which conflict
with or deviate from these terms and
conditions shall not be recognised. Conflicting conditions can only be recognised when made in writing.
(2) The law of the Federal Republic of
Germany shall apply exclusively, with
the exception of the UN Sales Convention, subject to other overriding legal
requirements.
(3) Should any one of these provisions
be or become invalid, this shall not
affect the validity of the remaining provisions.
(4) Place of performance for payment
and place of jurisdiction is Stuttgart,
