Topic Synopsis
Law Reform: Key changes to the Companies Act
and the
Business Names Registration Act
This presentation will cover recent key legislative reforms to the Companies Act and the enactment of a new Business Names Registration Act to replace the Business Registra‐
tion Act. The legislative changes to the Companies Act include the introduction a “small company” concept for audit exemption, the use of alternate addresses instead of resi‐
dential addresses on ACRA’s records, new powers being accorded to the Registrar of Companies to debar directors in default of lodgement obligations, and updates to the regulatory requirements for foreign companies. The new Business Names Registration Act will, among other things, allow for the exemption from registration of individuals carrying on business in Singapore under only their full names.
