ALGEMENE VERKOOPVOORWAARDEN VAN COMEDICAL B.V.
1.
Algemeen
Deze algemene verkoopvoorwaarden zijn van toepassing op iedere offerte van CoMedical B.V.
(“Leverancier”) en op alle overeenkomsten die Leverancier sluit met een derde (“Afnemer”).
Afwijkingen van deze algemene verkoopvoorwaarden gelden slechts, indien en voor zover deze
uitdrukkelijk schriftelijk zijn overeengekomen.
2.
Aanbod en aanvaarding
Alle offertes van Leverancier, in welke vorm ook gedaan, zijn vrijblijvend, tenzij deze een termijn voor
aanvaarding bevatten. Indien een offerte van Leverancier een vrijblijvend aanbod bevat en Afnemer deze
offerte aanvaardt, heeft Leverancier het recht het aanbod binnen 5 werkdagen na ontvangt van de
aanvaarding te herroepen.
3.
Levering
Levering vindt plaats “Ex Works” als bedoeld in de ICC Incoterms 2000 van de Internationale Kamer van
Koophandel. Dit betekent onder andere dat de producten voor rekening en risico van Afnemer zijn, vanaf
het moment dat zij de fabriek of het pakhuis van Leverancier voor vervoer of verzending naar de Afnemer
hebben verlaten. Het is Leverancier toegestaan de overeengekomen hoeveelheden in gedeelten te leveren.
Elke deellevering wordt beschouwd als een afzonderlijke overeenkomst.
De overeengekomen leveringstermijn geldt niet als fatale termijn. Bij niet tijdige levering dient Leverancier
in gebreke te worden gesteld, waarbij Leverancier een redelijke termijn wordt gegeven alsnog de
overeenkomst na te komen. Bij overschrijding van deze nadere termijn is Afnemer slechts bevoegd de
overeenkomst te ontbinden ten aanzien van de nog niet geleverde hoeveelheden.
Afnemer zal de producten afnemen binnen de overeengekomen termijn, nadat Leverancier hem heeft
meegedeeld dat de producten gereed staan voor levering. Indien Afnemer de producten niet binnen de
overeengekomen termijn afneemt, dan wel Afnemer nalatig is met het tijdig verstrekken van de nodige
informatie voor vervoer of verzending van producten, dan heeft Leverancier het recht om de producten op
te slaan voor rekening en risico van Afnemer, onverminderd het recht van Verkoper om schadevergoeding
te vorderen. Indien Leverancier heeft zorg gedragen voor het vervoer, de verzending en/of de verzekering
van de producten, wordt Leverancier geacht dat in naam en voor rekening en risico van Afnemer te
hebben gedaan.
4.
Betaling
Betaling dient te geschieden binnen 30 dagen na factuurdatum en zal worden geacht te hebben
plaatsgevonden op het moment dat het factuurbedrag op de rekening van Leverancier staat bijgeschreven.
Indien de overeengekomen hoeveelheden in gedeelten worden geleverd, is Leverancier bevoegd in
gedeelten te factureren. Betaling dient plaats te vinden zonder korting of verrekening. Na het verstrijken
van de betalingstermijn is Afnemer, zonder nadere ingebrekestelling, in verzuim en is hij vanaf die datum
de Nederlandse wettelijke rente verschuldigd. Is Afnemer in verzuim of schiet hij op een andere wijze in
het nakomen van één of meer van zijn verplichtingen tekort, dan komen alle redelijke buitengerechtelijk en
gerechtelijke kosten van Leverancier ter verkrijgen van voldoening volledig voor rekening van Afnemer.
Leverancier is te allen tijde bevoegd alvorens (verder) te presteren, afdoende zekerheidsstelling dan wel
gehele of gedeeltelijke vooruitbetaling van Afnemer te eisen.
5.
Eigendomsvoorbehoud
De door Leverancier geleverde producten blijven het eigendom van Leverancier tot het moment dat al het
aan Leverancier verschuldigde ter zake van het geleverde en nog te leveren producten, met inbegrip van
rente en kosten, is voldaan. Afnemer is tot dat tijdstip slechts gerechtigd de producten te vervreemden of
te gebruiken, indien dit tot de normale uitoefening van zijn onderneming behoort. Indien Afnemer
tekortschiet in de nakoming van zijn verplichtingen jegens Leverancier of Leverancier goede grond geeft te
vrezen dat Afnemer in de nakoming van die verplichtingen zal tekortschieten, is Leverancier bevoegd de
door hem geleverde producten terug te nemen. Enig retentierecht op die producten komt Afnemer niet toe.
Afnemer is verplicht de geleverde producten zorgvuldig en als herkenbaar eigendom van Leverancier op te
slaan. Afnemer is tevens verplicht de geleverde producten te verzekeren tegen brand- en waterschade en
diefstal. Eventuele aanspraken van Afnemer uit hoofde van deze verzekeringen zullen op eerste verzoek
van Leverancier door Afnemer aan Leverancier worden verpand tot meerdere zekerheid van de vorderingen
van Leverancier jegens Afnemer. Zolang de eigendom van de geleverde producten niet op Afnemer is
overgegaan, zal deze de producten niet verpanden of aan een derde enig ander recht daarop verlenen.
Indien derden enig recht op de onder eigendomsvoorbehoud geleverde producten willen vestigen of doen
gelden, is Afnemer verplicht Leverancier hiervan zo snel mogelijk op de hoogte te stellen. Afnemer
verplicht zich binnen redelijke grenzen medewerking te verlenen aan alle maatregelen die Leverancier ter
bescherming van zijn eigendomsrecht met betrekking tot de geleverde producten zal treffen.

Reclames
Afnemer dient de producten bij ontvangst te controleren op gebreken en tekortkomingen. Zichtbare
gebreken of tekortkomingen dienen binnen 10 werkdagen na ontvangst door Afnemer bij Leverancier
schriftelijk te worden gemeld onder vermelding van de aard van de gebreken of tekortkomingen. Nietzichtbare gebreken of tekortkomingen dienen binnen 10 werkdagen na ontdekking, dan wel binnen 10
werkdagen nadat zij redelijkerwijs hadden kunnen worden ontdekt door Afnemer bij Leverancier schriftelijk
te worden gemeld onder vermelding van de gebreken of tekortkomingen. Beantwoorden de producten niet
aan de overeenkomst, dan is Leverancier te zijner keuze slechts gehouden de desbetreffende producten te
vervangen of te herstellen. Iedere aanspraak in verband met het niet voldoen van de producten aan de
overeenkomst vervalt bij niet tijdige melding, doch bij niet-zichtbare gebreken uiterlijk 2 maanden na de
ontvangst door Afnemer van de producten. Iedere aanspraak in verband met het niet voldoen van de
producten aan de overeenkomst vervalt, indien de geleverde producten zijn verwerkt of omgepakt, of
indien op enige andere wijze de oorspronkelijke staat van de producten is gewijzigd. Producten kunnen
slechts na voorafgaande schriftelijke toestemming aan Leverancier worden geretourneerd. Ook indien
Afnemer tijdig reclameert, blijft zijn verplichting tot betaling van de geleverde producten en de nakoming
van zijn overige verplichtingen bestaan.
7.
Overmacht
Onder overmacht wordt verstaan omstandigheden die de uitvoering van een overeenkomst geheel of
gedeeltelijk verhinderen of ernstig bemoeilijken en die niet aan partijen zijn toe te rekenen. Onder
overmacht wordt in ieder geval begrepen: brand, extreme weersomstandigheden, bedrijfsblokkades,
stakingen en uitsluitingen, onderbreking in de aanvoer of voorziening van producten of diensten die in
verband met de door Leverancier te leveren prestatie(s) van belang zijn, overheidsmaatregelen, waaronder
in- en uitvoerbepalingen, en transportbelemmeringen.
In geval van overmacht worden de verplichtingen van partijen opgeschort. Indien de periode van
overmacht langer duurt dan 1 maand, zijn beide partijen bevoegd de overeenkomst voor het nog niet
uitgevoerde gedeelte zonder gerechtelijke tussenkomst te ontbinden, zonder dat er in dat geval een
verplichting tot schadevergoeding bestaat. Partijen hebben ook het recht zich op overmacht te beroepen,
indien de overmacht intreedt op een tijdstip dat een partij een bepaalde verplichting reeds had moeten
nakomen.
8.
Aansprakelijkheid
Leverancier is niet aansprakelijk voor schade van Afnemers die het gevolg is van het niet of niet-tijdig
leveren van producten. Het is de verantwoordelijkheid van Afnemer dat de producten op deskundige wijze
en overeenkomstig de gebruiksaanwijzing worden gebruikt. Indien Afnemer de producten door levert aan
enige derde, zal Afnemer deze derde contractueel verplichten om de in dit artikel bedoelde verplichtingen
(i) zelf na te komen of (ii), in het geval van verdere doorlevering, bij wijze van kettingbeding aan zijn
wederpartij op te leggen. Onverminderd hetgeen in deze algemene voorwaarden overigens is bepaald, is
elke aansprakelijkheid van leverancier jegens afnemers beperkt tot de waarde van de producten, waardoor
of in verband waarmee de aansprakelijkheid is ontstaan. Onder deze waarde wordt verstaan het met
betrekking tot de desbetreffende leverantie gefactureerde bedrag, verminderd met BTW en eventuele
overige heffingen. De in dit artikel 8 bedoelde beperking van aansprakelijkheid geldt niet ter zake van
opzet en bewuste roekeloosheid van bestuurders en leidinggevende ondergeschikten van Leverancier.
9.
Toepasselijk recht en geschillen
Iedere rechtsverhouding tussen Leverancier en Afnemer wordt uitsluitend beheerst door het Nederlands
recht. De bepalingen van het Weens Koopverdrag zijn niet van toepassing. De bepalingen van enige
andere internationale regeling inzake koop van roerende zaken, waarvan de werking door partijen kan
worden uitgesloten, zijn evenmin van toepassing. Alle geschillen die behoren tot de absolute competitie
van de rechtbanken, zullen uitsluitend door de rechtbank te Rotterdam worden beslecht.

These General Terms and Conditions of Sale will apply to all offers made by CoMedical B.V.
(“the Seller”) and all agreements concluded by the Seller with any Buyer.
Any deviation from these General Terms and Conditions of Sale requires an express written agreement.
2.
Offers; conclusion of a Sales Agreement
All offers made by the Seller, regardless of their form, will be free of obligation, unless these offers contain a
period for acceptance. When an offer by the Seller is done without any obligation and the Buyer has accepted
this offer, the Seller has the right to withdraw the offer within 5 workdays after reception of the acceptance.
3.
Delivery
Delivery takes place “Ex Works” as defined in the ICC Incoterms 2000 of the International Chamber of
Commerce. This means amongst others that the products are for the risk and expense of the Buyer from the
moment the products have left the factory or the warehouse of the Seller for transport or dispatch to the Buyer.
The Seller may supply the agreed quantity in parts. Each part of delivery will be considered an independent
Sales Agreement. The time of the agreed delivery period will not be of the essence: in the event of late
delivery, the Seller must be sent notice of default and granted a reasonable grace period in which to perform
the Sales Agreement. If the Seller again fails to deliver on time, the Buyer is only allowed to dissolve the Sales
Agreement in respect of the undelivered quantity. The Buyer will take delivery of the products within the agreed
period once the Seller has notified him that the products are ready for delivery. If the Buyer fails to take
delivery within the agreed period, or to supply information or issue instructions necessary for the delivery, the
Seller may store the products at the Buyers’ risk and expense, without prejudice to the Seller’s right to claim
damages. If the Seller has arranged the transport, the dispatch and/or the insurance of the products, the Seller
is regarded to have performed these activities at the risk and expense of the Buyer.
4.
Payment
Payment will be made within 30 days after the date of invoice and will be considered to have been made at the
time the bank has credited the invoiced amount to the Seller’s account.
If the contractual quantities are delivered in parts, the Seller may send a separate invoice for each such part.
Payment will be made without deduction or set-off. If the term for payment expires without the Buyer having
paid, the Buyer will be in default, without further notice of default. As of that date the statutory interest of
article 6:119a from the Dutch Civil Code will be due.
If the Buyer is in default or otherwise fails to perform any of his obligations, he will pay all reasonable costs
incurred to execute payment both in and out of Court, including attorney fees, collection costs and bailiff-fees.
The Seller may at all times condition (further) performance of the Sales Agreement upon the Buyer providing
adequate security or making full or partial advance payments.
5.
Retention of title
Title to the products delivered by the Seller will remain vested in the Seller until full payment has been made for
all past and future deliveries, including any interest and costs. Until the title vests in the Buyer, he may only
resell or use the products within the normal operation of his business.
If the Buyer fails to satisfy his payment obligation to the Seller, or the Seller has reason to fear that the Buyer
will so fail, the Seller may repossess the products. The Buyer will have no possessory lien over the products.
The Buyer will handle the products delivered with due care and keep them identifiable as the Seller’s property.
The Buyer will also insure the products against fire, water damage and theft, and pledge any claims under such
policy to the Seller at the latter’s first request as additional security for the performance of his obligations to the
Seller. Until title to the products passes to the Buyer, he may not pledge or grant third parties any other right in
the products.
If a third party wishes to create or assert any right in respect of the products, the Buyer will so notify the Seller
as soon as possible. The Buyer will reasonably cooperate with the Seller in taking all measures to protect the
Seller’s title to the products.

Complaints
The Buyer will inspect the products upon receipt for any defects or shortcomings. Visible defects must be
reported to the Seller in writing within 10 workdays of receipt of the products stating the nature of the defects.
Hidden defects must be reported to the Seller in writing stating the nature of the defects, either within 10
workdays of their discovery or within 10 workdays after the Buyer could reasonably have discovered the
defects. If the products do not conform to the Sales Agreement, the Seller will have the option to either replace
the products or rectify the defects in the products. Any claim related to the products which fail to conform to
the Sales Agreement will lapse if the complaint is made too late. Any claim related to hidden defects will lapse
at the latest 2 months after receipt of the products by the Buyer. Any claim related to the products which fail
to conform to the Sales Agreement will lapse once the products are processed or repacked or if their original
state has otherwise been altered. Returning any product requires the Seller’s prior written consent. Filing a
timely complaint will not release the Buyer from its obligation to pay for the deliveries made or to continue to
execute his obligations under the existing sales agreements.
7.
Force majeure
Force majeure will be understood to mean any circumstance which fully or partly prevents or seriously impedes
the performance of the Sales Agreement and which is not attributable to the Seller. Force majeure will include:
fire, extreme weather conditions, picketing, strikes and lockouts, interrupted supplies of the products and
services which are relevant for Seller’s due performance, government regulation (including import and export
regulation) and transportation impediments.
In case of force majeure the obligations of both parties will be suspended. If the force majeure prevents parties
from performing their obligations for more than 1 month, both parties may terminate the unperformed part of
the Sales Agreement without Court order, and without either party being required to pay damages. The defence
of force majeure will also be available if it occurs after the date by which a party should have met its obligation.
8.
Liability
The Seller will not be liable for any damage suffered by the Buyer caused by no or late delivery of the products.
It is the responsibility of the Buyer that the products will be used professionally and in accordance with the
instructions for use. If the Buyer re-sells the products to a third party, the Buyer will commit such third party by
contract to (i) comply with the obligations of this article or (ii), in case this third party again re-sells the
products, to commit its contractual party by means of a perpetual clause to comply with the obligations of this
article. Under section 6.3.3 of the Dutch Civil Code concerning product liability, the Seller is liable for certain
damages caused by defects in the products. Every other form of liability of the Seller for damages related to
defects or shortcomings in the products is excluded. The limitation of liability as mentioned in this Article is not
applicable in case of intentional act or omission or gross negligence on the part of the board of directors or the
executive staff of the Seller.
9.
Governing law and disputes
Every legal relationship between the Seller and the Buyer is exclusively governed by the Laws of the
Netherlands. The parties expressly agree that the Vienna Convention (United Nation Convention on Contracts
for the International Sale of Goods) will not apply, nor will any other international treaty relating to the sale and
purchase of movable property whenever the applicability of such treaty is left to the discretion of the parties. In
the event of disputes which are subject to the competence of the District Court, the only competent court will
be the District Court of Rotterdam.
