It is made up of the North and the South Islands. It has a diverse multi-cultural population of over four million people. Whilst the majority are of British descent, New Zealand’s Maori and Polynesian population make up around 14% and 6% respectively, and those of Asian decent make up another 6%. New Zealand is a parliamentary democracy and is a member of the UN, OECD, the World Trade Organization, the Commonwealth and other international organizations. Since the mid-1970s the country has undergone considerable economic restructuring. After losing favorable access to the UK market, New Zealand has moved away from a primarily agricultural economy to a very open and modern service based economy, with a vibrant banking and financial services sector and highly developed infrastructure. New Zealand has a common law system, based on that of England. It has a favorable reputation as a non-tax haven, non-black listed jurisdiction, where New Zealand entities are often the vehicle of choice for wealth and tax planning purposes. With a stable political environment, economy and a modern infrastructure, New Zealand is a highly regarded jurisdiction for international business structures. With one of the most open economies in the world New Zealand has consistently been rated first or equal first for freedom from corruption by Transparency International’s Corruption Barometer and places highly in the World Bank’s “Ease of Doing Business Index” table. 9 AMICORP GROUP | NEW ZEALAND New Zealand AMICORP IN NEW ZEALAND Established in 2006, Amicorp New Zealand is located in Auckland, New Zealand’s largest city with 1.5 million inhabitants. Auckland is a cosmopolitan city with the world’s largest Polynesian population and a fast growing Asian community. Amicorp’s dedicated team of multi-lingual professionals can provide you with a fully functioning office that performs a range of services from company incorporation and management to trust creation, administration and tax filings. New Zealand is particularly appealing for clients, who are facing financial (and often physical) security issues. These clients cannot use blacklisted jurisdictions under their domestic legislation – which is where the onshore jurisdiction of New Zealand can play a part. A major advantage of a New Zealand entity in a structure is that it will be exempt from New Zealand tax, provided there is no New Zealand sourced income. 10 The various New Zealand structures on offer through Amicorp New Zealand can be an extremely efficient and cost effective way of holding non-New Zealand assets such as: bank accounts; investment portfolios; privately held shares; real estate; and carrying out a trade or business sourced outside of NZ. AMICORP GROUP | NEW ZEALAND THE NEW ZEALAND FOREIGN TRUST A New Zealand Foreign Trust (“NZFT”) is a secure and effective estate planning structure for clients located almost anywhere in the world. Based on certain territoriality principles and its settlor-based regime, NZFT’s are increasingly being used as an alternative to trusts in zero tax jurisdictions. Properly planned, a NZFT can provide exceptional tax efficiency and can be easily combined with other investment structures in high tax jurisdictions. Advantages of a New Zealand Foreign Trust A NZFT with a New Zealand resident trustee will not be subject to tax in New Zealand provided the settlor is not a resident of New Zealand and there is no New Zealand sourced income. This includes the increase in the capital value of the NZFT’s assets as long as they held offshore; Distributions to beneficiaries who are non-residents of New Zealand are not subject to tax in New Zealand, provided the income is not sourced in New Zealand; NZFT may utilize the benefits of New Zealand’s double tax agreements. If the trust carries on business, information describing the accounting system used in each income year to administer the trust, accounting instruction manuals, and the system and programme documentation. A New Zealand resident trustee of a NZFT is also required to keep general accounting and financial records that record the income expenditure and financial position of the NZFT. Amicorp New Zealand supplies all of these services. Please note that New Zealand resident trustees of New Zealand Foreign Trusts are required to keep the following types of records: Documents that evidence the creation and constitution of the NZFT; Foreign trust IR607 disclosure to the New Zealand tax authorities; Particulars of settlements made on, and distributions made by the trust (including the date of settlement or distribution and the name and address of the settlor or recipient); Details of the assets and liabilities of the trust; Details of money received and expended by the trustees, including details of when, where and why the receipt or expenditure took place; and 11 AMICORP GROUP | NEW ZEALAND New Zealand NEW ZEALAND PRIVATE TRUSTEE COMPANY (PTC) The New Zealand Private Trustee Company (“PTC”) is an easy to establish entity that can act as a trustee of a NZFT when clients prefer not to engage the services of a professional trustee company or there are complex assets or family businesses to manage. The PTC is a limited liability company established in New Zealand, but its rules limit its business to acting as a trustee only. Advantages of a Private Trustee Company A PTC can allow clients and their family to participate in the administration of a NZFT. A PTC is a conventional New Zealand company that acts as trustee of a NZFT. There are no limitations about its name, nor is there any licensing requirement. A NZFT with a PTC acting as trustee will have the same tax exempt status as other NZFTs. There is no strict requirement for a New Zealand resident director of a PTC, however, this may be desirable for tax planning reasons. A PTC can have a minimum of one director and one shareholder. Directors must be natural persons and shares can be held by a NZ resident or an overseas person. The information is disclosed in the New Zealand Companies Registry in relation to a PTC and includes the name and address of the directors and shareholders as well as the registered office address. In most cases financial statements do not need to be filed with any regulatory body in New Zealand. Amicorp can establish a PTC whose function is to govern all matters concerning the NZFT including dealing with the trust’s assets. * PTC’s with the mind and management out of NZ can cause adverse tax consequences in the country of residence of the trustee. Before setting up a PTC detailed tax advice should be sought in the jurisdiction where the directors will be resident 12 AMICORP GROUP | NEW ZEALAND NEW ZEALAND LIMITED PARTNERSHIP The Limited Partnerships Act 2008 (“the NZLP Act”) created the New Zealand Limited Partnership (“NZLP”) vehicle used for both domestic and international financial planning. NZLP’s are comparable to limited partnerships in other jurisdictions such as the Netherlands and the United Kingdom. NZLP’s are popular investment vehicles that present interesting opportunities with non-resident partners given its fiscally transparent nature. A NZLP is a separate legal entity from its investors, thereby protecting investors from potential losses and claims arising from the business activities of the NZLP. Being passive investors, the limited partners liability is limited to their capital contribution. It is the general partner who manages the business and is responsible for the debts and obligations of the limited partnership. NZLP’s are easy to establish and require only two partners (general partner and limited partner). Only the general partner’s details are available on the public register. Financial statements must be prepared but they do not need to be filed or audited, unless the NZLP is considered an “issuer” under the Financial Reporting Act 1993, and annual income tax returns are required. A limited partnership will be formed by registration at the Companies Office, will be subject to similar provisions relating to distributions and liquidations, and will have a number of similar administrative obligations, such as the requirements to: file an annual return; file an annual tax return; and issue and file annual financial statements. See diagrams below as an illustration as to how NZLP can be used: Investment holding example Advantages of a New Zealand Limited Partnership NZLPs can be formed for any purpose (other than banking or insurance) but cannot be listed; An NZLP is a separate legal entity; NZLPs will not be taxed at the partnership level; Each partner will be taxed separately on their portion of the NZLP’s income and expenses determined in accordance with the partnership agreement; NZLPs must have at least one general partner and one limited partner who must not be the same; An NZLP must have a written partnership agreement; The general partner is responsible for the management of the NZLP while limited partners are classified as investors; The general partner is liable for the debts of the NZLP to the extent that the debts cannot be met by the NZLP itself; A limited partner is not liable in the same way. Its liability is limited to the amount of any capital contribution it has made to NZLP; If a limited partner takes part in the management of an NZLP, it can expose itself to liability for the NZLP’s debts. The limited partner cannot participate in the management of the NZLP save for the safe harbour provisions in the NZLP Act. 13 AMICORP GROUP | NEW ZEALAND NEW ZEALAND LOOK-THROUGH COMPANY The Look-through Company (“LTC”) is a relatively recent addition to New Zealand’s domestic and foreign investment vehicles. A LTC is a regular limited liability company established under the New Zealand Companies Act 1993. Like the NZLP it is also fiscally transparent, but only for tax purposes by making a specific election under the Income Tax Act 2007 to be treated in that way. The LTC must have at least one director, being a natural person and this person can be resident out of New Zealand. The LTC must have one shareholder and must also have only five or fewer “look through counted owners”. Purpose An LTC may carry on any lawful business (subject to any constitutional restrictions). An LTC undertaking financial services may be required to register on New Zealand’s Financial Service Providers Register. Advantages of a New Zealand Look-through Company An LTC is an internationally recognised business entity. It provides an OECD alternative to other international business companies that are commonly provided by international financial centres. Where the shareholders of an LTC are non-resident individuals or resident trustees of a NZFT, then they will not have to pay tax in New Zealand on foreign sourced income earned by the LTC. Unlike a limited partnership, an individual may be both the owner (i.e. sole shareholder) and the director/manager. A foreign owned LTC may qualify for concessional rates under double tax treaties. Establishment LTCs are incorporated and registered with the New Zealand Registrar of Companies. The Companies Register includes the details of the company’s registered office, its directors and shareholders. An LTC can be incorporated with or without a constitution in 1 to 2 business days. Once incorporated, the company applies for a New Zealand Inland Revenue Department number and the directors and owners must unanimously elect to become an LTC. An LTC must meet other criteria including, but not limited to: only having shareholders who are natural persons, trustees of a trust or another LTC; only having one class of shares with the same rights; having 5 or fewer look-through counted owners; Being resident in New Zealand and treated as resident for the purposes of any double tax agreement 14 Taxation An LTC may be an attractive vehicle for non-New Zealand residents who are interested in international wealth structuring. With fiscal transparency for tax purposes, shareholders are deemed to receive the income of the LTC. A non-resident shareholder of an LTC that only receives foreign sourced income will not have any NZ tax liability. Ongoing obligations An LTC will have ongoing statutory administrative obligations including: Filing an annual Income Tax Return (IR7); Filing an annual return; Maintaining the share register; Keeping statutory records at its registered office; Preparing an annual report; and Audited annual financial statements and public filing. This is only required if the LTC has more than 25% of its shares held outside New Zealand and if two of the following criteria are met i) LTC’s assets represent more than NZD10million, ii) LTC’s turnover exceeds NZD20 million, iii) LTC has 50 or more employees.
