RESULTATS DE L’OFFRE PUBLIQUE D’AQUISITION OBLIGATOIRE EN ESPECES - OFFRE DE
REPRISE
Dans le cadre de l'offre d'acquisition obligatoire (OPA) ayant eu lieu du 03/04/2014 au 16/04/2014, l’Offrant,
Vermeg Group SA, a acquis 190.139 actions ordinaires de BSB International SA. Par conséquent, l’Offrant
et les Personnes Liées détiennent 2.693.489 soit 98,17% des actions BSB International SA. Dès lors,
l’Offrant lance une offre de reprise portant sur l’ensemble des actions BSB International SA qui ne seraient
pas encore en sa possession, aux mêmes modalités et conditions que celles de l’Offre.
- Le prix offert est de EUR 7,74 par action
- L’offre de reprise sera ouverte du 12-05-2014 au 04-06-2014 inclus.
- Publication des résultats de l’offre de reprise: 11-06-2014
- Paiement des actions offertes: 12-06-2014
Les Actions qui n’auront pas été cédés dans le cadre de l’offre de reprise, seront, après l’exécution
de celle-ci, considérés comme cédés de plein droit à l’Offrant, avec consignation auprès de la Caisse
des Dépôts et Consignations des fonds nécessaires pour le paiement de leur prix. L’offre de reprise
est inconditionnelle.
Frais: La taxe sur les opérations de bourse liée à l’apport des Actions à l’Offre est à charge de l’Offrant.
Les Détenteurs d’Actions devront payer tous les frais qui seraient, le cas échéant, réclamés par des
intermédiaires financiers autres que l’établissement-guichet.
Prospectus: Le Prospectus (avec le Mémoire en Réponse) et le Formulaire d'acceptation sont tenus
gratuitement à la disposition du public sous la forme d’un document imprimé disponible aux guichets de

RESULTATEN VAN HET VERPLICHT OPENBAAR OVERNAMEBOD IN CONTANTEN - UITKOOPBOD
In het kader van het verplicht openbaar overnamebod (OBA) dat plaats vond van 03/04/2014 tot en met
16/04/2014 heeft de Bieder, Vermeg Group NV,190.139gewone aandelen verworven van BSB International
NV. Bijgevolg bezit de bieder en de met haar Verbonden Personen 2.693.489 of 98,17% van de aandelen
BSB International NV en zal de Bieder overgaan tot een vereenvoudigd uitkoopbod om de Aandelen van
BSB International NV die de Bieder nog niet heeft verworven, onder dezelfde modaliteiten en voorwaarden
als het Overnamebod, te verwerven.
- De geboden prijs bedraagt EUR 7,74 per aandeel.
- Het openbaar uitkoopbod loopt van 12-05-2014 tot en met 04-06-2014
- Bekendmaking van de resultaten van het uitkoopbod: 11-06-2014
- Betaling van de aangeboden aandelen tijdens het uitkoopbod: 12-06-2014
De Aandelen die niet aangeboden werden in het kader van het uitkoopbod worden geacht van
rechtswege overgedragen te zijn aan de Bieder, met consignatie van de noodzakelijke fondsen
voor de betaling van hun prijs bij de Deposito- en Consignatiekas. Het uitkoopbod is
onvoorwaardelijk.
Kosten: De beurstaksen verbonden aan de inbreng van de Aandelen op het Bod zijn ten laste van de
Bieder. De Aandeelhouders dienen evenwel alle kosten te betalen die desgevallend door financiële
tussenpersonen andere dan de Loketinstelling worden gevorderd.
Prospectus: Het Prospectus en het Aanvaardingsformulier zijn kosteloos verkrijgbaar onder de vorm van

RESULTS OF THE MANDATORY PUBLIC TAKEOVER BID IN CASH – SQUEEZE OUT BID
Within the framework of the mandatory public takeover bid which took place from 03/04/2014 until
16/04/2014, the Bidder, Vermeg Group SA/NV, has acquired 190,139 ordinary shares of the company BSB
International SA/NV. Consequently the bidder and the persons acting in concert hold 2,693,489 or 98.17% of
the BSB International SA/NV shares. Consequently the Bidder will launch a simplified squeeze out bid on the
BSB International SA/NV shares not yet in its possession at the same conditions as the initial takeover bid.
- The price offered is EUR 7.74 per share.
- The squeeze out bid will be opened from 12-05-2014 up to and including 04-06-2014
- Publication of the results of the squeeze out bid: 11-06-2014
- Payment of the tendered shares during the squeeze out bid: 12-06-2014
Shares not tendered to the Bidder at the expiry of the squeeze out period, shall be deemed
to be transferred automatically to the Bidder . The funds needed to pay the offer price of the
transferred securities will be recorded at the "Deposito- en Consignatiekas / la Caisse des Dépôts et
Consignations" for the benefit of their former owners. The squeeze out bid is unconditional.
Costs:No costs will be charged to shareholders who tender their shares directly to the financial agent
below. Any costs charged by other financial intermediaries than the financial agents below will be for the
shareholders' account. Any taxes on stock market transactions will be borne by the Bidder.
