2.02 INTRODUCTION
TheSusquehannaAreaRegionalAirportAuthority(hereinaftercalledthe“Authority”),ownerand
operatoroftheHarrisburgInternationalAirport(hereinaftercalledthe“Airport”)inMiddletown,
Pennsylvania,requestsProposalsfromqualifiedfirmswishingtoprovidemerchantservicesand
creditcardprocessingattheAirportrelatingtotheparkingoperation.TheAuthoritywillreceive
andreviewProposalsfromRespondent(s)andintendstoselectone(1)Companytoprovide
merchantservicesandcreditcardprocessingfortheparkingtransactionprocessing.TheAuthority
intendstoenterintoa(3)yearAgreementwithtwo(2),one(1)yearoptions,commencingnolater
thanApril1,2015,withrenewaloptionssubjecttomutualagreement.

2.03 DETERMINATIONOFRESPONDENT(S)
OnlythoseProposalsreceivedinatimelymannerandinproperform(definedinSection3.05)form
Respondentswhocanprovideevidencethattheyarefullycompetent,havethenecessary
experience,organizationalandfinancialcapabilitytofulfilltherequirementsformerchantservice
andcreditcardprocessingoftheAirport’sparkingtransactionswillbeconsidered.Basedonthose
Proposals,andotherinformationderivedfromandabouttheRespondents,theAuthorityintendsto
enterintonegotiationswithone(1)Companywithrespectstofinalizingthefollowing:the
proposedAgreement,organization,experience,transactionfeesandschedules,accessibilityto
accountinformationandanyadditionalfeaturesoftheproposedAgreement(includingall
SubmittalRequirements).
IntheeventthatsuchnegotiationdoesnotproduceasatisfactoryAgreement,asecondRespondent
shallbeinvitedtoenterintonegotiations.ShouldthesecondRespondentandtheAuthorityfailto
negotiateanAgreementacceptabletotheAuthority,thethirdfirmshallbeinvitedtoenterinto
negotiations,andsoonuntilanAgreementsatisfactorytotheAuthorityisreached.
Someofthejobscopedescribedinthedocumentmaynotberequired.Firmsshouldbeawarethat
thereisnoguaranteethatanyworkwillresultfromthisselectionprocessandthatifthe
assignmentisundertaken,inwholeorinpart,thereisnoassuranceof,norshouldfirmsexpectto
receivefurtherworkorassignments.
SECTION3.00–INSTRUCTIONSTORESPONDENTS
3.01 RESPONSIBILITYOFRESPONDENT(S)
EachRespondentisresponsibleforcarefullyexaminingthetermsandconditionssetforthinthis
RFP,inspectingtheAirportanditsparkingfacilitiesandequipment,andforotherwisejudgingfor
itselfallthecircumstancesandconditionsaffectingtheRespondent’sProposal.Submissionofa
ProposalshallbeconclusiveevidencethattheRespondenthasmadesuchexaminationsand
investigations.
FailureonthepartoftheRespondent(s)tomakesuchexaminationsandtoinvestigatefullyshall
notbegroundsforanydeclarationthattheRespondentdidnotunderstandtheconditionsofthe
Proposal.
3.02 PROPOSALSUBMITTAL
RespondentsshallabidebyalltheproceduressetforthintheRFPinthepreparationand

equipment,theinformationonthecardissenttoScanNetCentralCreditCardwhichthenpasses
thetransactiontoNETePay(internetbased)andthentothebankprocessor(seeExhibit1foralist

TheAuthoritywilluseevaluationcriteriaitjudgesmostappropriatetothereviewprocessandthe
relativeimportanceofthiscriteriawillbedeterminedatthesolediscretionoftheAuthority(see
Section6.03,SelectionCriteria).NoCompanyshallhaveanycauseofactionagainsttheAuthority
arisingoutofafailuretosecureanAgreementwiththeAuthority,failurebyAuthoritytoconsidera

6.02 PROPOSALSELECTION
TheAuthorityintendstoselectone(1)Proposalbutreservestherighttoacceptnoneofthe
Proposals,tonegotiateformodificationofanyProposalwiththemutualconsentoftheCompany,to
accepttheProposalwhich,inthejudgmentoftheAuthority,shallbedeemedthemost
advantageoustotheAuthorityandtheusersoftheAirport,and/ortoproceedinanyothermanner
deemedtobeintheAuthority’sbestinterest.
InitialreviewandrankingofCompaniesshalloccurwithinapproximatelytwo(2)week
ofproposalduedate.TheAuthoritywillreviewallproposals,rankingeachproposalin
accordancewiththeapplicableselectioncriteria.
NoticetoCompanies:Uponthereviewofproposalsandrankingoffirms,theAirportwill
notifytheselectedCompanyoftheirselectionfornegotiation.THEREWILLBENO
INTERVIEWS.FIRMSWILLBESELECTEDANDRANKEDONTHE BASISOFTHEIR
PROPOSALSONLY.
Negotiation:TheAuthoritywillenterintonegotiationswithone(1)Companywith respect
tofinalizingaproposedAgreementincluding,butnotlimitedto,the following:
organization;staffingandpersonnelschedules;fees;hoursofoperation;feeschedules;
levelofservice;andanyotherfeaturesorprovisionsofmutualconcernintheproposed
OperatingAgreement.
IntheeventthatsuchnegotiationdoesnotproduceasatisfactoryAgreement,asecondRespondent
shallbeinvitedtoenterintonegotiations.ShouldthesecondRespondentandtheAuthorityfailto
negotiateanAgreementacceptabletotheAuthority,,thethirdfirmshallbeinvitedtoenter
negotiations,andsoonuntilanAgreementsatisfactorytotheAuthorityisconcluded.

6.04 NOTICEOFACCEPTANCEOFPROPOSAL
UpontheAuthority’sselectionofaProposal,theselectedCompanywillbenotifiedbytelephone,
thenCertifiedMail,ReturnReceiptRequested,oftheselectiontocommencenegotiationsofan
Agreementtoprovidemanagementandoperationservicesoftheairportparkingfacilities.Should
theselectedCompanyfailorrefusetosoperform,theAuthorityreservestherightandshallbefree
torevokesuchselectionandtoselectanotherCompany.TheselectedCompanywillnegotiateand
enterintoanAgreementwiththeAuthority.
6.05 AUTHORITY’SRIGHTTOAMEND/CANCELRFP
TheAuthorityreservestheright,initssolediscretion,toterminate,suspend,modifyorcancelthis
RFPatanytimepriortoexecutinganAgreementwithaselectedCompany.Intheeventofsuch
termination,suspension,modificationorcancellation,theAuthorityshallhavenoobligationor
liabilitytoanypersonorentityasaresult,includingbutnotlimitedtothoseparticipatinginthe
RFPprocess.
6.06 REPRESENTATIONOFRESPONDENTS
Bysubmittingaproposal,theRespondentunderstandsandagreesthattheAuthorityisnot
incorporatingthepublicbiddingprocessintothesolicitation;thattheAuthorityhasfulland
completediscretiontorejectoracceptanyproposal;andthatnothinginthisRFPshallcreateany
contractualrightsorobligationsbyandbetweentheAuthorityandanypersonorentityresponding
hereto.
