Incorporated: INCORPORATED in Wisconsin Dec. 3, 1993, and on Sept. 1, 1994, became the holding company for
Wisconsin Public Service Corp. (WPSC) through a share-for-share exchange in which each Common share of
WPSC was converted into one Common share of the company. Name changed from WPS Resources Corp. to
Integrys Energy Group, Inc. Feb. 21, 2007. WPSC was organized in Wisconsin July 17, 1883, as Oshkosh Gas Light
Co. Name changed to Wisconsin Public Service Corp. Sept. 20, 1922. February 21, 2007, acquired Peoples Energy
Corporation. Stockholders received 0.825 of a share of the company for each share of Peoples Energy held.
Background: Integrys Energy Group, Inc. operates as a diversified energy holding company with regulated
natural gas and electric utility operations in Illinois, Michigan, Minnesota, and Wisconsin. It provides natural gas
service to approximately 1,698,000 residential, commercial and industrial, transportation, and other customers in
Chicago and the northern suburbs of Chicago; northeastern Wisconsin and an adjacent portion of Michigan's
Upper Peninsula; various cities and communities throughout Minnesota; and the southern portion of lower
Michigan. The company also generates and supplies electricity to residential, commercial and industrial,
wholesale, and other customers in northeastern Wisconsin. In addition, it offers wholesale electric service to
various customers, including municipal utilities, electric cooperatives, energy marketers, other investor-owned
utilities, and municipal joint action agencies. Further, the company sells electricity and natural gas to
