BACKGROUND
The provisions of the Companies Act, 2013 meet the contemporary needs of
corporate India. The new law creates a good governance domain by incorporating
several provisions relating to the duties and performance of the Board, role of
Independent Directors, stakeholder protection measures, better auditing tools,
institutionalizing corporate social responsibility, etc.
Key Managerial Personnel (KMP) under the Companies Act, 2013 includes the Chief
Executive Officer, Managing Director or Manager, whole -time Director, Company
Secretary, Chief Financial Officer and such other officers as may be prescribed. The
KMP would guide the Boards to achieve their defined objectives, and purposes by
adherence to good Corporate Governance practices. KMP would also be looked upon
by the Regulators for the non-compliances.
The new law enshrines a significant duty on the KMP of the company in successful
running of the company. It clearly specifies that whole time KMP not to hold office
in more than one company except in its subsidiary at same time.
In an awakened environment of shareholders activism, evolution of proxy advisory
firms, institutional investors, it is imperative for the directors and KMP to have a
full grasp of all the major changes brought about in the Companies Act, 2013 besides
thoroughly understanding and appreciating their role, functioning and
responsibilities.
In order to provide an insight into the contours of the Companies Act, 2013 and to
deliberate specifically on the role of Key Managerial Personnel including Directors
Standing Conference of Public Enterprises (SCOPE) and The Institute of Company
Secretaries of India ( ICSI ) are jointly organizing a two day program on KEY

The Institute of Company Secretaries of India (ICSI) a national professional body
constituted under the Company Secretaries Act, 1980 to regulate and develop the
profession of Company Secretaries. ICSI has its Headquarters at New Delhi, 4
Regional Councils at Chennai, Kolkata, Mumbai, New Delhi, 69 Chapters spread all
over India (including one overseas Chapter at Dubai) and a Centre for Corporate
Governance, Research and Training at Navi Mumbai. ICSI functions under the

SCOPE Management and Business Quiz Bonanza
(SMBQB)
SCOPE is organizing a national level business and management quiz called SMBQB
for employees of public Sector organizations. The quiz will be held at the four metros
viz., Mumbai, Chennai, Kolkata and New Delhi with the Grand Finals at New Delhi.
The quiz is being organized to meet the following objectives:
To help Public Sector Managers develop their knowledge and
awareness regarding business developments, new management
concepts and innovative practices
To provide a platform for Public Sector Managers to :
o Benchmark their skills with their peers and engage with each
other in an environment of healthy competition
o Instill pride in the role and importance of Public Sector in
building the nation’s destiny
o Hone skills of lateral thinking, teamwork and decision making
under pressure and at the same time providing the right kind
of infotainment.
Create networking among PSU fraternity and promoting excellence.
SCOPE OF THE QUIZ
The Quiz will cover General management , New Management Concepts, Current
Business Events, Companies , Brands and Business Personalities in the news.
The quiz will also include the history and rich legacy of Public Sector Companies,
their role in NationBuilding and their strategic significance, their CSR initiatives as
well as Best Practices.
PARTICIPATION FORMAT
¾ The participation will be in the form of two member team from the same
organization. The quiz would cover a broad swathe and participants can be
from any discipline or level.
¾ Each Regional (Metro) Round will have a Written Elimination Round of 30
questions.
¾ 6 top teams will qualify for the hi-tech and pulsatingaudio visualrounds in each
regional rounds.
¾ Top 2 teams from each regional round will battle it out in theGrand Finals.
