Vienna, 19 September 2014 – The sale of Slovenian car parts manufacturer
Letrika is part of the ongoing privatization process – MAHLE, the buyer, was
advised by Wolf Theiss.
On Wednesday, 10 September 2014, MAHLE successfully closed the transaction
to acquire shares representing a 53.99 per cent majority in the Slovenian listed
company Letrika (formerly, 'Iskra Avtoelektrika'). The consortium of sellers, the
state-owned BAMC, the Slovenian State Holding (SDH), Modra zavarovalnica
d.d., the largest Slovenian bank NLB d.d., Alpen Invest (former NFD) and Triglav
skladi sold their combined shareholding in the automotive parts manuf acturer
Letrika to MAHLE Holding Austria, which is fully owned by the MAHLE GmbH
(Germany).
The sale was part of the ongoing privatization processes which entails the sale of
several important companies in Slovenia. In the next step, MAHLE will launch a
public takeover bid for the outstanding shares. Assuming that all shares will be
acquired, the entire deal value is approximately EUR 108 million.
Wolf Theiss acted as lead counsel for the buyer, providing full-scope advice, like
due diligence (Wolf Theiss covered Slovenia and Bosnia and also coordinated the
due diligence for jurisdictions outside of Slovenia), negotiations, signing and
closing as well as advice on corporate law, competition law and takeover law
aspects.
The transaction team was coordinated by Partners Markus Bruckmüller and Laura
Struc (both Corporate); other team members were Associate Peter Zorin
(Corporate), Associate Laura Siftar (Corporate), Senior Associate Teja Balazic
(Employment) as well as Associate Petra Jermol (Real Estate). Financial advisor
to the sellers was KPMG. Financial advisor to MAHLE was UniCredit CAIB. Local
firm Kavcic, Rogelj & Bracun acted as Sellers' legal counsel.
