■ Votre gestionnaire de compte vous renvoie votre formulaire
RMA et un devis (seulement si votre produit n’est plus sous
garantie).
■ A réception du formulaire RMA renvoyez-le en double
exemplaires avec votre produit, l'un dans le colis et l’autre
sur le colis pour l’identiﬁcation magasin : la traçabilité de
votre produit est ainsi garantie.
■ Le produit réparé ou remplacé vous est retourné sous
15 jours ouvrés au maximum.
■ Contact Customer Services by e-mailing

GENERAL TERMS and SALES CONDITION
The act of placing an order or signing a contract implies that the
client has made himself aware of our sales conditions and accepts
them.
PRICES:
• The prices indicated on our offers are exclusive of tax, for the
quantities stated and are subject to modiﬁcation should the quantities
ordered not correspond to those on the estimate.
• Unless otherwise stated, our prices are valid for a maximum of one
month. They are binding on us only insofar as the economic and tax
conditions remain unchanged, except for proposals made on a ﬁrm
price basis.
• They shall not be taken as implying an undertaking for the future
as far as any further order is concerned and we reserve the right to
modify them without prior warning.
• Unless otherwise stated, our goods are always sold ex-works or
warehouse.
RESERVATION OF TITLE:
• ”If the goods under consideration are sold on a deferred payment
basis (including by accepted bill of exchange), reservation of title is
binding until payment in full and without reservation has been made.
This clause is applicable within the framework of law N° 80 335
dating from May 12 1980, pertaining to the effects of reservation of
title clauses in sales contracts».
DELIVERIES - DEADLINES:
• Wherever the destination of the goods and whatever the sales terms,
all deliveries are held to have taken place in our workshops. Should
carriage costs be charged to SLAT, our goods travel at the recipients
own risk. In the event of delay or damage the latter should make a
claim against the carrier.
• Our deadlines are always given as a guide only and, in the event of
delay, we are in no circumstances liable for penalties or cancellation
of order.
• In addition we deny by right all responsibility concerning deadlines:
1° for cases of force majeure or events such as strikes, epidemics,
war, requisition, ﬁre, accident involving machines, delays in our
procurements for reasons beyond our control. In special circumstances
we would inform our clients and set up new delivery deadlines .
2° for cases in which our payment terms have not been observed by
the purchaser.
PAYMENTS - except by prior agreement:
• Our prices are net, payable by magnetic bank draft within thirty days
from the date of invoice. Domiciliation shall be indicated by you at
acceptance.
• Any payment after the due date shall incur a late payment penalty of
1.5% per month, calculated on a pro rata basis.
• Unless otherwise agreed, failure to pay at the ﬁxed due dates will
cause any sums outstanding to fall immediately due, no matter what
the means of payment. It will also render payable, as damages and
as per the penalty clause, a ﬁxed indemniﬁcation of 15% of the
outstanding sums without prejudicing interests stipulated by contract
and any costs for legal proceedings.
• If delivery or dispatch is delayed by the purchaser the payment
deadline will run from the day on which the goods are ready in our
workshops.

• For an initial business transaction, and unless otherwise agreed by
both parties, payment shall be cash on delivery.
• For any account opened that involves deferred payment, we require
bank and commercial references.
GUARANTEES:
• Our guarantee is for one year, ex-works. For some goods, the
guarantee may be extended to 3 years as indicated on our brochures.
It is strictly limited to reimbursement or replacement, as we see ﬁt,
and with no compensation of any kind, of parts recognized by our
services as being defective after they have been returned to our
workshops at the purchaser’s expense.
• We cannot accept replacements or repairs elsewhere than in our own
workshops.
RETURNS:
• When we accept returned goods, we cannot give credit unless they
have been returned in good condition, without having been used and
after veriﬁcation and acceptance in our stores
EXTRA SERVICES:
• All extra services: special packaging, documents in foreign languages,
batches of spare parts, in-factory acceptance, maintenance,
commissioning, training, and other services will be invoiced as an
extra, as per our commercial offers.
PACKAGING:
• Unless otherwise stipulated, packaging billed as an extra can never
be returned.
COMPLAINTS:
• Complaints of any kind may be made only within 48 hours of receipt
of goods.
JURISDICTION:
• All our goods are payable at CHAMPAGNE AU MONT D’OR. Our
drafts lead to neither novation not dispensation regarding this
jurisdiction clause.
• In the event of dispute, the Rhône court is the sole competent
authority.
EXPORT:
• Export of our goods is subject to our prior authorization.
ACKNOWLEDGEMENT OF RECEIPT:
• No acknowledgement will be made for orders of less than 300 €.
If the order is for an amount of less than 300 €. exclusive of tax a
lump sum of 80 €. exclusive of tax will be invoiced over and above the
cost of the material

FRANCE MÉTROPOLITAINE
Par le seul fait de la passation d’une commande ou marché, le client
reconnaît avoir pris connaissance de nos conditions de vente et les
accepte.
PRIX :
• Les prix indiqués sur nos offres ou devis s’entendent HT., pour les
quantités prévues et sont susceptibles de modiﬁcation au cas où les
quantités commandées ne correspondraient pas à celles du devis.
• Sauf indication contraire spéciﬁée sur notre offre, nos prix sont
valables un mois maximum. Ils ne nous engagent cependant que
dans la mesure où les conditions économiques et ﬁscales restent
inchangées, sauf dans le cas de proposition faite à prix fermes et non
révisables.
• Ils ne constituent pas un engagement pour l’avenir en cas de nouvelle
commande et nous nous réservons la possibilité de les modiﬁer sans
préavis de notre part.
• Sauf indications contraires spéciﬁées sur nos offres, nos marchandises
sont toujours vendues départ, en nos ateliers ou magasins.
RESERVE DE PROPRIETE :
• Si la marchandise, objet de la présente, est vendue avec paiement à
terme (y compris par lettre de change acceptée ou billet à ordre), il est
fait réserve de propriété jusqu’à paiement intégral et sans réserve, la
présente clause est applicable dans le cadre de la loi N° 80 335 du 12
mai 1980 relative aux effets des clauses de réserve de propriété dans
le cadre des contrats de vente.
LIVRAISONS - DELAIS :
• Quelle que soit la destination de la marchandise et les conditions de
la vente, toute livraison est réputée être effectuée depuis nos ateliers.
Dans l’hypothèse où les frais de transport sont à la charge de SLAT, nos
marchandises voyagent aux risques et périls du destinataire, qui, en cas
de retard ou d’avarie, devra exercer son recours contre le transporteur.
• Nos délais sont toujours donnés à titre indicatif et, en cas de retard,
nous ne saurions, en aucun cas, accepter des pénalités ou d’annulation
de commande.
• Nous sommes, d’autre part, dégagés de plein droit de tous
engagements relatifs aux délais :
1° En cas de force majeure ou d’événements tels que grève, épidémie,
guerre, réquisition, incendie, accident de machine, retards dans
nos approvisionnements indépendants de notre volonté. Dans des
circonstances spéciales nous aviserions nos clients en leur ﬁxant de
nouveaux délais.
2° Dans le cas où nos conditions de paiement n’auraient pas été
observées par l’acheteur.
PAIEMENTS - sauf convention préalable :
• Nos prix s’entendent nets, paiement par virement à 30 jours date
de facture.
• Aucun escompte sur règlement anticipé ne sera accordé. Tout
paiement postérieur à la date d’échéance donnera lieu à l’application
d’intérêts de retard de 1,5% par mois, calculés au prorata temporis.
• Sauf accord de notre part, le défaut de paiement aux échéances
ﬁxées rendra immédiatement exigibles toutes les sommes pouvant
rester dues quelles que soient les modalités de règlement prévues. Il
entraînera également l’exigibilité, à titre de dommages intérêts et de
clause pénale d’une indemnité forfaitaire ﬁxée à 15% des sommes
restant dues sans préjudice des intérêts de droit et des frais de
procédure éventuels.
• Si la livraison ou l’expédition est retardée de par la volonté de
l’acheteur, le délai de paiement courra du jour où la marchandise est
prête dans nos ateliers.
• Pour toute première affaire, et sauf conventions établies d’un
commun accord, le règlement sera effectué comptant à l’enlèvement
ou contre remboursement.
• Pour toute ouverture de compte impliquant un paiement à terme,
nous exigeons des références bancaires et commerciales.
GARANTIES :
• Notre garantie est d’un an départ usine, toutefois sur certaines de nos
gammes et selon les indications mentionnées sur nos documentations
commerciales, elle pourra s’étendre jusqu’à 3 ans. Elle est strictement
limitée au remboursement ou au remplacement (à notre choix), sans
indemnité d’aucune sorte, des pièces reconnues défectueuses par nos
services, après retour en nos ateliers aux frais de l’acheteur.
• Nous ne saurions, entre autre, accepter de remplacements ou de
réparations de matériels ailleurs que dans nos ateliers.
RETOURS :
• Lorsque nous acceptons des retours de marchandises, nous ne
pourrons faire un avoir que si elles nous parviennent en bon état, sans
avoir été utilisées et après vériﬁcation et acceptation de notre part
dans nos magasins.
PRESTATIONS COMPLEMENTAIRES :
• Toute prestation complémentaire : emballage spécial, documents
en langue étrangère, lot de pièces de rechange, recette usine,
maintenance, mise en service, formation et toutes autres prestations,
sera facturée en sus selon nos offres commerciales.
EMBALLAGES :
• Sauf stipulation contraire de notre part les emballages facturés en
sus ne sont jamais repris.
CONTESTATIONS :
• Les contestations de toute nature ne sont admises que dans un délai
de 48 heures suivant la réception de la marchandise.
JURIDICTION :
• Toutes nos marchandises sont payables à CHAMPAGNE AU MONT
D’OR. Nos traites ne font ni novation ni dérogation à cette clause
attributive de juridiction.
• En cas de contestations, le Tribunal du RHONE sera seul compétent.
EXPORTATION :
• L’exportation de nos produits est soumise à notre autorisation
préalable.
ACCUSE DE RECEPTION :
• Il ne sera fait aucun accusé de réception pour des commandes
infé-rieures à 300 €. Si le montant de la commande est inférieur à
300 € H.T. il sera facturé un forfait de 80 € H.T. en sus du prix du
matériel.
