room. Illuminated mirrors play a key role in this: An expert lighting
concept takes into consideration individual needs; creates atmosphere and provides clear vision.
Mindestens so wichtig wie die Qualität des Spiegels ist auch die
der Lichtquelle. Sie muss nicht nur Nutzen bringen und Atmosphäre schaffen, sondern auch den heutigen Anforderungen an
die Energieeffizienz gerecht werden. Modernste HochleistungsLEDs im Spiegel dienen als Lichtquelle, die eine optimale Ausleuchtung und Lichtausbeute (bis zu 20 Prozent mehr) bei sehr
niedrigem Energieeinsatz (1 LED ca. 0,1 W) erreichen. Ein weiterer
Aspekt, der für die LED spricht, ist deren lange Lebensdauer –
viele LEDs bringen es auf eine Betriebsdauer von 30.000 Stunden
und mehr. Unsere LED-Lichtspiegel kombinieren die gewohnte
EURASPIEGEL Premiumqualität mit umweltschonender Beleuchtungstechnik und zeitlosem Design. Um die Beleuchtung der
Stimmung und den Anforderungen anzupassen, können viele unserer LED-Lichtspiegel auf Wunsch mit dem LED-VARIO-LIGHTSystem zum Wechseln der Lichtfarbe von 3.000 Kelvin »warmweiß«
auf 4.000 Kelvin »neutralweiß« ausgerüstet werden.
Just as important as the quality of the mirror is the source of lighting.
Today’s mirrors should not only be useful and spent atmosphere but
also should meet the requirements to energy efficiency. The latest
high-quality LEDs all around the mirror serve as light source providing
best lighting and efficiency (up to 20 percent more) with very low
use of energy at the same time (i.e. 1 LED approx. 0.1 W). A further
plus for LEDs is their long life. A lot of LEDs have a life of 30,000
hours and more. Our illuminated mirrors with LEDs combine the
renown premium quality of EURASPIEGEL with an environmentally
friendly lighting technology and timeless design. A lot of our LED
illuminated mirrors can be provided with a LED-VARIO-LIGHT-system
for changing the light color 3,000 Kelvin »warm white« to 4,000 Kelvin
»neutral white« in order to match the respective mood or requirement.

For all models with this symbol, the light color
of 3,000 Kelvin »warm-white« can be switched to
4,000 Kelvin »neutral-white« with a LED switching
module at any time. LED-VARIO-LIGHT-system
401 709 880 059 3 is integrated into the right
aluminium blind.
A simple swiping motion from left to
right (or vice versa) near the sensor is
enough to switch the LED-mirror on or off.
Using a light movement to the front and
back the mirror can be smoothly dimmed –
depending on the desired light condition. You
receive more information about the functioning
of the 401 709 888 557 6 gesture control if you

contact only using gestures due to state-of-the-art technology. The so-called »No-Touch«system discerns defined gestures and finger movements so the illuminated mirrors of
EURASPIEGEL cannot only be switched on and off, but also be continuously variable

for example – where fixed protective zones and export regulations require

»No-Touch«-Gestensteuerungen
Berührungsloses Bedienen durch einfache Gesten. Eine leichte Wischbewegung von links nach rechts (oder andersherum) in der Nähe des Sensors genügt, um
den LED-Spiegel ein- und auszuschalten. Durch
leichte Vor- und Rückbewegungen lässt sich der
Lichtspiegel zudem stufenlos dimmen – je nach

A simple swiping motion from left to right (or
the other way round) near the sensor is enough
to switch the LED-mirror on or off. Using a light
movement to the front and back the mirror can
be smoothly dimmed – depending on the desired

Beispiel 1: Typ Maja
Lichtspiegel (140 cm × 80 cm) mit 2 senkrechten T5-Stableuchten (wahlweise
»warm white« oder »cool white« und unterschiedlichen Wattleistungen) hinter
satiniertem Lichtauslass. Zudem wurde eine Alu-Sichtschutzleiste statt der
schwarzen Kunststoffleiste gewählt. Zusätzlich wurde der Spiegel in unserem
Beispiel mit drei UV-verklebten 8 mm starken Glasablagen (30/40/50 cm breit)
versehen, um genügend Staufläche zu ermöglichen. Eine Besonderheit sind auch
die vier Radiusecken, die im wahrsten Sinne des Wortes den Spiegel abrunden.
Beispiel 2: Typ Johanna
Lichtspiegel (120 cm × 90 cm) mit 3 senkrechten T5-Stableuchten (wahlweise »warm white« oder »cool white« und
unterschiedlichen Wattleistungen) hinter satiniertem Lichtauslass. Zudem wurde unser Bluetooth gesteuertes Soundsystem 401 709 880 057 9 gewählt. Dies befindet sich in
den seitlichen Alu-Sichtschutzleisten.
Beispiel 3: Typ Tim
Lichtspiegel (160 × 80 cm) mit 3 senkrechten LED Leuchtelementen mit
je 120 LEDs und 19,2 Watt. Dieser LED Lichtspiegel wurde mit dem LEDVARIO-LIGHT-System 401 709 880 059 3 ausgestattet. Mittels eines Umschalters kann die Lichtfarbe jederzeit von 3.000 Kelvin »warm weiß« auf
4.000 Kelvin »neutralweiß« gewechselt werden. Zusätzlich wurde der Spiegel in unserem Beispiel mit zwei UV-verklebten 8 mm starken Glasablagen
(40 cm breit) versehen, um genügend Staufläche zu ermöglichen.

hat auch emotionale und biologische Auswirkungen auf den Menschen. Moderne Beleuchtungskonzepte in Spiegeln berücksichtigen neben den visuellen auch die biologischen Lichtwirkungen und
fördern Wohlbefinden, Stimmung und Gesundheit des Menschen.

has also emotional and biological effects on a human being. Modern
lighting concepts in mirrors consider biological as well as visual light
effects and stimulate a person’s well-being, mood, and health.
Ähnlich wie das Sonnenlicht, beeinflusst die Farbtemperatur von
Leuchtmitteln unser Befinden. Die Farbtemperatur gibt Auskunft
darüber, ob ein Leuchtmittel warmes oder eher kühles Licht abgibt.
Vereinfacht erklärt, bestimmt die Farbtemperatur eines Leuchtmittels die Farbigkeit des Lichts – von gelblich-warm bis bläulich-kühl.
Mit Farbtemperatur ist natürlich nicht die Temperatur in Grad Celsius gemeint. Denn je wärmer die Sonne wird, desto kälter wird
das Licht der Farbtemperatur. Mit der Farbtemperatur ist also die
Lichtfarbe gemeint.

Similar to sunlight, the colour temperature of light sources influences
our health. The colour temperature indicates whether a light source
emits warm or rather cool light. Put in simple terms, the colour temperature of a light source determines the colour of the light – from
yellowish-warm to bluish-cool. Of course, colour temperature does
not mean temperature in degrees Celsius. The warmer the sun becomes, the cooler the light of the colour temperature gets. So, colour
temperature means luminous colour.

Verhältnis von auffallendem Lichtstrom zur beleuchteten Fläche. Beispiel: Die Beleuchtungsstärke von 1 Lux liegt dann vor, wenn ein Lichtstrom
von 1 Lumen eine Fläche von 1 qm gleichmäßig
ausleuchtet. Die exakte Beleuchtungsstärke einer
Spiegelbeleuchtung sowie die Gesamtausleuchtung
des Raumes hängt somit auch von den jeweiligen
individuellen Gegebenheiten vor Ort ab, zum Beispiel von der Distanz des Betrachters zum Spiegel,
Größe des Raumes, Raumwinkel des Lichtstroms.
Deshalb kann die Angabe Lux, bezogen auf einen
bestimmten Lichtspiegel, je nach Gegebenheit im
Badezimmer sehr unterschiedlich sein.

The illumination Lux is the density of luminous flux on
a surface. Example: An illumination of 1 Lux exists, if
a luminous flux of 1 unit evenly illuminates a surface
of 1 m2. So, the exact illumination of an illuminated
mirror and the entire illumination of a room also depend on individual on-location conditions, e. g. the
observer’s distance to the mirror, room size, and solid
angle of the luminous flux. Depending on conditions
in the bathroom, Lux referring to a certain illuminated
mirror may differ.

MANUAL FOR MAINTAINING HIGH QUALITY MIRRORS
Reinigungsmittel für jeden speziellen Anwendungsfall stehen ganz oben
auf der Liste bei den Hausfrauen und -männern. Doch was die Werbung
verspricht, ist nicht für alle Reinigungsprobleme geeignet, denn die meisten Mittel sind nicht für die Spiegelreinigung geeignet.
Cleansing agents for each special application are on top of the housewives’
and house husbands’ list. However, cleansing agents extoled by advertisements are not always suited to all applications as most of them are unsuitable for cleaning mirrors.
Die Verwendung von »scharfen« Reinigungsmitteln (zum Beispiel Essigreiniger, Salmiakgeist, ammoniak- oder chlorhaltigen Reiniger) ist für
die Reinigung von Spiegeln ebenso ungeeignet, wie die Verwendung von
scheuernden Haushaltsschwämmen. Hier kann es zu einer irreversiblen
Schädigung der Kanten, Glasoberflächen und der Beschichtung kommen,
was den Spiegel auf Dauer zerstört. Die DIN EN 1036-1 äußert sich hier
sinngemäß wie folgt: »Die Auswahl und Anwendung des Spiegelreinigungsmittels unterliegt stets dem Ermessen und Risiko des Anwenders«. Damit
Sie viele Jahre ungetrübte Freude an Ihrem Spiegel haben, beachten Sie
bitte folgende Pflege-Tipps:
Grundsätzlich geeignet sind anwendungsfertige handelsübliche Glasreinigungsprodukte. Damit der Reiniger mit der Spiegelkante nicht in Berührung kommt, sollte man nicht mit der Sprühflasche arbeiten, sondern das
Mittel direkt auf ein sauberes Tuch geben und damit den Schmutz auf der
Oberfläche anlösen und abheben.
Für die Glasreinigung empfohlene Konzentrate: Um die richtige Konzentration zu erhalten, müssen die vorgegebenen Dosierangaben der Hersteller
beachtet und eingehalten worden. Ebenso wichtig wie die Auswahl der
Reinigungsmittel ist die Art der Anwendung. Ein entscheidendes Kriterium
ihre Spiegel so lange wie möglich zu erhalten ist es, zu vermeiden, die Rei-

Light dirt as dust, water splashes, or sporadic finger prints can be cleaned
with a soft drying cloth. Damp cleaning is necessary for all other kinds of
dirt. But not all kinds of dirt can be cleaned with clear water. So, the use
of a suitable cleaning agent is necessary.
Commercially available, ready-to-use glass cleaning products are generally
suitable. You should not use the spray bottle, but spray the cleaner directly
on a clean cloth and remove the dirt on the surface so that the mirror edge
is not exposed to the cleaner.

Austausch von Leuchtmitteln
Achten Sie beim Austausch der Leuchtmittel darauf, dass Sie wieder die
vorgeschriebenen Leuchtmittel verwenden. Wir empfehlen deshalb, die
Aufkleber auf den Leuchten zu beachten und die Montageanleitungen für
den Austausch der Leuchten aufzubewahren. Der Einbau von ungeeigneten Leuchtmitteln kann zu Beschädigung von Trafos beziehungsweise Vorschaltgeräten führen. Alle verwendeten Leuchtmittel sind marktgängig und
über den örtlichen Fachhandel zu beziehen. Auf Wunsch ist der Bezug auch
direkt von uns möglich. Außer dem Leuchtmittel berechnen wir eine Portound Verpackungspauschale.
Lagerung von Spiegeln
Vor der Lagerung von Spiegeln, möglichst schon bei der Anlieferung, sollte die Verpackung auf eventuelle Transportschäden kontrolliert werden

besonderen Vertragsbedingungen zu beachten. Die Lagerung von Spiegeln
in oder auf Verpackungsmitteln muss auf möglichst kurze Zeit beschränkt
werden. Grundsätzlich ist bei der Lagerung auf die Vermeidung von Nässe
und auf eine ausreichende Luftzirkulation zu achten, das heißt sie dürfen
nur in trockenen, gleichmäßig temperierten Räumen gelagert werden und
nicht in unmittelbarer Nähe von Heizkörpern und aggressiven Stoffen oder
Dämpfen. Um Kondensatbildung auszuschließen sind größere Temperaturschwankungen in den Lagerräumen zu vermeiden. Kleinere ungelüftete und unbeheizte Räume, wie etwa Garagen, sind zur Lagerung nicht
geeignet. Spiegel sollten sofort von feuchtem Verpackungsmaterial befreit
werden. Zur Vermeidung von Beschädigungen muss beim Abstellen eines
Spiegels eine weiche Unterlage, zum Beispiel Holz, verwendet werden. Dabei ist zu beachten, dass ein Spiegel nur auf der Kante, nicht auf der Ecke,
abgestellt werden darf.

Exchanging light sources
When you exchange light sources please note that you use the required light
source again. For this reason, we recommend to follow the stickers on the
light source and to keep the instructions for assembly for exchanging it. Assembling unsuitable light sources can result in damages of transformers or
respectively ballasts. All used light sources are marketable and can be obtained at the local specialist shop. On request you can also directly purchase
from us. In addition to the light source, we charge a postage and packaging
fixed amount.
Storing mirrors
The packaging should be checked for possible damages in transit (breakage
or wetness), if possible already on delivery, before storing mirrors. If damages
are detected while doing so, they have to be immediately reported with subject to approval; see valid GTC and special contract terms. Storing mirrors in
or on packaging must be limited to a short period. To store mirrors you have
to generally take care to avoid wetness and that air can sufficiently circulate.
That means they must be stored in dry, evenly warm rooms, but not close by
radiators, and aggressive substances or fumes. To exclude condensation,
larger variations in temperature in the storerooms must be avoided. Smaller
unventilated and unheated rooms like e. g. garages are not suited for storing.
Mirrors should be immediately unpacked from damp packaging. A soft pad
e. g. wood has to be used when putting down a mirror to avoid damages.
When doing so, please note that a mirror must only be put down on the edge,
but not on the corner.

§ 1 ALLGEMEINES – GELTUNGSBEREICH
(1) Unsere Geschäftsbedingungen gelten ausschließlich; entgegenstehende oder von unseren Geschäftsbedingungen abweichende Bedingungen
des Kunden erkennen wir nicht an, es sei denn, wir hätten ausdrücklich schriftlich ihrer Geltung zugestimmt. Unsere Geschäftsbedingungen gelten auch dann, wenn wir in Kenntnis entgegenstehender oder
von unseren Geschäftsbedingungen abweichenden Bedingungen des
Kunden die Lieferung/Leistung an den Kunden vorbehaltlos ausführen.
(2) Diese Geschäftsbedingungen gelten nur gegenüber den in § 310 Abs.
1 BGB Genannten.
§ 2 ANGEBOT – ANGEBOTSUNTERLAGEN
(1) Unsere Angebote sind stets freibleibend. Aufträge werden für uns erst
bindend, wenn sie von uns schriftlich bestätigt werden. Als Auftragbestätigung gilt im Falle umgehender Lieferung auch der Lieferschein
oder die Warenrechnung.
(2) An Abbildungen, Zeichnungen, Kalkulationen und sonstigen Unterlagen
behalten wir uns Eigentums- und Urheberrechte sowie sonstige Schutzrechte vor. Dies gilt insbesondere für solche schriftlichen Unterlagen,
die als »vertraulich« bezeichnet sind. Vor ihrer Weitergabe an Dritte
bedarf der Kunde unserer ausdrücklichen schriftlichen Zustimmung.
(3) Die zum Angebot gehörenden Unterlagen wie Abbildungen, Zeichnungen, Berechnungen, Gewichts- Verbrauchs- und Maßangaben sind, soweit nicht anders vereinbart, nur annährend maßgebend, wenn Abweichungen handelsüblich oder technisch bedingt und insbesondere auf
Materialeigenschaften und Toleranzen zurückzuführen sind. Dies gilt
auch für technische Änderungen und Verbesserungen, die weder das
äußere Erscheinungsbild noch die Funktionalität verändern. Proben und
Muster gelten, soweit nicht anders vereinbart, ebenfalls nur als annähernde Anschauungsstücke für Qualität, Abmessungen und Farben.
(4) Angaben in Angeboten, Produktinformationen und Werbematerial gelten im Zweifel nicht als Beschaffenheitsvereinbarung oder Beschaffenheits- bzw. Haltbarkeitsgarantien, es sei denn, dass wir dies ausdrücklich erklären.
(5) Wird das Angebot aufgrund von Unterlagen des Kunden erstellt, so sind
diese Unterlagen nur verbindlich, wenn im Angebot auf sie Bezug genommen wird.
(6) Haben wir nach Zeichnungen, Modellen, Mustern oder unter Verwendung von beigestellten Teilen des Kunden zu leisten, so steht der Kunde
dafür ein, dass hierdurch Schutzrechte Dritter nicht verletzt werden.
Der Kunde stellt uns von Ansprüchen Dritter wegen Verletzung von
Schutzrechten frei und ersetzt uns den entstandenen Schaden sowie
Kosten und Aufwendungen.
(7) Wünsche des Kunden nach nachträglichen Änderungen oder der Stornierung eines Auftrages können nur aufgrund besonderer Vereinbarung
und nur so lange berücksichtigt werden, wie mit der Herstellung oder
der Bearbeitung noch nicht begonnen wurde.
§ 3 PREISE – ZAHLUNGSBEDINGUNGEN
(1) Einzelheiten über die Preisstellung ergeben sich aus unserem Angebot
bzw. unseren Preislisten. Zur Berechnung kommt der am Tage der Lieferung gültige Tagespreis in Euro (€), wenn nicht ausdrücklich etwas
anderes schriftlich vereinbart wurde. Die Preise schließen Verpackung
und sonstige Versandkosten nicht ein.
(2) Die gesetzliche Mehrwertsteuer ist nicht in unseren Preisen eingeschlossen; sie wird in gesetzlicher Höhe am Tag der Rechnungsstellung
in der Rechnung gesondert ausgewiesen.
(3) Auf alle Glas- und Spiegelprodukte wird der jeweils gültige Energiekostenzuschlag (EKZ) rein netto gesondert berechnet (mit Ausnahme der
Schweiz).
(4) Soll die Lieferung/Leistung erst vier (4) Monate nach Vertragsschluss

oder später erfolgen, verpflichten sich die Vertragsparteien, bei Änderung eines für die Preisbildung maßgeblichen Faktors die Preise neu
zu verhandeln.
(5) Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist der
Kaufpreis netto (ohne Abzug) innerhalb von dreißig (30) Tagen ab Rechnungsdatum zur Zahlung fällig. Es gelten die gesetzlichen Regeln die
Folgen des Zahlungsverzugs betreffend.
(6) Zahlungen werden stets zur Begleichung der ältesten fälligen Forderung
zuzüglich darauf entfallender Zinsen verwandt. Eventuell vereinbarte
Skonti werden nicht gewährt, wenn sich der Kunde mit der Bezahlung
früherer Lieferungen/Leistungen im Rückstand befindet.
(7) Vertreter und sonstige im Außendienst stehende Personen sind zur
Entgegennahme von Geld ohne unsere schriftliche Vollmacht nicht berechtigt. Zahlungen an solche Personen leistet der Kunde auf eigenes
Risiko.
(8) Zahlungen im sog. Scheck-Wechsel-Verfahren bedürfen stets der besonderen Vereinbarung. Gutschriften über Wechsel und Schecks erfolgen abzüglich der Auslagen mit Wertstellung des Tages, an dem wir
über den Gegenwert verfügen können. Schecks und Wechsel werden
im übrigen nur erfüllungshalber und unter dem Vorbehalt der jederzeitigen Rückgabe hereingenommen.
(9) Werden uns nach Vertragsschluss Tatsachen bekannt, die nach pflichtgemäßem kaufmännischem Ermessen darauf schließen lassen, dass der
Kaufpreisanspruch durch mangelnde Leistungsfähigkeit des Kunden
gefährdet ist, sind wir berechtigt, unter Setzung einer angemessenen
Frist vom Kunden, nach dessen Wahl, Vorkasse oder entsprechende
Sicherheiten zu verlangen und im Weigerungsfall vom Vertrag zurückzutreten.
(10)Zudem sind wir zur Zurückbehaltung unserer Leistung berechtigt, solange der Kunde seine Verpflichtungen uns gegenüber aus diesem oder
einem anderen Vertrag oder einem sonstigen Rechtsgrund nicht erfüllt.
(11)Forderungen der gemäß §§ 15 ff. AktG verbundenen Unternehmen der
SCHOLLGLAS-Unternehmensgruppe können gegen sämtliche Forderungen des Kunden, gleich aus welchem Rechtsgrund, aufgerechnet
werden, auch wenn die Forderungen zu unterschiedlichen Zeitpunkten
fällig sind.
(12)Aufrechnungsrechte stehen dem Kunden nur zu, wenn seine Gegenansprüche rechtskräftig festgestellt, unstreitig oder von uns anerkannt
sind. Er ist zur Ausübung eines Zurückbehaltungsrechts insoweit befugt,
als sein Gegenanspruch auf dem gleichen Vertragsverhältnis beruht.
Im Übrigen dürfen Zahlungen wegen Mängeln und sonstigen Beanstandungen nur in einem angemessenen Umfang zurückbehalten werden.
§ 4 LIEFER- UND LEISTUNGSZEIT
(1) Der Beginn der von uns angegebenen Lieferzeit setzt die vorherige
Abklärung aller (abwicklungs-)technischen Fragen, den Eingang beizustellender Materialien des Kunden, eine gegebenenfalls vereinbarte
Anzahlung, sowie das Vorliegen aller erforderlichen Genehmigungen
und Freigaben voraus.
(2) Liefertermine oder Fristen werden nach Möglichkeit eingehalten. Soweit nicht anders vereinbart, sind sie unverbindliche Angaben. Unsere
vertraglichen Pflichten stehen zudem unter dem Vorbehalt der eigenen
ordnungs- und fristgemäßen Belieferung durch unsere Vorlieferanten.
(3) Teilleistungen bzw. Teillieferungen sind in für den Kunden zumutbarem
Umfang zulässig und können von uns in Rechnung gestellt werden. Wir sind
außerdem berechtigt, in angemessenem Umfang Abschlagszahlungen
zu verlangen, wenn unsere Lieferung/Leistung ohne unser Verschulden
über den vereinbarten Zeitraum hinaus verzögert wird.
(4) Kommt der Kunde in Annahmeverzug oder verletzt er schuldhaft sonstige Mitwirkungspflichten, so sind wir berechtigt, den uns insoweit entstehenden Schaden, einschließlich etwaiger Mehraufwendungen ersetzt
zu verlangen. Im Falle des Annahmeverzuges erfolgt die Zwischenlagerung der Ware, auf Kosten des Kunden, bei einem Spediteur.

(5) Eine Ausführungs- oder Lieferfrist verlängert sich – auch während des
Verzuges – angemessen bei Eintritt Höherer Gewalt oder eines sonstigen unvorhergesehenen Ereignisses, das wir nicht zu vertreten haben,
insbesondere Betriebsstörungen, Ausfälle der Produktionsanlagen, Betriebsunterbrechungen aufgrund von Rohstoff- oder Energiemangel, Verkehrsstörungen oder behördliche Eingriffe. Dies gilt auch dann, wenn
ein solches Ereignis bei unseren Vorlieferanten oder Subunternehmern
eintritt. Beginn und Ende derartiger Hindernisse teilen wir dem Kunden
unverzüglich mit. Wird durch den Eintritt Höherer Gewalt oder eines
sonstigen unvorhergesehenen Ereignisses die Lieferung/Leistung um
mehr als einen Monat verzögert, sind sowohl wir als auch der Kunde
berechtigt, vom Vertrag zurückzutreten.
§ 5 VERSAND – GEFAHRENÜBERGANG – VERPACKUNG
(1) Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist Lieferung ab Werk vereinbart. Mit der Übergabe der Ware an den Transportführer
– gleichgültig von wem dieser beauftragt wurde – geht die Gefahr auf
den Kunden über. Dies gilt auch bei Teil- sowie Frankolieferungen.
Bei Anlieferung mit unseren Fahrzeugen geht die Gefahr über, sobald
die Ware an der vertraglich vereinbarten Anlieferungsstelle auf dem
Wagen bereitgestellt wird. Lassen die örtlichen Gegebenheiten, nach
billigem Ermessen des Anliefernden, die Zufahrt zu bzw. das Abstellen
an der vereinbarten Anlieferungsstelle nicht zu und/oder ist die Zufahrt, nach billigem Ermessen des Anliefernden, nicht oder nicht ohne
Gefahren für das zu liefernde Gut befahrbar, so erfolgen Übergabe und
Gefahrübergang dort, wo ein sicheres An- und Abfahren bzw. Abstellen
des Fahrzeugs gewährleistet sind. Ist der Kunde nicht bereit, die Ware
an diesem Ort entgegenzunehmen, so gerät er in Annahmeverzug. Die
Geltendmachung aller Zusatzkosten und Aufwendungen, die uns hieraus entstehen, insbesondere Kosten für nochmalige Anfahrten, behalten wir uns ausdrücklich vor.
Um Verzögerungen zu vermeiden, bitten wir im Zweifelsfall um rechtzeitige Rücksprache im Vorfeld der Anlieferung.
(2) Das Entladen der gelieferten Ware ist alleinige Angelegenheit des Kunden, sofern zwischen den Parteien nicht anders vereinbart. Hält der
Kunde das zum Entladen erforderliche Personal sowie die erforderlichen
Abladevorrichtungen nicht vor, sind wir berechtigt, die Wartezeiten in
Rechnung zu stellen. Verlangt der Kunde Hilfestellung beim Entladen,
auch durch die Bereitstellung von Abladevorrichtungen, so können wir,
sofern diese Maßnahme für uns umsetzbar ist, dem Kunden diesen
Aufwand zusätzlich in Rechnung stellen. Ungeachtet dessen besteht
unsererseits keine rechtliche Verpflichtung zu einer Hilfestellung beim
Entladen. Für durch unser Personal beim Abladen verursachte Schäden sowohl an der gelieferten Ware als auch an anderen Rechtsgütern
haften wir nur im Falle vorsätzlichen oder grob fahrlässigen Handelns.
Dies gilt nicht, soweit der Schaden in der Verletzung des Lebens, des
Körpers oder der Gesundheit besteht.
(3) Für Lieferung und Berechnung der Verpackung sind die jeweiligen Preislisten oder Sonderofferten maßgebend. Grundsätzlich wird die Verpackungsart nach transport- und produktionstechnischen Gesichtspunkten ausgewählt.
Ein Rückgaberecht von Verpackungen für den Kunden besteht nicht,
Einwegverpackungen gehen ins Eigentum des Kunden über, sofern nicht
anders vereinbart.
Soweit die Verpackung in unserem Eigentum oder dem des Herstellers verbleibt, begründet die Mitlieferung in jedem Falle ein Rückforderungsrecht oder einen Anspruch auf Ersatz mindestens in Höhe des
ausbedungenen Pfandes.

PERFORMANCE
§ 6 MÄNGELHAFTUNG
(1) Hohe Qualität, Funktion und ansprechendes Design sind die Grundprinzipien unserer Produktentwicklung. Kein Produkt verlässt das Werk
ohne sorgfältige Endkontrolle. Jeder Leuchtspiegel wird vor dem Verpacken auf seine Funktionsfähigkeit hin geprüft.
Alle verarbeiteten Spiegel entsprechend der europäischen Norm EN
1036 und werden auch auf diesem Gebiet produziert. Unsere hochwertigen Lichtspiegel entsprechen den Vorschriften Schutzart IP20,
soweit nicht anders vereinbart.
Wegen der besonderen Eigenschaften unserer Produkte, ist auch der
Kunde zu einer unverzüglichen und sorgfältigen Prüfung der von uns
gelieferten Produkte verpflichtet. Offensichtliche und/oder erkannte
Mängel sind unverzüglich, in jedem Falle vor Gebrauch, Verarbeitung,
Einbau oder Weiterverkauf schriftlich anzuzeigen. Weitergehende Obliegenheiten gem. § 377 HGB bleiben unberührt.
(2) Durch die Herstellung bedingte Abweichungen in Maßen, Dicken, Gewichten oder Farbtönung stellen keinen Mangel dar, sofern die branchenüblichen Toleranzen nicht überschritten werden. Dies gilt insbesondere
für den Fall, dass die Funktionseigenschaften nicht beeinträchtigt werden.
(3) Das Wissen um das physikalische Verhalten und die Eigenschaften unserer Produkte entsprechend dem jeweiligen Stand der Technik wird
auf Seiten des Kunden vorausgesetzt. Wir übernehmen keine Gewähr
für Schäden, die auf ungeeignete oder unsachgemäße Verwendung,
fehlerhafte, nicht von uns und/oder ohne unsere Zustimmung vorgenommene Montage, Applikation, Inbetriebsetzung, Veränderung oder
Reparatur, fehlerhafte oder nachlässige Behandlung oder natürliche
Abnutzung zurückgehen.
(4) Wir haften nicht bei Missachtung unserer Produktdatenblätter, Montageanleitungen und den Vorschriften zur Lagerung und Pflege von Spiegeln,
die wir auf Wunsch gerne zur Verfügung stellen und die im Internet unter
www.euraspiegel.com jederzeit in der jeweils gültigen Fassung eingesehen und heruntergeladen werden können, sowie bei Missachtung von
Herstellerrichtlinien und Vorgaben aus einschlägigen Prüfzeugnissen.
(5) Der Kunde ist verpflichtet, uns die Möglichkeit zu geben, den gerügten
Mangel vor Ort festzustellen bzw. auf unser Verlangen hin den beanstandeten Gegenstand oder Muster davon zur Verfügung zu stellen. Bei
Transport- oder Bruchschäden ist die Ware in dem Zustand zu belassen,
in dem sie sich bei Erkennung des Mangels befand. Werden eventuelle
Mängel erst bei der Verarbeitung festgestellt, so sind die Arbeiten sofort einzustellen und die noch nicht verarbeiteten, ungeöffneten Originalgebinde sicherzustellen. Sie sind uns auf Verlangen zur Verfügung
zu stellen.
(6) Soweit ein Mangel der Kaufsache nachweislich vorliegt, ist der Kunde
berechtigt, Nacherfüllung in Form von Mangelbeseitigung oder Lieferung einer neuen mangelfreien Sache zu verlangen. Die Wahl zwischen
den beiden beschriebenen möglichen Formen der Nacherfüllung steht
uns zu.
(7) Schlägt die Nacherfüllung drei (3) Mal fehl oder ist sie unmöglich, so
ist der Kunde nach seiner Wahl berechtigt, Rücktritt oder Minderung zu
verlangen. Bei geringfügigen Mängeln ist ein Rücktritt allerdings ausgeschlossen.
(8) Für den Rückruf des Kunden gegen uns als Lieferanten gelten nur die
gesetzlichen Bestimmungen.
(9) Die Verjährungsfrist für Mängelansprüche beträgt zwölf (12) Monate,
gerechnet ab Gefahrenübergang; die Verjährungsfristen des § 479 BGB,
§ 438 Abs.1 Nr. 2 BGB und § 634a Abs. 1 Nr. 2 BGB bleiben unberührt.
(10)Die Bestimmungen dieses Paragraphen finden keine Anwendung, wenn
wir einen Mangel arglistig verschwiegen oder ausdrücklich eine Beschaffenheitsgarantie übernommen haben. In diesen Fällen richten sich die
Ansprüche des Kunden nach den gesetzlichen Bestimmungen.

§ 7 GARANTIEN
Garantieerklärungen der Hersteller werden in vollem Umfang weitergegeben. Unsere Ersatzleistung für Ansprüche aus solchen Erklärungen
ist auf den Umfang beschränkt, in dem die Hersteller zum Ersatz verpflichtet sind. Eine eigene Haftung unsererseits wird weder dem Grunde noch der Höhe nach begründet. Für technische Angaben fremder
Hersteller können wir nur bei besonderer Vereinbarung eine Gewähr
übernehmen. Diese Angaben, insbesondere auch solche über Leistungen und Verwendbarkeit der gelieferten Produkte, gelten nur dann als
Beschaffenheitsvereinbarung, wenn wir dies ausdrücklich schriftlich
erklären.
§ 8 HAFTUNG
(1) In Fällen vertraglicher und außervertraglicher Haftung, gleich aus welchem Rechtsgrund, leisten wir Schadenersatz oder Ersatz vergeblicher
Aufwendungen nur nach den nachfolgenden Bestimmungen. Eine Änderung der Beweislast zum Nachteil des Kunden ist damit nicht verbunden.
• Wir haften nur für unmittelbare Schäden; eine Haftung für mittelbare und Folgeschäden ist ausgeschlossen.
• Bei Vorliegen von grober Fahrlässigkeit sowie der schuldhaften
Verletzung wesentlicher Vertragspflichten ist die Haftung auf den
vorhersehbaren, typischerweise eintretenden Schaden begrenzt.
Wesentliche Vertragspflichten sind solche, deren Erfüllung die ordnungsgemäße Durchführung des Vertrages überhaupt erst ermöglicht und auf deren Einhaltung der Kunde regelmäßig vertraut und
vertrauen darf.
• Im Falle einfacher Fahrlässigkeit haften wir nicht, soweit es sich
nicht um eine Verletzung wesentlicher Vertragspflichten handelt.
• Ein Verschulden unserer Vertreter und Erfüllungsgehilfen ist uns
zuzurechnen. Soweit die Schadensersatzhaftung uns gegenüber
ausgeschlossen oder eingeschränkt ist, gilt dies auch im Hinblick
auf die persönliche Haftung unserer Angestellten, Arbeitnehmer,
Vertreter und Erfüllungsgehilfen.
• Die vorstehenden Haftungsbeschränkungen gelten nicht für Haftung
aus Vorsatz, garantierte Beschaffenheitsmerkmale, für Ansprüche
des Kunden aus dem Produkthaftungsgesetz und bei Verletzung
des Lebens, des Körpers oder der Gesundheit.
(2) Schadenersatzansprüche unseres Kunden verjähren grundsätzlich innerhalb von zwölf (12) Monaten ab gesetzlichem Verjährungsbeginn.
Wenn wir, unsere gesetzlichen Vertreter oder Erfüllungsgehilfen Verletzungen des Lebens, des Körpers oder der Gesundheit verschuldet
haben, gelten für die Schadenersatzansprüche des Kunden allerdings
die gesetzlichen Verjährungsfristen. Gleiches gilt, wenn wir, unsere gesetzlichen Vertreter oder Erfüllungsgehilfen vorsätzlich oder grob fahrlässig gehandelt haben.
§ 9 EIGENTUMSVORBEHALT
(1) Wir behalten uns das Eigentum an der Kaufsache bis zum Eingang aller Zahlungen aus dem Liefervertrag vor. Bei vertragswidrigem Verhalten des Kunden sind wir berechtigt, nach vorheriger Setzung einer
angemessenen Frist, die Kaufsache zurückzunehmen. Sämtliche aus
der Rücknahme resultierenden Kosten hat der Kunde zu tragen. In der
Rücknahme oder Pfändung der Kaufsache durch uns liegt ein Rücktritt
vom Vertrag. Wir sind nach Rücknahme der Kaufsache zu deren Verwertung befugt; der Verwertungserlös ist auf die Verbindlichkeiten des
Kunden – abzüglich angemessener Verwertungskosten – anzurechnen.
(2) Der Kunde ist verpflichtet, die Kaufsache pfleglich zu behandeln; insbesondere ist er verpflichtet, diese auf eigene Kosten gegen Feuer-, Wasser-

und Diebstahlsschäden ausreichend zum Neuwert zu versichern. Sofern
Wartungs- und Inspektionsarbeiten erforderlich sind, muss der Kunde
diese auf eigene Kosten rechtzeitig durchführen.
(3) Bei Pfändungen oder sonstigen Eingriffen Dritter hat uns der Kunde unverzüglich schriftlich zu benachrichtigen. Soweit der Dritte nicht in der
Lage ist, uns die in diesem Zusammenhang entstandenen gerichtlichen
und außergerichtlichen Kosten zu erstatten, haftet hierfür der Kunde.
(4) Der Kunde ist berechtigt, die Kaufsache im ordentlichen Geschäftsgang
weiter zu verkaufen; er tritt uns bereits jetzt sicherungshalber alle Forderungen, die ihm aus der Weiterveräußerung gegen seine Abnehmer
oder Dritte erwachsen, und zwar unabhängig davon, ob die Kaufsache
ohne oder nach Verarbeitung weiter verkauft worden ist, in Höhe des
Bruttorechnungsbetrages unserer Forderung ab; wir nehmen die Abtretung hiermit an. Zur Einziehung der Forderung bleibt der Kunde auch
nach der Abtretung ermächtigt. Unsere Befugnis, die Forderung selbst
einzuziehen, bleibt hiervon unberührt. Wir verpflichten uns jedoch, die
Forderung nicht einzuziehen, solange der Kunde seinen Zahlungsverpflichtungen aus den vereinnahmten Erlösen nachkommt und insbesondere kein Antrag auf Eröffnung eines Vergleichs-, Insolvenz- oder
vergleichbaren Verfahrens gegen ihn gestellt ist. Ist dies der Fall, so
können wir verlangen, dass der Kunde uns die abgetretenen Forderungen und deren Schuldner bekannt gibt, alle zum Einzug erforderlichen
Angaben macht, die dazugehörigen Unterlagen aushändigt und den
Schuldnern (Dritten) die Abtretung mitteilt.
(5) Wir verpflichten uns, die uns zustehenden Sicherheiten insoweit freizugeben, als der realisierbare Wert unserer Sicherheiten die zu sichernden Forderungen um mehr als zehn (10) % übersteigt; die Auswahl der
freizugebenden Sicherheiten obliegt uns.
BESONDERE VERTRAGSBEDINGUNGEN

2. GEWÄHRLEISTUNG FÜR SPIEGELBELAG
Der Kunde kann seine Rechte aus diesem Vertrag ohne unsere Zustimmung nur an Versicherer abtreten und nur soweit diese für vom den
Kunden geltend gemachten Schaden aufkommen. § 354a HGB bleibt
unberührt.
§ 11 DATENSCHUTZ
Der Kunde willigt ein, dass wir Daten aus dem Vertragsverhältnis zum
Zwecke der Datenverarbeitung speichern und uns das Recht vorbehalten, die Daten Dritten zu übermitteln, soweit dies zum Zwecke der
Vertragsabwicklung – insbesondere Weitergabe von Bestelldaten an
Lieferanten – oder zu Abrechnungszwecken erforderlich ist.
Ansprüche aus dieser Gewährleistung bestehen nur unter folgenden
Voraussetzungen:
• bestimmungsgemäßer Verwendung unserer Spiegel in Innenräumen, nicht jedoch bei Verwendung in Reithallen, Schwimmbädern,
Heilbädern, Saunen und deren angrenzenden Räumen, mit ständig
extrem hoher Luftfeuchtigkeit;
• einer Luftzirkulation zwischen Spiegel und Wandfläche bzw. sonstigen Montageflächen durch ausreichenden Wandabstand;
• die Befestigungsteile dürfen nicht aus aggressiven Materialien bestehen;
• geputzte und gestrichene Flächen müssen vor der Spiegelmontage
ganz ausgetrocknet sein.
Ein Gewährleistungsanspruch entfällt
• bei Belagschäden infolge von Be- und Verarbeitung oder bei fester Verbindung mit Flächen und Stoffen (z. B. Verklebungen, Rahmungen, Entkittungen), sofern dies nicht durch uns geschehen ist;
• bei Belagschäden infolge der Einwirkung von Wirkstoffen, insbesondere Flüssigkeiten, die Säuren oder ähnlich wirkende chemische
Mittel enthalten, egal ob diese direkt oder in Form von Dämpfen
mit dem Spiegel in Berührung kommen. Zu diesen Wirkstoffen zählen die meisten handelsüblichen Reinigungsmittel und Kosmetika;
• bei Schäden des Spiegels, die ganz oder teilweise durch mechanische Einwirkung hervorgerufen sind;
• bei höherer Belastung auf UV-verklebte Glasablagen, als auf dem
Aufkleber auf dem Produkt angegeben.
Bei vereinbarter Lieferung innerhalb von 48 Stunden innerhalb Deutschlands (Verfügbarkeit prüfen), berechnen wir hierfür einen Zuschlag in
Höhe von 48,00 Euro netto.
7. TRANSPORTBRUCHVERSICHERUNG
Sofern der Kunde es wünscht, werden wir die Lieferung durch eine
Transportbruchversicherung eindecken; hierfür berechnen wir pauschal
1,5 % des Nettowarenwertes.
8. KLEINAUFTRÄGE
Bei Aufträgen unter einem Nettowarenwert von 100,00 Euro wird ein
Abfertigungszuschlag von 15,00 Euro berechnet.
9. STORNIERUNG
Die Stornierung von Aufträgen mit Sonderanfertigungen ist nur innerhalb von zwei (2) Arbeitstagen (Montag bis Freitag, mit Ausnahme der
gesetzlichen Feiertage an unserem Standort) möglich.
10. RÜCKNAHME
Eine grundsätzliche Rücknahmepflicht unsererseits besteht nicht. Spiegel werden von uns nur innerhalb von vier (4) Wochen nach Lieferdatum
und vorheriger Abstimmung zurückgenommen, wenn diese noch originalverpackt und in einwandfreiem Zustand sind. Die Rücksendung
muss frei Haus Nürnberg erfolgen und geht auf Gefahr des Rücksenders. Bei Gutschrift kürzen wir dreißig (30) Prozent des Warenwertes
für uns entstandene Kosten, z. B. für Hinfracht, Verpackung, Prüf- und
Umpackkosten und Abwicklung. Die Rücknahme von Sonderabmessungen/Sonderanfertigungen ist leider nicht möglich.

3. LEUCHTENAUSTAUSCH
§ 12 GERICHTSSTAND – ERFÜLLUNGSORT
(1) Sofern der Kunde dem Kreis der in § 310 Abs. 1 BGB Genannten unterfällt, ist unser Geschäftssitz Gerichtsstand; wir sind jedoch berechtigt,
den Kunden an seinem Wohnsitzgericht zu verklagen.
(2) Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss
seiner kollisionsrechtlichen Bestim mungen; die Geltung des UN-Kaufrechts ist ausgeschlossen.
(3) Sofern sich aus der Auftragsbestätigung nichts anderes ergibt, ist unser Geschäftssitz Erfüllungsort.
Für einen Zeitraum von zwei (2) Jahren – gerechnet von dem Tage der
Lieferung an – gewährleisten wir unseren Kunden, dass der Belag unserer Spiegel ohne äußere Einwirkung weder fleckig noch blind wird.
6. EXPRESSPAUSCHALE
§ 10 ABTRETUNG
Bitte beachten Sie unsere Montageanleitung sowie unsere Vorschriften
für Lagerung und Pflege von Spiegeln und lesen Sie diese sorgfältig,
bereits vor Beginn der Arbeiten.
PERFORMANCE
Bei Austausch der Lampen dürfen nur die vorgeschriebenen Leuchtmittel verwendet werden, da speziell bei NV-Halogen ansonsten der
Trafo beschädigt werden kann. Wir empfehlen deshalb, die Aufkleber
auf den Leuchten zu beachten bzw. bei Austausch wieder die gleiche
Wattzahl einzusetzen. Leuchtmittel sind Verbrauchsartikel, für die wir
keine Gewährleistung übernehmen.
4. AUSLAUFMODELLE
Die mit einem * gekennzeichneten Artikel sind Auslaufmodelle und nur
solange der Vorrat reicht lieferbar.

Leihkisten werden bis zu einer Größe von 150 × 100 cm zu einem Nettopreis in Höhe von 22,00 Euro, bis zur einer Größe von 200 × 100 cm
zu einem Nettopreis von 33,00 Euro und bei einer Größe von über
200 × 100 cm zu einem Nettowert von 55,00 Euro berechnet und bei
frachtfreier Rücksendung zurückgenommen und wieder gutgeschrieben.
Einwegversandkartons berechnen wir zu 10,00 Euro netto.

GENERAL TERMS & CONDITIONS
SECTION 1 GENERAL – SCOPE
(1) Our GTC apply exclusively; we do not accept contradictory or deviating terms and conditions of the Customer unless expressly approved in
writing. Our GTC shall also apply even if we have delivered/performed
without reservation to the Customer in the awareness of the Customer’s
contradictory or deviating terms and conditions.
(2) These GTC only apply to those parties listed in Section 310 Para.1 of German Civil Code (BGB).
SECTION 2 QUOTATION – QUOTATION DOCUMENTS
(1) Our quotations are at all times subject to change. Prior to a writing confirmation, orders shall not become binding on us. In the event of immediate delivery, the delivery note or invoice shall also be deemed an order
confirmation.
(2) We reserve title of ownership, copyrights and other property rights to
pictures, drawings, calculations and other documents, especially to any
written document which is marked as »confidential«. The Customer must
have our express written approval before passing on any such information to third parties.
(3) Unless otherwise agreed, quotation related documents such as pictures, drawings, calculations, data regarding weight, consumption and
dimension shall only be approximate, if and when deviations comply
with commercial practice, depend on technical reasons or in particular result from material properties and tolerances. The above provision
also applies to technical modifications and improvements which modify
neither appearance nor functionality. Specimen and samples shall also
be deemed approximate examples for quality, dimensions and colours,
unless otherwise agreed.
(4) Data in quotations, product information and marketing material shall be
deemed neither quality agreements nor guarantees of quality or durability, unless expressly stated by us in writing.
(5) If the quotation is prepared on basis of Customer’s documents, these
documents shall be deemed binding only if and when reference is made
to them in the quotation.
(6) If we are required to provide services based on drawings, models, samples or using parts supplied by the Customer, the Customer shall warrant that no third-party intellectual property rights are infringed thereby. The Customer shall indemnify and hold us harmless from any and all
third-party claims for those infringements and shall reimburse us for any
incurred damages, including costs and expenses.
(7) Customer requests for subsequent changes or order cancellation may
be taken into account only under a special agreement, and only if and
when production or processing has not yet begun.
SECTION 3 PRICES – PAYMENT TERMS
(1) Details of prices can be found in the quotation or the price lists. The price
which is valid on the day of delivery will be invoiced in Euro (€) unless
otherwise agreed in writing. Prices do not include packaging and other
transport costs.
(2) Our prices are shown excluding statutory VAT, which will be shown separately on the invoice at the rate which applies on the date the invoice
is issued.
(3) For all glass and mirror products we separately invoice current energy
surcharge net, except Switzerland.
(4) Should delivery or performance take place four (4) months or later following the conclusion of the Contract, the contracting parties shall, in
case of a change in price determinants renegotiate the prices.

(5) Unless otherwise stipulated in the order confirmation, the net purchase
price (without deductions) shall be due and payable within thirty (30)
days of the invoice date. The legal provisions for default in payment shall
apply.
(6) Payments shall always be used to settle the oldest due accounts plus
the default interest accrued thereon. Possibly agreed discounts are not
given if and when the Customer is in arrears with payment of previous
deliveries/performance.
(7) Representatives and other people in our field sales force are not entitled
to accept money unless issued with a written authorisation. Customers
make any payments to such persons at their own risk.
(8) Payments using endorsed cheques-bills of exchange always require a
special agreement. Bills of exchange and cheques shall be credited, less
costs, as received on the day on which we have the funds at our disposal. Cheques and bills of exchange are accepted only on account of performance, and subject to return at any time.
(9) If, after concluding the Contract, we become aware of facts, which in the
exercise of reasonable business discretion, suggest that the purchase
price claim is jeopardised by the Customer’s inability to perform, we shall
be entitled to demand that the Customer, at his option and after setting
a reasonable time period, makes advance payment or provides appropriate guarantees, and to withdraw in the case of refusal.
(10)Moreover, we shall be entitled to retain our performance for so long as
the Customer fails to perform its obligations to us arising from this Contract, from another contract, or from any other legal ground.
(11) Receivables of companies affiliated with the SCHOLLGLAS Group of Companies under Sections 15 et seq. of German Corporation Act (AktG) may
be offset against any and all of the Customer’s receivables, regardless
of their legal ground, even if such receivables are due at different times.
(12)The Customer shall be entitled to set off counterclaims only if and when
such claims have been finally and non-appealably established, are uncontested or have been acknowledged by us. Furthermore, he shall be
entitled to a right of retention only if and when his counterclaim is based
on the same contractual relationship. Otherwise, payments shall not be
retained inappropriately due to defects or any other complaint.
SECTION 4 DELIVERY AND PERFORMANCE DEADLINES
(1) The start of the delivery period we have stipulated is conditioned upon
the clarification of all technical and process-related issues, the receipt of
materials to be supplied by the Customer, any agreed deposit – if any –,
and the presence of all required permits and approvals.
(2) Delivery dates or deadlines will be respected as far as possible. Unless
otherwise agreed, they are not binding. Our contractual obligations are
subject to duly supply by our pre-suppliers at due date.
(3) Partial supplies or partial deliveries are permitted on a scale reasonable
for the Customer and we are entitled to invoice for these. Moreover, we
are entitled to demand payments on account on a reasonable scale if
our delivery/performance is delayed beyond the agreed period of time
through no fault of our own.
(4) If and when the Customer is in default of acceptance or is in culpable
breach of other co-operation obligations, we shall be entitled to request
compensation for any and all loss or damage we have consequently suffered, including any additional expenses. In the event that the Customer
is in default of acceptance temporary storage will be at the Customer’s
expense at a carrier’s premises.
(5) A performance or delivery period shall be extended reasonably – even
during default – in case of Force Majeure or any other unforeseen event
for which we are not at fault, especially business disruptions, loss of production facilities, operational interruptions due to insufficient raw mate-

rials or energy, traffic disruptions, or interference by public authorities.
The foregoing shall likewise apply if our pre-suppliers, or subcontractors
experience the same. We shall immediately inform the Customer with
respect to the beginning and the ending of such hindrances. In the event
delivery/performance is delayed for more than one month due to Force
Majeure or any other unforeseen event, both we and the Customer shall
be entitled to revoke the Contract.
SECTION 5 DESPATCH – TRANSFER OF RISK – PACKAGING
(1) Unless otherwise specified in the order confirmation, delivery »ex works«
is agreed. Unless otherwise agreed, the risk shall be transferred to the
Customer upon handover of the goods to the carrier, regardless of whether he has been engaged by the Customer, by us or by a third party. The
above provision shall also apply to partial and free deliveries.
If and when our vehicles are used to make deliveries, the risk shall be
transferred to the Customer as soon as the goods have been made available on the vehicle at the delivery point agreed to in the Contract. If, at
the reasonably exercised discretion of the person making the delivery,
local conditions do not permit him to drive the above-mentioned vehicles
on the access path to, or to park at, the agreed delivery point and/or if,
at the reasonably exercised discretion of the person making the delivery,
the path cannot be accessed at all or cannot be accessed without putting
the consignment at risk, handover and risk transfer shall be deemed to
have occurred at the point where a risk-free arrival, departure or parking of the vehicle is assured. If the Customer is not prepared to accept
the goods at this location, he shall be deemed in default of acceptance.
We expressly reserve the right to claim any and all additional costs and
expenses which accrue to us from the foregoing, in particular the costs
of repeated travel.
Therefore, in cases of doubt we request timely consultation prior to delivery in order to avoid later inconvenience.
(2) Unless otherwise agreed on, unloading of the delivered goods is the sole
responsibility of the Customer. If the Customer does not provide the personnel and unloading equipment required to unload the consignment, we
shall be entitled to charge for waiting times. If the Customer requests aid
in unloading the goods, including the provision of unloading equipment,
and we are able to meet this request, we shall be entitled to bill the Customer additionally for this expense. Irrespective of the above provision,
we do not have any legal obligation to provide aid in the unloading of the
goods. We shall be liable for any damage to either the delivered goods or
to other legal interests caused by our personnel during unloading only in
the event of wilful or grossly negligent action. The above provision shall
not apply if and when the damage consists of injury to life, body or health.
(3) The relevant price lists or special offers apply for the supply and invoicing of packaging. The type of packaging is basically chosen on the basis
of transport and production technical considerations.
There is no right of return of packaging for the Customer, disposable
packaging becomes the property of the customer unless agreed otherwise.
When the packaging remains our property or that of its producer, then its
supply with the goods will always give rise to a right to require its return,
or a right to compensation for at least the value of the agreed deposit.
SECTION 6 LIABILITY FOR DEFECTS
(1) High quality, function and attractive design are the fundamental principles of our product development. No product leaves our premises without a careful final inspection. Prior to packaging each illuminated mirror
is checked on its functionality.

PERFORMANCE
All mirrors processed comply with the European standard EN 1036 and
are produced in this area. Our high-quality illuminated mirrors comply
with the provisions of protection class IP20 unless agreed otherwise.
Due to the special characteristic of our products the Customer also undertakes to inspect immediately and carefully the products we have delivered. The Customer shall notify us of any obviously visible and/or detected defects promptly in writing, in any case before the products are
used, processed, installed or resold. Further obligations under Section
377 of German Commercial Code (HGB) shall remain unaffected.
(2) Variations in dimension, thickness, weight, and shade of colour or in the
wire structure due to production or cutting do not constitute a defect,
provided they do not exceed the tolerances applicable in the industry.
This particularly applies in the case where the functional characteristics
are unaffected.
(3) We assume that the Customer knows about the physical behaviour and
the property of our products in accordance with the state of technology.
We do not assume any warranty for damages which result from unsuitable
or improper use, from improper installation, application, commissioning,
modification or repair which we have neither carried out nor approved,
from incorrect or negligent handling or from natural wear and tear.
(4) We shall not accept liability for the failure to comply with our product
data sheets, installation instructions and the provisions for storage and
care of mirrors, which we will gladly send upon request and which can,
in the version currently in force, be viewed and downloaded at any time
from our Internet site at www.euraspiegel.com, nor for the failure to
comply with manufacturer’s guidelines or the specifications from relevant test certificates.
(5) The Customer is required to offer us the opportunity to inspect the defect
it is complaining about on site, or at our request to make available to us
with the object being complained about or samples thereof. For damages during transport or breakages the goods must be left in the condition
it was in when the defect was detected. If any defects are first observed
during processing, the work must be immediately halted and the as yet
unprocessed and unopened original containers secured. They shall be
made available to us at our request.
(6) If and when there is a proven defect in the purchased object, the Customer shall be entitled to request cure in the form of remedy of defects
or delivery of a new item free of defects. The choice between the two
possible forms of cure described above shall be at our discretion.
(7) If the remedy fails three (3) times or is impossible, the Customer shall
be entitled, at its discretion, to request revocation or a price reduction.
However, revocation shall be precluded in the case of only minor defects.
(8) In the case of the Customer’s recall against us as supplier, only the statutory provisions shall apply.
(9) The period of limitations for claims due to defects shall be twelve (12)
months, commencing upon the transfer of risk; the limitation periods
subject to Section 479 of German Civil Code (BGB), Section 438 Para.
1, No. 2 of German Civil Code (BGB) and Section 634a Para. 1, No. 2 of
German Civil Code (BGB) shall remain unaffected.
(10)The provisions of this Paragraph shall not apply if we have fraudulently concealed the defect or have expressly undertaken to guarantee the
quality of the item. In such cases, the Customer’s claims shall be governed by the statutory provisions.
SECTION 7 GUARANTEE
Guarantee declarations by the manufacturer are passed on to their full
extent. Our compensation for claims under such declarations is limited
to the extent that the manufacturer is required to provide compensation.
No liability on our part can be justified based on either the reason or

the value. We can only provide a warranty for technical details supplied
by third-party manufacturers under special agreement. These details,
in particular any relating to features and possible uses for the supplied
products are only to be regarded as agreements on characteristics, if
we have expressly stated this in writing.
SECTION 8 LIABILITY
(1) In cases of contractual or non-contractual liability, irrespective of its legal grounds, we shall only be liable to damages or the reimbursement of
futile expenses under the following provisions. No change in the burden
of proof for the disadvantage of the Customer is connected therewith.
• We assume liability only for direct damages; liability for indirect and
consequential damages shall be excluded.
• In case of gross negligence or the culpably breach of an essential
contractual obligation our liability shall be limited to the foreseeable
loss or damage typically occurring. Essential contractual obligations
are those whose completion enables the correct completion of the
Contract in the first place and whose respect is habitually relied on
by the Customer and can be relied on.
• In case of ordinary negligence our liability is excluded unless we are
culpably in breach of an essential contractual obligation.
• Any fault on the part of our representatives and vicarious agents shall
be attributed to us. If and when our liability for damages is excluded
or limited, the exclusion or limitation shall also apply with respect
to the personal liability of our employees, workers, representatives
and vicarious agents.
• The above liability limitations are without prejudice for the liability
for intent, guaranteed quality characteristics, for Customer’s claims
in accordance with the German Product Liability Act and for liability
resulting from culpable injury of life, body or health.
(2) Claims for damages by our Customers shall generally expire within twelve
(12) months upon commencement of the statutory limitation period. If
we, our legal representatives or vicarious agents have caused culpable
injury to life, body or health, then the statutory limitation periods shall
apply to claims for damages by the Customer. The same applies if we,
our legal representatives or vicarious agents have acted with intent or
gross negligence.
SECTION 9 RETENTION OF TITLE
(1) We retain title to the purchased object until all payments from the Contract have been received. In the event of breach of Contract by the Customer, we shall be entitled to take back the purchased object after having set a reasonable time-limit. All costs arising from the return are to
be borne by the Customer. Our taking back or seizure of the purchased
object shall be deemed a revocation of the Contract. After taking back
the purchased object, we shall be entitled to dispose of the object; we
will offset the revenue from its disposal against the receivables due from
the Customer, less any reasonable costs of sale.
(2) The Customer shall be obligated to handle the purchased object with
care; in particular, it shall be obligated to insure it adequately at its own
expense against fire, water and theft loss at replacement value. If and
when maintenance and inspection work is required, the Customer shall
perform the work in due time at its expense.
(3) The Customer shall notify us immediately in writing of any attachments
or other seizures by third parties. Should the third party not be in a position to reimburse us the court and other costs incurred in this respect,
then the Customer is liable therefor.
(4) The Customer shall be entitled to sell further the purchased object in
the orderly conduct of its business; however, it here and now assigns

to us as a precautionary measure any and all receivables, to which it is
entitled from its customer or third parties due to the further sale, in the
amount of the invoiced final amount of our claim, regardless of whether
the purchased object has been sold further with or without processing;
we hereby accept its assignment. The Customer shall remain entitled to
collect said receivables even after the assignment. The above provision
is without prejudice for our right to collect the receivable ourselves. However, we promise not to collect the receivable as long as the Customer
properly fulfils its payment obligations to us from the received income
and in particular, no petition for the initiation of composition, bankruptcy
or comparable proceedings has been filed. If this is the case, however,
we may request that the Customer discloses to us the assigned claims
and their debtors, provides any and all information necessary for collection, hands over the relevant documents and notifies the debtor (third
party) of the assignment.
(5) We promise to release, at the Customer’s request, any securities to which
we are entitled to the extent that the realisable value of our securities
exceeds the secured claims by more than ten (10) %; the selection of
the securities to be released shall be at our discretion.

SECTION 10 ASSIGNMENT
The Customer may assign its rights arising from this Contract without
our permission only to insurers, and then only to the extent the same
arise from damages asserted by the Customer. Section 354(a) of German Commercial Code (HGB) shall remain unaffected hereby.
SECTION 11 DATA PROTECTION
The Customer agrees that we may store the data from the contractual relationship for purposes of data processing and that we reserve the right,
to transfer the data to third parties, insofar as this is done for purposes
of completion of the contract – in particular the transmission of order
data to a delivery agent – or for invoicing purposes.
SECTION 12 JURISDICTION – PLACE OF PERFORMANCE
(1) Provided the Customer is included in the groups defined in Section 310
Para. 1 of German Civil Code (BGB), our business headquarters is the
place of jurisdiction; however, we are entitled to proceed against the
Customer at the court of its place of residence.
(2) The contract shall be governed by the laws of the Federal Republic of
Germany; the application of the United Nations Convention on Contracts
for the International Sale of Goods shall be excluded.
(3) Unless otherwise stipulated in the order confirmation, our registered
office shall be the place of performance.
Please note our assembly instructions as well as our instructions concerning the storage and care of mirrors and read them carefully before
you start working.
For a period of two (2) years – commencing on the day of delivery – we
warrant that the coating of our mirrors will neither be stained nor blind
without external influences.
Warranty claims shall only be justified subject to the following conditions:
• The proper indoor use of our mirrors, excluding the usage in riding
halls, swimming pools, spas, saunas and their neighbouring areas
with constant, extremely high humidity;
• Air circulation between the mirror and the wall surface or other mounting surfaces through sufficient distance from wall;
• Mounting devices must not consist of aggressive materials;
• Cleaned and painted surfaces must be completely dried up before
mounting a mirror.
Warranty claims lapse in case of:
• coating damages owing to processing or permanent connection with
surfaces and substances (such as bonding, framing, cement removal) not made by us;
• coating damages owing to the exposure to agents (such as the majority of customary detergents and cosmetics), particularly to liquids
containing acids and chemical substances with similar effects, regardless of whether they come in contact with the mirrors directly
or in the form of vapours;
• damages to the mirrors completely or partially caused by mechanical impacts;
• higher loading on the UV-bonded glass shelf than indicated on the
product label.
PERFORMANCE
7. TRANSPORT BREAKAGE INSURANCE
Upon request of the customer we will cover the shipment with a transport breakage Insurance for which we charge a lump sum of 1.5 % of net
value of the products.
8. SMALL ORDERS
In the event of orders with an order value below a net product value of
100.00 Euro we charge a handling surcharge of 15.00 Euro.
9. CANCELLATION
Orders comprising custom-made products may only be cancelled within
two (2) working days (Mo – Fr, statutory holidays at our seat excluded).
10. TAKE-BACK
We have general obligation to take products back. Mirrors may be taken back exclusively upon prior coordination and not later than four (4)
weeks after their delivery if they are in their original packaging and in
good condition. Return shall be made freight paid to Nuremberg at the
risk of the sender. In case of credit notes we make a reduction of thirty
(30) percent of product value to cover our costs, such as cargo outward,
packaging, inspections and repack expenses and handling. Any return of
custom-made dimensions/products is not possible.
Otherwise, our General Terms and Conditions shall apply which we
will gladly send upon request and which can, in the version currently in
force, be viewed and downloaded at any time from our Internet site at
www.euraspiegel.com.
3. LAMP EXCHANGE
In case a lamp needs to be exchanged only prescribed lamps are permitted to not impair the transformer, especially with N halogen. Therefore,
we recommend to consider the labels in the lamps and to use replacement of the same wattage. Lamps are consumables for which we do not
assume any liability.
4. PHASE-OUT MODELS
All products marked with * are phase-out models and are only available
as long as stock lasts.
5. PACKING
Rented crates are charged as follows: up to a size of 150 × 100 cm at
22.00 Euro net, up to a size of 200 × 100 cm at 33.00 Euro net and up to
a size of more than 200 × 100 cm at 55.00 Euro net. In case of a freightfree return they will be taken back and credited.
Non-returnable shipping cartons are charged at 10.00 Euro net.
