THALIA GRUPPE VON ADVENT
THALIA GROUP FROM ADVENT
Ein Eigentümerkonsortium unter Führung der traditionsreichen Verlegerfamilie Herder erwarb die
Mehrheit an der Buchhandelsgruppe Thalia von
Advent International und der Familie Kreke. Advent
hatte die Mehrheit an Thalia 2012 als Teil der damaligen Douglas Holding AG erworben. Die Familie
Kreke bleibt auch künftig an Thalia beteiligt neben
dem Digitalunternehmer Leif Göritz und dem geschäftsführenden Gesellschafter Michael Busch.
Über den Kaufpreis wurde Stillschweigen vereinbart. Die Transaktion steht noch unter dem Vorbehalt der kartellrechtlichen Genehmigung.
A consortium led by the Herder Family, a traditional German publishing house, acquired the majority
of the bookselling group Thalia from Advent International and the Kreke family. Advent had acquired
a majority in Thalia as part of the former Douglas
Holding AG in 2012. Family Kreke remains shareholder in Thalia. Further minority shareholders are the
digital entrepreneur Leif Göritz as well als the CEO
of Thalia, Michael Busch. The parties agreed not to
disclose the value of the transaction. The transaction remains subject to antitrust approval.
Mit mehr als 280 Buchhandlungen in Deutschland,
Österreich und der Schweiz ist Thalia im deutschsprachigen Raum Marktführer im Sortimentsbuchhandel. Zudem agiert das Unternehmen als
Cross-Channel-Händler: In klassischen Buchhandlungen wie auch im Online-Shop und über den
eReader Tolino. Mit einem Angebot von über einer Million eBooks bieten die Tolino-Partner eines
der größten deutschsprachigen eBook-Sortimente
an. Thalia wurde 1919 in Hamburg im Gebäude des
Thalia-Theaters gegründet.
Lupp + Partner beriet die Verlegerfamilie Herder
rechtlich im Rahmen Transaktion. Das Team von
Lupp + Partner bestand aus der Partnern Dr. Matthias Lupp (Federführung), Ksenia Ilina (M&A), Patrick
Schwarzbart (Commercial/IP/IT), Christiane Conrads
(Real Estate) sowie Dr. Maia Welters, LL.M (Counsel,
M&A) und Felix Stützer (Senior Associate, M&A).
With more than 280 bookshops in Germany, Austria, and Switzerland, Thalia is the market leader in
the retail bookselling market in all German-speaking
countries. The company operates as a cross-channel retail seller: the products are distributed via
classical bookshops as well as in the online shop
and via its e-reader consortium Tolino. The Tolino partners offer their customers over one million
eBooks, being one of the largest German-speaking
eBook assortments. Thalia was founded in the building of the Thalia Theater in Hamburg in 1919.
Lupp + Partner acted as legal advisors for the Herder Family on the overall transaction. The team of
