Bitfinex 関係備忘ノート

Bitfinex がトークンを出すということについて幾つかの場所で聞かれたので自分の備忘用
です。
Ⅰ まとめ
(事実関係)
① 各種報道によると Bitfinex は 8 月 2 日にハッキング攻撃(とされるもの)を受け 119,756
BTC(約 6,600 万ドル)の損失
②
同社の公式アナウンスでは Security breach/theft 等と表明されているが、詳しい原因
や損失は現時点ではアナウンスされていない
③ 同社は 8 月 6 日付でカスタマー全員に 36.067%の損失を負担させることを決定
③ 損失分を BFX と呼ぶトークンを発行。1BFX＝1 ドルで計算。当該トークンは Bitfinex
によって償還されるか、取引所 Bitfinex の運営会社である iFinex Inc の株式と交換され
るまで存続
(現時点での感想)
①
1BFX＝1 ドルと述べているが当該価格で実際に取引されるかは不明(詳細は発表されて
いないが難しいのでは)
②
預託の金銭・預託 BTC ともに 36％強制的にカット。カスタマーが取引所に返還を求め
ても強制的にカットされた限度でしか受け付けないということだと思われるが、カス
タマーが Bitfinex を訴えた場合に同社が勝てるかは不明(日本の弁護士の感覚としては
厳しい印象。但し BVI 法等不明)
③
準拠法も管轄も BVI であることから時間稼ぎをしながら取引所を継続させることも考
えられるが、大口の債権者に敗訴した時点で取引所の存続が厳しくなる
④ またカット後の金額で大量流出の可能性
⑤ 潜在的投資家と出資を話しているとのことである。同社の現時点での Equity がどの程
度あるのかは調べていないが、数十億円の債務超過(潜在的な債務超過？)が存在してい
る取引所に出資をすることは通常の感覚では困難
⑥ Good Company と Bad Company を分け、Good Company に出資を受けることも考え
られるが、(日本法だと)詐害行為取消、否認等の問題。BVI 法だとどうか？

コミュニティーの中には MtGox との比較から、倒産ではなく株や Token で帰ってく
るのであれば望ましいという意見もあるように見受けられる。全債権者が Token に合
意していれば良いが、大口債権者が Token 処理に反対すれば上記③のようなリスクあ
る。また反対する小口債権者が集団で訴えてくる可能性も

仮にスポンサーが発見できたとしても、常識的には私的整理ではなく法的再生手続き
を経た上で再生を行う事案ではないか(例えば Good Company、Bad Company 方式の
プレパッケージ型)。但し、BVI 法、香港法、米国法など各国の法律が関係し、債権者
も多数国に多数存在すると思われる中で法的再生手続がワークするかも予断を許さな
い印象。
Ⅱ Bitfinex の Announcement1

取引停止。継続中の取引の解消などについてのアナウンスメント
(2) 8 月 6 日付 Announcement (Security Breach Update 3)
(前略)We have finalized the accounting of losses incurred and are currently coordinating
strategic plans for compensating customers for their losses.
As disclosed in earlier announcements, all withdrawals, open orders, and open funding
offers have been canceled and all financed positions have been settled. Exact settlement
prices were published on August 3rd.
Due to the indiscriminate nature of the attack, we have decided to generalize losses
across all accounts. Upon logging into the platform, customers will see that they have
experienced a generalized loss percentage of 36.067%. In a later announcement we will
explain in full detail the methodology used to compute these losses.
In order to compensate our customers, we are planning on issuing a new token on the
Omni protocol (shortcode "BFX") to each customer equal to the amount of their discrete
loss. Tokens will be given without release or waiver and will be transferable on the
blockchain. The BFX tokens will remain outstanding until repaid in full by Bitfinex or
exchanged for shares of iFinex Inc. The specific conditions associated with the exchange
of these tokens will be explained in a later announcement.

We are also actively talking with potential investors. Raising capital is one strategy we
are considering for making our customers whole. These discussions are at an early
stage and will take time. (後略)

・被った損失の計算が終了、顧客に対する補填の戦略プランを準備中
・既に発表したとおり、全ての引き出し、残っている注文、残っているファンディングオ
ファーはキャンセルされ、ポジションが決済される。決済価格は 8 月 3 日に出した通
り
・攻撃の無差別性から考えてロスを全アカウントに平準化して負担させることを決定し
た。ログインすると、顧客は 36.067%のロスを被ったことが確認できる。後日のアナウ
ンスメントでこのロスの計算方法を説明する
・顧客に対する補填のために、Omni protocol 上で BFX と呼ぶ新しいトークンを発行す
る。トークンは、何らの権利の解放や放棄なく与えられ、ブロックチェーン上でトレー
ドできる
・ BFX トークンは Bitfinex によって償還されるか、iFinex の株式と交換されるまで存続
する。これらのトークンの交換に関する詳細条件は後日アナウンス

(3) 8 月 7 日付 Announcement (Site Relaunch)
We are beginning the process of bringing the platform online in a controlled and secure
way. Currently the site is available on a read-only basis as we continue to work towards
enabling full functionality. This means that users will be able to log into their accounts but
trading, depositing, and withdrawing will remain disabled at this time.(中略)
Please take this time to log in and review your account and balances, taking note of the
adjustments caused by the closing of open margin positions and the application of the
Extraordinary Loss Adjustment. The loss adjustment is represented by your balance in
“BFX” tokens which are priced at 1.00 USD until we are able to allow trading of that
token, likely within the next week. The trading of BFX tokens may be restricted for US
customers.
Full platform functionality will come online in progressive steps in the coming days.
Withdrawing, depositing and exchange trading will come online first, with margin trading
(for non-US customers) to resume sometime after that. Further announcements will be
made when the schedule for turning on those features is finalized. Once again, we thank
you for your patience.

1 法人格
BitFinex は香港ベースの取引所とされるが、法人としては、ユーザーが US Person なら
BFXNA Inc,、ユーザーが not US Person なら iFinex という法人と契約を締結
These Terms of Service constitute the agreement and understanding with respect to
the use of any or all of the Services, and any manner of accessing them, among: you;
BitGo, Inc. ("BitGo"), the company providing individualized, multi-signature wallets
on the Site; and, one of the following parties:a)
where you are a U.S. Person, BFXNA
Inc. ("BFXNA"); and,
b)
where you are not a U.S. Person, iFinex Inc. ("iFinex").
2016 年 1 月 2 日時点での文書(US の CFTC によるもの2)では BFXNA INC.は BVI 法人
(British Virgin Islands、バージン諸島)とされている
BFXNA Inc. d/b/a Bitfinex is a corporation formed and existing under the laws of the
British Virgin Islands, and has its principal place of business at suite 13/F, 1308 Bank
of America Tower, 12 Harcourt Road, Central, Hong Kong, China.

2 管轄、準拠法
BitFinex や BitGo との間の契約は BVI 法準拠。管轄も BVI

43 Governing Law: Subject to paragraph 7 of these Terms of Service, these Terms of
Service shall be governed by and construed and enforced in accordance with the laws
of the British Virgin Islands, and shall be interpreted in all respects as a British Virgin
Islands contract. The venue for any claim or action against or involving Bitfinex shall
be in the British Virgin Islands. The venue for any claim or action in connection with
the Services against or involving BitGo shall be in the British Virgin Islands. You
unconditionally attorn to the jurisdiction of the courts of the British Virgin Islands
and all courts competent to hear appeals therefrom. The doctrine of forum non
conveniens shall not apply in the selection of forum under these Terms of Service.
→ 但し TOS5 条、6 条に関係する紛争(BitGo が提供しているウォレット関係の紛争？、
要検討)はサンディエゴにて仲裁(ToS7 条)
→ 争う者としてはまずは BVI で紛争を提起することを検討か。少額では Pay しないと思
われるが高額債権者の場合や、複数人が集まることにより高額となる場合、紛争定期の
可能性は充分考えられる。
3 ToS の免責規定
16 Limitation of Liability & Release: Important: Except as may be provided for in these
Terms of Service, Bitfinex and BitGo assume no liability or responsibility for and shall
have no liability or responsibility for any claim, application, loss, injury, delay,
accident, cost, business interruption costs, or any other expenses (including, without
limitation, attorneys’ fees or the costs of any claim or suit), nor for any incidental,
direct, indirect, general, special, punitive, exemplary, or consequential damages, loss
of goodwill or business profits, work stoppage, data loss, computer failure or
malfunction, or any and all other commercial losses (collectively, referred to herein as
“Losses”) directly or indirectly arising out of or related to:

16.2the Site, and your use of it;

16.3BitGo, and your use of it;
4.
16.4your use of BitGo’s services;

16.5the Services, and your use of any of them;
Note: TOS 上は 4 とあるが 1.4 条のことだと思われる。

16.6the real or perceived value of any currencies or Digital Tokens traded on
the Site, or the price of any Digital Token displayed on the Site at any time;

16.7any failure, delay, malfunction, interruption, or decision by BitGo or
Bitfinex in operating the Site or providing any Service;
8.
16.8any stolen, lost, or unauthorized use of your account information any
breach of security or data breach related to your account information; or
9.
16.9any offer, representation, suggestion, statement, or claim made about
Bitfinex, BitGo, the Site, or any Service by any Associate.
You hereby agree to release the Associates from liability for any and all Losses, and
you shall indemnify and save and hold the Associates harmless from and against all
Losses. The foregoing limitations of liability shall apply whether the alleged liability
or Losses are based on contract, negligence, tort, unjust enrichment, strict liability, or
any other basis, even if the Associates have been advised of or should have known of
the possibility of such losses and damages, and without regard to the success or
effectiveness of any other remedies.
Important: Notwithstanding anything else in these Terms of Service, in no event shall
the combined aggregate liability of all Associates for any Loss hereunder exceed the
amount of the amounts paid to Bitfinex in fees in the transaction giving rise, or alleged
to give rise, to the Loss. You shall indemnify and hold the Associates harmless from
any Losses in excess of such amount.
16.8 にユーザーの口座情報の盗難の免責規定があるが今回とは無関係と思われる。

仮に倒産手続きになった場合に彼らがいずれの jurisdiction にて申請を行うかは不明（BVI
の可能性が高いか）
。なお、債権者申立の可能性も一応は考えられる。
