Unser Bestreben ist die ausschließliche Produktion innerhalb Europas. Denn warum etwas auf der anderen Seite der Welt herstellen wenn wir oft die tollsten Sachen vor Ort bekommen? I. GELTUNG DER BEDINGUNGEN
Der Verkauf erfolgt ausschließlich an Unternehmer i.S.d. § 14 BGB. Die Lieferungen, Leistungen und Angebote des Verkäufers erfolgen ausschließlich aufgrund dieser Geschäftsbedingungen. Diese gelten somit auch für alle künftigen Geschäftsbeziehungen, auch wenn sie nicht nochmals ausdrücklich vereinbart
werden. Spätestens mit der Entgegennahme der Ware oder Leistungen gelten diese Bedingungen als angenommen. Einer Gegenbestätigung des Käufers unter Hinweis auf seine Geschäfts- bzw. Einkaufsbedingungen wird hiermit widersprochen.
Abweichungen von diesen Geschäftsbedingungen sind nur wirksam, wenn der Verkäufer sie schriftlich bestätigt.
II. ANGEBOT
Die Angebote des Verkäufers sind freibleibend und unverbindlich. Annahmeerklärungen und sämtliche Bestellungen bedürfen zur Rechtswirksamkeit der schriftlichen oder fernschriftlichen Bestätigung des Verkäufers. Das gleiche gilt für Ergänzungen, Abänderungen oder Nebenabreden.
Zeichnungen, Abbildungen, Maße, Gewichte oder sonstige Leistungsdaten sind nur verbindlich, wenn dies ausdrücklich vereinbart wird.
Mit Erscheinen eines neuen Kataloges oder einer neuen Preisliste verlieren alle vorherigen Kataloge und Preislisten ihre Gültigkeit. Auch die Katalog- und Preislistenpreise sind freibleibend bis zur Bestätigung durch den Verkäufer. Die Preise gelten zuzüglich der gesetzlichen Mehrwertsteuer. Die Preise gelten Netto
unfrei ab Werk. Der Versand erfolgt jeweils auf Kosten des Käufers.
III. AUFTRAG
Für die Lieferung ist die schriftliche Auftragsbestätigung oder – falls eine solche nicht erteilt wird – die Rechnung des Verkäufers maßgebend.
Erstaufträge werden grundsätzlich gegen Vorauskasse geliefert.
Wenn sich nach Vertragsabschluss auftragsbezogene Kosten wesentlich ändern, sind die Vertragspartner verpflichtet, sich über eine Anpassung der Preise zu verständigen. Für die Berechnung sind die vom Verkäufer ermittelten Gewichte, Stückzahlen und Mengen maßgebend, wenn der Käufer nicht unverzüglich
widerspricht.
Änderungen hinsichtlich Farben, Rohmaterial und Ausstattung sind ausdrücklich vorbehalten. Druckfehler oder offensichtliche Irrtümer in Bestätigungen, Angeboten oder Preislisten berechtigen den Käufer nicht zu irgendwelchen Ansprüchen.
IV. LIEFERUNG
Die vom Verkäufer genannten Termine und Fristen sind unverbindlich, sofern nicht ausdrücklich schriftlich etwas anderes vereinbart wurde.
Die Lieferfrist ist eingehalten, wenn bis zu ihrem Ablauf der Liefergegenstand das Werk verlassen hat. Sie gilt auch dann als eingehalten, wenn die Versandbereitschaft mitgeteilt ist und der Käufer den Liefergegenstand innerhalb der Lieferfrist nicht abnimmt.
Erhebliche unvorhersehbare Betriebsstörungen, Lieferfristenüberschreitungen oder Lieferausfälle von Lieferanten des Verkäufers, Rohstoff-, Energie oder Arbeitskräftemangel, Streiks, Aussperrungen, Schwierigkeiten bei der Transportmittelbeschaffung, Verkehrsstörungen, Verfügungen von hoher Hand und andere
Fälle höherer Gewalt beim Verkäufer und seinen Unterlieferanten verlängern die Lieferzeit angemessen. Beginn und Ende derartiger Hindernisse teilt der Verkäufer dem Käufer baldmöglichst mit.
Angemessene Teillieferungen sind zulässig. Die Lieferungen erfolgen in der Regel in Standardverpackungen. Soweit das nicht der Fall ist, sind handelsübliche Abweichungen von den vereinbarten Liefermengen zulässig.
Wird eine fest vereinbarte Lieferfrist infolge Verschuldens des Verkäufers nicht eingehalten, so ist unter Ausschluss weiterer Ansprüche der Käufer nach Ablauf einer angemessenen Nachfrist berechtigt, eine Verzugsentschädigung zu fordern oder vom Vertrag zurückzutreten, wenn er beim Setzen der Nachfrist auf die
Ablehnung der Leistung hingewiesen hat. Die Verzugsentschädigung beträgt für jede volle Woche nach Ablauf der Nachfrist 1% bis zur Höhe des Wertes desjenigen Teils der Lieferung, der nicht fristgemäß erfolgt ist. Darüber hinausgehende Ansprüche, insbesondere Schadensersatzansprüche jedweder Art, sind
ausgeschlossen. Diese Einschränkungen gelten nicht, soweit der Verkäufer gemäß Ziff. VIII. 1. dieser Allgemeinen Geschäftsbedingungen auf Schadenersatz haftet.
Die Lieferpflicht des Verkäufers ruht, solange der Käufer mit einer fälligen Zahlung trotz Mahnung im Rückstand ist.
Ist die Ware innerhalb eines bestimmten Zeitraums nach und nach abzunehmen, so ist die Abnahme, wenn nicht ausdrücklich etwas anderes vereinbart wurde, gleichmäßig über den Gesamtzeitraum zu verteilen. Bleibt der Käufer mit der Abnahme vereinbarter Teilmengen zurück, so ist der Verkäufer befugt, nach
Gewährung einer angemessenen Nachfrist die entsprechende Menge für Rechnung und auf eigene Gefahr des Käufers einzulagern oder sie von der Abschlussmenge zu streichen. Im letztgenannten Fall entfallen auch die für bereits gelieferten Waren eingeräumten Sonderkonditionen.
V. VERSAND, GEFAHRÜBERGANG, VERPACKUNG
Sofern nicht anders vereinbart, wählt der Verkäufer Versandweg und Versandart, wobei die Interessen des Käufers angemessen zu berücksichtigen sind. Auf Wunsch des Käufers wird zusätzlich zu den Versandkosten auf seine Kosten die Sendung durch den Verkäufer gegen Diebstahl, Bruch, Transport-, Feuer- u.
Wasserschäden sowie sonstige versicherbare Risiken versichert.
Die Gefahr für Untergang, Verlust oder Beschädigung der Ware geht mit deren Absendung oder im Falle der Abholung mit der dem Käufer mitgeteilten Bereitstellung auf diesen über. Das gilt auch bei frachtfreier Lieferung. Verzögert sich der Versand infolge von Umständen, die der Käufer zu vertreten hat, so geht die
Gefahr vom Tage der Versandbereitschaft ab auf diesen über; jedoch ist der Verkäufer verpflichtet, auf Wunsch und Kosten des Käufers die Versicherungen zu bewirken, die dieser verlangt.
Angelieferte Waren sind, auch wenn sie unwesentliche Mängel aufweisen, vom Käufer unbeschadet der Rechte aus Ziff. VII. abzunehmen.
VI. ZAHLUNGEN
Die Rechnungen sind zahlbar gemäß den vereinbarten Zahlungsbedingungen. Wechsel werden nur nach besonderer Vereinbarung und nur zahlungshalber unter Berechnung aller Einziehungs- und Diskontspesen angenommen. Zahlungen gelten erst dann als bewirkt, wenn der Betrag auf einem Konto des Verkäufers
endgültig verfügbar ist. Der Verkäufer behält sich auch bei anderweitigen Zahlungsbestimmungen des Käufers vor, Zahlungen zur Begleichung der ältesten Rechnungsposten zuzüglich der darauf aufgelaufenen Verzugszinsen und Kosten zu verwenden, und zwar in der Reihenfolge: Kosten, Zinsen, Hauptforderung.
Forderungen, denen gegenüber der Einwand der berechtigten Mängelrüge erhoben worden ist, sind von dieser Regelung ausgenommen. Dem Käufer steht ein Zurückbehaltungs- oder Aufrechnungsrecht nur zu, sofern seine Ansprüche rechtskräftig festgestellt oder unbestritten sind.
Nichteinhaltung von Zahlungsbedingungen oder Umstände, welche bei Anlegung banküblicher Maßstäbe die Kreditwürdigkeit des Käufers wesentlich zu mindern geeignet sind, haben die sofortige Fälligkeit aller Forderungen des Verkäufers zur Folge. Darüber hinaus ist der Verkäufer berechtigt, für noch offenstehende
Lieferungen Vorauszahlung zu verlangen sowie nach angemessener Nachfrist vom Vertrag zurückzutreten oder Schadenersatz wegen Nichterfüllung zu verlangen, ferner dem Käufer die Weiterveräußerung der Ware zu untersagen und noch nicht bezahlte Ware auf Kosten des Käufers zurückzuholen.
Gerät der Käufer in Verzug, so ist der Verkäufer berechtigt, von dem betreffenden Zeitpunkt ab Zinsen in Höhe des von seinen Geschäftsbanken berechneten Zinssatzes für offene Kontokorrentkredite, mindestens jedoch in Höhe von 6% über dem jeweiligen Basiszinssatz zu berechnen.
VII. BEANSTANDUNGEN
Beanstandungen hinsichtlich Beschaffenheit oder Menge sind unter Angabe der Rechnungs- und Versandnummer und Produktbezeichnung unverzüglich, spätestens 7 Tage nach Erhalt der Ware schriftlich anzuzeigen.
Der Käufer hat zu prüfen, ob die gelieferte Ware einwandfrei ist. Unterlässt er die Prüfung, entfällt für den Verkäufer jegliche Haftung.
Bei ordnungsgemäß angezeigten und begründeten Beanstandungen ist der Verkäufer innerhalb angemessener Frist nach seinem Ermessen zu Ersatz oder Nachlieferung, Nachbesserung, Wandlung oder Minderung verpflichtet. Erfüllt der Verkäufer diese Verpflichtung nicht, so steht dem Käufer das Recht zur Wahl
zwischen diesen Rechtsbehelfen zu. Schadenersatz kann der Käufer nur unter den Voraussetzungen der Ziff. IV. - VIII. dieser Allgemeinen Geschäftsbedingungen verlangen.
Wird der Käufer im Wege des Rückgriffs gem. §§ 478 f. BGB von seinem Käufer in Anspruch genommen, so ist er verpflichtet, dem Verkäufer diese Inanspruchnahme unverzüglich, spätestens binnen vierzehn Tagen, schriftlich anzuzeigen. Bevor der Käufer seinerseits die Ware zurücknimmt oder nachbessert oder
Minderung oder Wandlung akzeptiert oder Schadenersatz leistet, ist er verpflichtet, dem Verkäufer die Möglichkeit der Nachbesserung oder Neulieferung einzuräumen. Der Käufer ist verpflichtet, diese Regelung seinem Käufer, sofern dieser kein Verbraucher ist, ebenfalls aufzuerlegen. Die Geltendmachung von
Schadenersatzansprüchen im Wege des Rückgriffs ist in jedem Fall ausgeschlossen.
Beanstandete Ware darf erst nach Ablauf der angemessenen Frist gemäß Nr.3 Satz 1 ohne ausdrückliche Einwilligung des Verkäufers zurückgesandt werden.
Ansprüche wegen jeglicher Mängel verjähren innerhalb von einem Jahr ab der Ablieferung der Sache. Bei Schadensersatzansprüchen wegen der Verletzung von Leben, Körper und Gesundheit sowie bei Schadensersatzansprüchen wegen vorsätzlicher oder grob fahrlässiger Pflichtverletzung (Ziff. VIII. dieser AGB) gilt
die gesetzliche Verjährungsregelung.
VIII. HAFTUNG
Der Verkäufer haftet für Schäden aus der Verletzung von Leben, Körper und Gesundheit, soweit diese auf einer vorsätzlichen oder fahrlässigen Pflichtverletzung des Verkäufers oder seines gesetzlichen Vertreters oder Erfüllungsgehilfen beruhen. Für sonstige Schäden haftet der Verkäufer nur, soweit diese auf einer
vorsätzlichen oder grob fahrlässigen Pflichtverletzung des Verkäufers oder seines gesetzlichen Vertreters oder Erfüllungsgehilfen beruhen.
Ungeachtet der Klausel zu Ziff. VIII. 1. dieser Allgemeinen Geschäftsbedingungen bestimmt sich die Haftung wegen Verzögerung der Leistung im Übrigen nach der Reglung der Ziff. IV. dieser Allgemeinen Geschäftsbedingungen.
IX. EIGENTUMSVORBEHALT
Die Ware bleibt Eigentum des Verkäufers, bis der Käufer seine gesamten Verbindlichkeiten aus den gegenwärtigen und künftigen Geschäftsbeziehungen mit dem Verkäufer getilgt hat. Dies gilt auch dann, wenn einzelne oder sämtliche Forderungen des Verkäufers in eine laufende Rechnung aufgenommen worden
sind und der Saldo gezogen und anerkannt ist. Wird im Zusammenhang mit der Bezahlung des Kaufpreises durch den Käufer eine wechselmäßige Haftung des Verkäufers begründet, so erlischt der Eigentumsvorbehalt nicht vor Einlösung des Wechsels durch den Käufer als Bezogenen.
Der Käufer ist verpflichtet, die Vorbehaltsware für den Verkäufer sorgfältig zu verwahren und auf eigene Kosten ordnungsgemäß gegen Abhandenkommen und Beschädigung zu versichern. Er tritt seine Ansprüche aus den Versicherungsverträgen hiermit im Voraus ab.
Der Käufer ist berechtigt, die im Eigentumsvorbehalt stehenden Waren im Rahmen eines geordneten Geschäftsbetriebes weiter zu veräußern. Andere Verfügungen, insbesondere die Verpfändung oder Sicherungsübereignung, sind dem Käufer nicht gestattet. Bei Nichtbarzahlung hat der Käufer mit seinem Kunden
einen Eigentumsvorbehalt entsprechend diesen Bedingungen zu vereinbaren. Die Berechtigung zur Weiterveräußerung entfällt bei Zahlungseinstellung des Käufers.
Der Käufer tritt bereits jetzt seine Forderungen aus der Weitergabe der Vorbehaltsware sowie sämtliche Neben- und Sicherungsrechte einschließlich Wechsel und Schecks an den Verkäufer ab. Bei Veräußerung von Waren, an denen der Verkäufer Miteigentum besitzt, beschränkt sich die Abtretung auf den Forderungsanteil, der dem Miteigentumsanteil entspricht. Wird Vorbehaltsware zusammen mit anderen Sachen zu einem Gesamtpreis veräußert, so beschränkt sich die Abtretung auf den anteiligen Betrag der Rechnung des Verkäufers (einschl. Mehrwertsteuer) für die mitveräußerte Vorbehaltsware.
Der Käufer ist auf Verlangen des Verkäufers verpflichtet, den Erwerbern die Abtretung bekanntzugeben und dem Verkäufer die zur Geltendmachung seiner Rechte gegen die Erwerber erforderlich Auskünfte zu geben und Unterlagen auszuhändigen. Es ist dem Käufer untersagt, mit seinem Abnehmer Abreden zu
treffen, welche die Rechte des Verkäufers in irgendeiner Weise ausschließen oder beeinträchtigen können. Der Käufer darf insbesondere keine Vereinbarungen eingehen, welche die Vorausabtretung der Forderungen an den Verkäufer verhindert oder beeinträchtigt.
Kommt der Käufer seinen Verpflichtungen dem Verkäufer gegenüber nicht nach, so ist dieser nach Mahnung – unbeschadet seiner sonstigen Rechte – berechtigt, die Herausgabe der Vorbehaltsware zu fordern und/ oder die ihm abgetretenen Rechte direkt geltend zu machen. Dem Verkäufer steht das Recht zu, sich
selbst in den Besitz der Ware zu bringen und dafür die Räume des Käufers zu betreten. In der Rücknahme der Vorbehaltsware liegt ein Rücktritt vom Vertrag nur dann, wenn der Verkäufer dies ausdrücklich schriftlich erklärt. Zugriffe Dritter auf die Vorbehaltsware und abgetretene Ansprüche hat der Käufer dem
Verkäufer unverzüglich mitzuteilen.
Übersteigt der Wert der dem Verkäufer zustehenden Sicherungen die zu sichernden Forderungen des Verkäufers gegen den Käufer um mehr als 20 %, so ist der Verkäufer auf Verlangen des Käufers insoweit zur Freigabe von Sicherheiten nach Wahl des Verkäufers verpflichtet.
X. RECHTSWAHL, ERFÜLLUNGSORT, GERICHTSSTAND, TEILNICHTIGKEIT
Für die gesamte Geschäftsbeziehung zwischen Verkäufer und Käufer findet deutsches Recht (HGB, BGB) unter Ausschluss des UN-Kaufrechts Anwendung.
Erfüllungsort für die Lieferung ist die jeweilige Versandstelle des Verkäufers, für die Zahlung dessen Sitz.
Der Gerichtsstand für alle Streitigkeiten ist München.
Sollten einzelne Klauseln dieser Verkaufs- und Lieferungsbedingungen ganz oder teilweise ungültig sein, so berührt das die Wirksamkeit der übrigen Klauseln nicht. Eine unwirksame Regelung gilt als durch eine solche Regelung ersetzt, die dem wirtschaftlichen Zweck der unwirksamen Regelung am nächsten kommt
und wirksam ist.

I. SCOPE OF VALIDITY OF CONDITIONS
1. Sales are solely made to traders according to § 14 BGB. Deliveries, services rendered and offers made are done so on the basis of these general terms and conditions. As such these are valid for all subsequent business transactions, even where this is not once again expressly agreed. These conditions are taken as
agreed at the latest when the goods or service are received. We hereby refuse to recognise any counter-confirmation on the part of the buyer with reference to his own general terms and conditions or conditions of purchase.
2. Any discrepancies from these terms and conditions will only be valid when the seller confirms such in writing.
II. OFFER
1. Offers made by the seller are without obligation and are not binding. The acceptance of offers and the issue of orders do not become legally binding until they are confirmed by the seller either in writing or per telex. This is also the case where supplements, alterations or subsidiary agreements are made.
2. Drawings, diagrams, measures, weights and comparable performance data are only legally binding when expressly agreed.
3. The issue of a new catalogue or price list invalidates all previous catalogues and price lists. Furthermore, catalogue- and price lists are also non-binding until confirmed by the seller. The prices do not include value added tax. The prices are net, ex works. All transport costs will be invoiced to the buyer.
III. ORDERS
1. The delivery date is that stipulated in the written confirmation of order or, where a confirmation of order is not issued, in the seller’s invoice.
2. Initial orders are executed against payment in advance.
3. Where a considerable change of the costs involved in the order occurs the parties to the contract must agree on an adjustment of the prices. The weights, amounts and volumes determined by the seller are to be used for the relevant calculation purposes, unless the buyer voices his immediate disagreement.
4. We expressly reserve the right to make alterations with respect to colour, raw materials and other characteristics. Printing errors or obvious errors in confirmations, offers or price lists do not entitle the buyer to assert any certain claims.
IV. DELIVERY
1. The dates and periods given by the seller are without obligation unless agreements to the contrary have been expressly made.
2. The delivery date is considered adhered to when the goods leave the factory by expiry of this date. It is also considered adhered to when the buyer has been informed that the goods are ready for collection and the goods are not collected by the delivery date.
3. Substantial unpredictable breakdowns, failure to comply with delivery dates or failure to deliver on the part of the seller’s suppliers, shortages of raw materials, energy supplies or personnel, strikes, lock-outs, difficulties with organising means of transport, traffic disruptions, legally or state-imposed injunctions and
other such cases, e.g. acts of God affecting the seller and his suppliers will extend the delivery period accordingly. The seller will inform the buyer as soon as possible when such hindrances to delivery arise and come to an end.
4. Appropriate part-deliveries are permitted. Goods are generally delivered packed to commercial standards. Where this is not the case then commonly-accepted variations from the agreed delivery amounts are permitted.
5. Where a fixed delivery date cannot be adhered to because the seller is at fault, then the buyer is entitled to claim for compensation for the delivery once an appropriately extended delivery deadline has expired, or he may rescind the contract, provided he announces on the setting of such a deadline that he will then
refuse acceptance of the performance; any further claims are ruled out. Compensation for the delay is calculated at 1% for each full week following expiry of the extended deadline up to the value of the part-delivery which was not delivered on time. Any further claims, in particular claims for damages of any sort are
ruled out. These restrictions are not valid, if the seller is liable for compensation according to clause VIII. 1. of these General Terms and Conditions.
6. The seller’s duty to deliver is suspended when the buyer is in arrears with a payment that remains outstanding despite issue of a reminder for payment.
7. Where the goods are to be accepted within a certain time period but little by little then the acceptance, unless explicitly agreed otherwise, is to be divided evenly over the whole period. When the buyer delays in accepting agreed part amounts then the seller is permitted, after setting an appropriate extended deadline,
to store the corresponding amount at the cost and at the risk of the buyer and to strike it off the final delivery amount. In the latter case, any concessions allowed on the goods already delivered will cease to apply.
V. DISPATCH, TRANSFER OF RISK, PACKAGING
1. Unless otherwise agreed, the seller selects the route and method of dispatch whereby the interests of the buyer must be sufficiently considered. In addition to the dispatch costs the buyer may also opt, at his own cost, to have the seller insure the shipment against theft, breakage, transport, fire and water damage as
well as any other insurable risks.
2. The danger of destruction, loss or damage to the goods passes to the buyer on dispatch – or in the case of collection – from the point of informing the buyer that the goods are ready for collection. This is also the case for carriage-paid delivery. Where the dispatch is delayed on account of circum-stances for which the
buyer is responsible then the risk passes to the buyer from the day the goods are ready for dispatch, the seller however is bound, at the buyer’s request and cost, to effect insurance cover.
3. The buyer is bound to accept the goods delivered, including those where negligible faults are apparent, without prejudice to any rights he has from No. VII.
VI. PAYMENT
1. Invoices are to be paid according to the agreed terms of payment. Bills of Payment will only be accepted for payment purposes when covering all debit and discount charges. Payments are not considered effected until the amount is fully credited to the seller´s account and is accessible for him. The seller also
reserves the right to use payments to settle the oldest outstanding invoices including interest on arrears and any other costs are cumulated in the following order: costs, interest, main outstanding ac-count, even when the buyer´s conditions of payment stipulate otherwise. Any outstanding accounts based on a justified
complaint are excluded from this provision. Retention and setting-off
on account of contentious claims by the buyer against the seller are only permitted, if the buyer´s claims are legally deter-mined or uncontested.
2. Non-compliance with conditions of payment or conditions under which, by exercising standards commonly applied by the banks lead to assume a considerable reduction in the creditworthiness of the buyer, will lead to all outstanding accounts of the seller becoming due. Furthermore, the seller is entitled to demand
payment in advance for all outstanding deliveries as well as to rescind the contract once an appropriate revised deadline has lapsed, or claim compensation for non-compliance, and furthermore to stop the buyer from selling the goods to third parties and to fetch back goods not yet paid for at the cost of the buyer.
3. Where the buyer is in arrears the seller is entitled, as of the relevant point in time, to claim interest at the rate charged by his business bank for overdrawing a current account, at a minimum rate, however at least of 6 % above the prevailing base rate.
VII. COMPLAINTS
1. Any complaints concerning the characteristics or quantities are to be reported immediately, at the latest 7 days after receipt of goods, in writing, quoting the invoice and dispatch number and the description of the product.
2. It is the responsibility of the buyer to check that the goods are in good condition. The seller is relieved of all responsibility when the buyer fails to carry out such a check.
3. Where a claim has been reported correctly and is justified, the seller is bound, within an appropriate period of time as he sees fit, to replace the goods, send a further consignment, bring the goods in order, cancel the contract or accept a deduction. Where the seller does not fulfill this duty, the buyer has the right to
choose between these legal options. The buyer can only claim for damages under the pre-conditions of clauses IV., VIII. of these General Terms and Conditions.
4. Where on account of recourse a claim is made on the buyer by his buyer in accordance with §§ 478 f. BGB (German Civil Code) he is legally bound to inform the seller immediately (at the latest within 14 days) and in writing of the intention to claim. Before the buyer takes back the goods or improves these, accepts a
deduction or cancels the contract or pays compensation he must offer the seller the possibility of improvement or a new delivery. The buyer must equally impose this rule onto his buyer, unless the buyer is a consumer. The assertion of a claim for damages on account of recourse is ruled out in any event.
5. Goods from which the complaint has arisen may not be returned until the relevant term has lapsed as in accordance with No. 3, first sentence, unless the seller explicitly agrees otherwise.
6. Claims for any faults prescribe within a year after delivery of the matter. In case of claims for damages for injury to life, body and health as well as in case of claims for damages due to intentional or grossly negligent breach of duty (clause VIII. Of these General Terms and Conditions) the legal regulations for prescription become valid.
VIII. LIABILITY
1. The seller is liable for any damages incurred from injury to life, body and health, as long as these are caused by intentional or grossly negligent breach of duty by the seller or his legal representatives or vicarious agent. 2. Notwithstanding clause VIII. 1. of these General Terms and Conditions, the liability for delays of performance is otherwise defined according to clause IV. of these General Terms and Conditions.
IX. RESERVATION OF OWNERSHIP
1. The goods will remain the property of the seller until the buyer has met all his obligations towards the seller concerning both present and future business transactions. This is also the case when individual or entire outstanding payments to the seller have been included in a current invoice and the balance drawn and
the statement of account accepted. Where recourse for the seller is established through payment of the purchase price by a bill the reservation of ownership does not end until the bill is honoured by the buyer as the payer.
2. The buyer is bound to carefully guard the seller’s reserved goods and to cover the costs for insuring replacement or damage and assigns already any claims from insurance contracts in advance.
3. The buyer is entitled to sell the goods with reserved ownership to third par-ties where this is within the scope of regular business activity. Any other appropriation of the goods such as pledging or collateral assignment is not permitted. Where goods are not paid for in cash the buyer must agree with his customer the
reservation of ownership in accordance with these conditions. This entitlement to sell to third parties ends if the buyer stops payment.
4. The buyer assigns here already any demands arising from the passing on of reserved goods as well as all supplementary and collateral rights including bills and cheques to the seller. When goods are sold which belong only in part to the seller the assignment is
limited to the part representing the share of the ownership of the seller. Where reserved goods are sold together with other goods as part of a package deal the assignment is limited to that part of the sum on the seller’s invoice (including value added tax) which corresponds to the amount of his ownership.
5. If the seller demands, the buyer is bound to inform the purchaser of the assignment and to give the seller information and submit documents for him to make a claim against these purchasers. The buyer is not allowed to make agreements with the purchaser which exclude or restrict the rights of the seller in any way.
In particular, the buyer may not enter into any agreements which invalidate the blanket assignment of claims to the seller or restrict these in any way.
6. Where the buyer does not fulfill his obligations towards the seller, the seller, having issued a reminder is entitled, without prejudice to any other rights, to demand the return of the reserved goods and/or make direct use of the rights assigned to him. The seller has the right to take possession of the goods himself and
may enter the premises of the buyer in order to do so. A return of the reserved goods only then means rescission of the contract when the seller explicitly states such in writing. Any access gained to the reserved goods and assigned claims by third parties must be reported immediately by the buyer to the seller.
7. Where the value of the seller’s security exceeds the amount of security to which he is entitled by more than 20 % then he must, at the buyer’s re-quest, release corresponding securities which he, the seller, may determine.
X. CHOICE OF LAW, PLACE OF PERFORMANCE, PLACE OF JURISDICTION, PARTIAL INVALIDITY
1. German Law (HGB, BGB) excluding the UN purchase regulations is binding for the complete business relationship between the seller and the buyer.
2. Place of performance in the case of delivery is the seller’s corresponding dispatch centre, in the case of payment his registered office.
3. The place of jurisdiction for all disputes is Munich / Germany.
4. In the event that any individual provisions of these conditions for sale and delivery prove to be invalid, either in part or in their entirety, this will have no effect on the validity of the other provisions. A rule which is invalid is considered as replaced by that which is valid and closest in meaning to the business intention
behind the invalid rule.
